The Dao Yin International Corp (Consultant) hereby engages Paperboy Prince for NYC Mayor Campaign ("Committee")
following agreement ("Agreement") to provide the services including, but not limited to the following:
Scope of Services: Consultant shall provide the Committee with candidate qualification services within the Queens Asian
community. If the candidate or committee wishes to use consultant for any other services outside the scope of this agreement
then there would be an extra charge for such services.
Confidentiality: Consultant, agrees to keep confidential any and all conversations, names, data, documents, or any
other information obtained or produced in connection with the services provided under this agreement
Duration: This agreement covers the time period of March 8, 2021 till March 25, 2021.
Compensation: Consultant will be paid $3,000.00 for the above mentioned time frame of the campaign. Committee agrees
to make its first payment of $1,500.00 upon the signing of this agreement and continue with remainder of the balance upon
the end of the candidate qualification process. Committee agrees to provide r eimbursement of all costs related to
campaign for activities, as approved. Because of the Coronavirus pandemic, Consultant is requesting that payment be
made electronically using the email address or texting phone number, by making a copy of the payment and submitting
both sides of said payment.
Conduct: The Consultant agrees to conduct himself at all times according to the highest standards of honesty,
citizenship, and trustworthiness and not to do anything that is materially detrimental or materially prejudicial to the best
interests of the Campaign or to the Candidate for whom the Committee operates in the interest of. Conduct that is
materially detrimental or materially prejudicial to the best interests of the Campaign includes but is not necessarily
limited to an absolute forbearance of any misdemeanors, felonies, physical altercations or abusive language. A violation
of above-mentioned conduct will result in termination of the Agreement. In the event Consultant violates the provision
regarding Conduct, the Committee may reasonably impose sanctions or terminate the Agreement.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of
New York applicable to agreements made and to be performed entirely in such state.
Relationship of the Parties: Consultant is an independent contractor with respect to, and not an employee of,
Customer. Therefore, Customer is not responsible for providing any fringe benefits to Consultant including, but
not limited to, health insurance, paid vacation, or any other employee benefit.
Notification: In event of either party seeking to terminate the contract prematurely, the Campaign promises to notify
the Consultant 2 weeks in advance using both oral and written notice. The Consultant promises to notify the Committee
2 weeks prior to the termination and to not terminate the Agreement until the Committee and/or the Consultant finds
and brings up to speed a suitable replacement.
Merger and Integration Clause: This agreement contains the entire agreement between the parties with respect to
the subject matter and supersedes all prior negotiations, agreements, understanding with respect thereto. This
Agreement may only be amended by a written agreement signed by the parties.
