PROMISSORY NOTE
Date: 07 NOVEMBER 2013
Amount: US$17,OOO,OOO.00
FOR VALUE RECEIVED, EMPRESA ADMINISTRADORA DE AEROPUERTOS INTERNACIONALES, a.k.a. International
Airports Management Com pany or International Airports Administrative Company, with its principal place of business
at Managua, km 11 north h'ghway (the "BorrowerU ) hereby unconditionally promises to pay to The Export-Import
Bank of the Republic of Ch ina (the uLender U ), to the Lender's accou nt, No. 36999645, maintained at Citibank N.A. 111
Wall Street , New York, N.Y. 10005, U.S.A., or to the Lender's order, the principal sum of Seventeen Million United
States Dollars (US$17,OOO,OOO.OO) by twenty (20). consecutive semi-annual installm ents of Eight Hun dred Fifty
Thousand United States Dollars (US$850,OOO.00) each on June 21 and December 21 of each year w it h t he f irst
payment to be made on December 21. 2018 under and pursuant to the Loan Agreement as of May 25, 2006, as
amended by an amendment, dated June 21, 2013 and other amendments as may be made from t ime to t ime, by and
between the Borrower and the Lender ("Loan Agreement U ) to wh ich reference is hereby made. Interest shall accrue
on the from time to time outstanding principal amount of this Promissory Note at the per annum rate of t hree and
one-half of one percent (3.5%), and shall be paid semi-annually on June 21 and December 21 of each year during the
term of the Loan Agreement as amended . Any amount of principal of the Loan wh ich is not paid when due, wh ether at
stated maturity, by acceleration or otherwise, shall bear interest, payable on demand, at the rate per annum equal to
six percent (6%) per annum before as well as after j udgment.
The principal amount of this Promissory Note and all interest accrued thereon sh all be payable in lawful money of the
United States of America in freely transferable same day funds in New York City, the State of New York, United States
of America, without set-offs or counterclaims and free and clear of and without ded uctions for the Taxes. If t he
Borrower is req uired to make any deduction for the Taxes from any such payment, the Borrower shall pay such
additional amounts as are provided in the Loan Agreement. Th is Promissory Note shall be entit led to the benefits of
the Loan Agreement as amended and shall be governed by the laws of New York State, United States of America, to
the exclusión of its conflict of law rules.
In case an Event of Default shall occur, the principal amount of this Promissory Note may be declared to beco me
immediately due and payable in the manner and with the effect provided in the Loan Agreement, presentment,
demand, protest and notice of any kind being hereby expressly waived by the Borro
