COTRACTOR AGREEMET
THIS AGREEMET (this “Agreement”) is dated as of _________________ [Pon la fecha

contratista] (the “Contractor”).
RECITALS:
WHEREAS, Employer desires to contract the services of Contractor for the purpose of

OW THEREFORE, in consideration of the sum of ten dollars ($10.00), the mutual
promises and covenants set forth herein, and other good and valuable consideration, the receipt and
sufficiency of which is hereby conclusively acknowledged, Employer and the Contractor hereby
agree as follows:
ARTICLE I
Engagement; Duties
1.1
Appointment. Subject to the terms of this Agreement, Contractor hereby agrees to

propiedad] (the “Services”), and Employer hereby engages and contracts with the Contractor for the
performance of the Services.
1.2
Duties of Contractor. The Contractor shall perform the Services in a diligent and
workmanlike manner. The Contractor shall dedicate such time and effort and provide such resources
as may be necessary to properly and fully perform the Services. The Contractor shall perform his
duties hereunder honestly, diligently, competently, in good faith, and in the best interests of the
duties contemplated hereunder, in every case consistent with Contractor’s expertise, skill, knowledge
and abilities. The Contractor shall provide its own equipment, tools, transportation (and any expense
including, without limitation, fuel and maintenance expenses related thereto), labor, sub-contractors
and all necessary materials for any Services required to be performed by Contractor hereunder. In
addition, the Contractor shall provide Employer with written and itemized invoices for all Services
performed hereunder.
1.3
Independent Contractor.
The Contractor understands and agrees that it is an
independent contractor with respect to all Services provided hereunder and neither the Contractor nor
any of his laborers, agents, affiliates, and/or sub-contractors shall be deemed to be an employee of
Employer. The Contractor shall be independently responsible for the payment of any expenses
and/or taxes incurred by him and his laborers, agents, affiliates, and/or sub-contractors as a result
hereof, including federal income taxes. Contractor shall be solely and exclusively responsible for
any damages, loss, expense or injury that Employer, Contractor and/or any third party may suffer or
incur, either directly or indirectly, as a result of the fulfillment of Contractor’s duties and
responsibilities hereunder. Contractor acknowledges and agrees that neither he nor any of his
laborers, agents, affiliates and/or sub-contractors are entitled to any employee related benefits,
including, without limitation, disability, unemployment insurance, workers’ compensation or medical
