Amendment No. 1 to the Contribution Agreement
Between the Government of Mexico, acting through its Secretariat of
Agriculture, Livestock, Rural Development, Fisheries and Food and the Trustee
for the CGIAR Fund (MTO 069018)
WHEREAS, a Contribution Agreement dated July 6, 2012 was entered into by the International
Bank for Reconstruction and Development (the "Bank") and the Government of Mexico, acting
through its Secretariat of Agriculture, Livestock, Rural Development, Fisheries and Food (the
"Fund Donor," and together with the Bank, the "Parties") (the "Contribution Agreement") for the

The Fund Donor hereby agrees to contribute a supplemental amount of USD 1,000,000.00

(one million United States dollars) (the "Supplemental Contribution," which is understood to be a
"Contribution" as defined in the Glossary) to the CGIAR Fund as specified in paragraph 3 below.
The Supplemental Contribution shall be administered by the Trustee on behalf of the Fund

Donor in accordance with the terms and conditions specified in the Contribution Agreement,
including Annex I (Defined Terms) (until such time as Annex I is replaced by the Glossary
through inclusion thereof in the Common Operational Framework, at which time such Glossary
shall be incorporated by reference into the Contribution Agreement), Annex 2 (Trustee Provisions),
and Annex 3 (Form of W3 Transfer Agreement), as well as the Governance Framework and the
CGIAR Principles, which are hereby incorporated by reference, all of which constitute an integral
part of the Contribution Agreement.
The Fund Donor shall deposit the Supplemental Contribution in cash through a bank

transfer into such account with such bank designated by the Trustee in accordance with the
following payment schedule, in each case upon submission of a payment request by the Trustee:
(i) USD 1,000,000.00 (one million United States dollars) upon effectiveness of this
Amendment ("Installment 1").
4. When making deposits, the Fund Donor shall instruct its bank to include in its payment details
information (remittance advice) field of its SWIFT payment message, information indicating: the
amount paid, that the payment is made by the Fund Donor for the CGIAR Fund (MTO 069018),
and the date of the deposit.

inconsistencies between this Amendment executed in the English language and the Spanishlanguage translation, the Amendment executed in the English language controls.

This Amendment may be executed in separate counterparts and by each of the Parties

Enmienda n." 1 al Convenio de Contribución
entre el Gobierno de México a través de la Secretaría de Agricultura,
Ganadería, Desarrollo Rural, Pesca y Alimentación y el Depositario del Fondo
del CGIAR (MTO 069018)
CONSIDERANDO que el 6 de julio de 2012 el Banco Internacional de Reconstrucción y Fomento
(el "Banco") y el Gobierno de México, por intermedio de la Secretaría de Agricultura, Ganadería,
Desarrollo Rural, Pesca y Alimentación (el "Donante del Fondo" y, junto con el Banco, las
"Partes"), suscribieron un convenio de contribución (el "Convenio de Contribución") con el
propósito de recibir fondos para el fondo fiduciario de múltiples donantes destinados al Grupo
Consultivo para la Investigación Agrícola Internacional (CGIAR), MTO 069018, y que los
términos en mayúsculas utilizados en el Convenio y en la presente enmienda se corresponden con
los definidos como tales en el glosario incluido como anexo 1 (Definición de términos) en el
primero, y
CONSIDERANDO que el Donante del Fondo desea contribuir con fondos adicionales al Fondo del
CGIAR;
POR LO TANTO, las Partes acuerdan modificar el Convenio de Contribución de la siguiente
manera:
Por la presente, el Donante del Fondo acepta contribuir con una suma complementaria de

US$1 000 000 (un millón de dólares estadounidenses) (la "Contribución Complementaria", que se
entiende como una "Contribución" según se define en el Glosario) al Fondo del CGIAR en las
condiciones especificadas en el párrafo 3.
La Contribución Complementaria será administrada por el Depositario en nombre del

Donante del Fondo de conformidad con los términos y condiciones especificados en el Acuerdo de
Contribución incluidos el anexo 1 (Definición de términos) (hasta que dicho anexo se reemplace
con el glosario luego de su inclusión en el Marco Común de Operaciones, fecha en que dicho
glosario se incorporará como referencia en el Convenio de Contribución), el anexo 2
(Disposiciones relativas al Depositario) y el anexo 3 (Modelo de Convenio de Transferencia de la
Ventanilla 3), así como el Marco de Gestión y los Principios del CGIAR, que aquí se incorporan
como referencia, todo lo cual forma parte integrante del Convenio de Contribución.
El Donante del Fondo depositará la Contribución Complementaria en efectivo mediante

transferencia bancaria a la cuenta del banco que designe el Depositario, de conformidad con el
siguiente calendario de pagos y contra la presentación de una solicitud de pago del Depositario:
i)
US$1 000 000 (un millón de dólares estadounidenses) en la fecha de entrada en vigor de la
presente enmienda ("Cuota 1").
Al realizar depósitos, el Donante del Fondo deberá dar instrucciones a su banco para que

en el espacio de información de pago detallada (notificación de remesa) de su mensaje de pago por
método SWIFT incluya los siguientes datos: monto pagado, confirmación de que el pago fue
realizado por el Donante del Fondo al fondo del CGIAR (MTO 069018) y fecha de depósito.
Una vez recibido e identificado cada depósito, y de conformidad con los términos de los

párrafos A.2.6 y A.4.3 del anexo 2 adjunto al Convenio de Contribución, el Depositario asignará la
Contribución de la siguiente manera:

Las Partes entienden que, en caso de discrepancia entre la versión en inglés y la versión en español
de dicho documento, prevalecerá la primera.

Todos los demás términos del Convenio de Contribución se mantendrán inalterables.
La presente enmienda puede ser ejecutada en segmentos individuales y por cada una de las

Partes por separado en relación con un segmento individual, y cada uno de esos segmentos, cuando

se ejecute, se considerará un original. En conjunto, dichos segmentos constituirán un único
instrumento.

vigor a partir de la fecha de la última firma.
