Grupo Rotoplas SAB de CV (BMV: AGUA) announces that its Board of Directors
approved the acquisition of 80% of the Series "A" stock of Soluciones y Tratamiento
Ecológico S.A. de C.V.
Mexico City, July 20, 2016. Grupo Rotoplas, SAB de CV (BMV: AGUA) (“Rotoplas” or the “Company”),
the leading provider of individual and integrated water solutions in the Americas, announced today
that its Board of Directors yesterday approved the acquisition (the “Transaction”) of 80% of the Series
“A” stock of Soluciones y Tratamiento Ecológico S.A. de C.V. (“Sytesa”).
As provided by the investment agreement signed by both companies, the Transaction is contingent on
the fulfillment of certain closing conditions, including the approval of the Comisión Federal de
Competencia Económica.
Rotoplas´ Board of Directors instructed the administration to submit to the Comisión Nacional Bancaria
y de Valores, the corporate restructuring information memorandum (art. 104 fraction IV of the Ley del
Mercado de Valores, art. 35 and annex P from the Disposiciones de Carácter General Aplicables a las
Emisoras de Valores y a otros Participantes del Mercado de Valores) until all the aforementioned
conditions are met, which is expected to happen during August 2016.
Sytesa is a Mexican company that designs, builds, finances, operates and provides maintenance for
wastewater treatment and recycling plants for commercial use in Mexico. Their solutions portfolio and
market share aligns perfectly with Rotoplas’ long term strategy, which will seek to accelerate Sytesa's
business model.
