Commitment constitutes another fundamental element in the Theory of Negotiation developed by the Harvard Negotiation Project. El compromiso puede ser definido como la manifestación de voluntad, oral o escrita, realizada por las partes en relación a las obligaciones que están dispuestas a asumir. Commitment may be defined as the oral or written statement of will made by the parties in relation to the obligations they are willing to assume. Un punto clave que conviene destacar es el que hace referencia al objeto del compromiso. Frecuentemente se entiende como “compromiso” aquel acuerdo sobre el fondo del asunto que se está negociando, considerándose como la última fase que culmina el proceso negociador. A key point to be highlighted is the one referred to the commitment purpose. Frequently, “commitment” is understood as such agreement on the merits of the matter to be negotiated, it being considered as the last stage culminating the negotiating process. Por tanto, una vez que las partes alcanzan un acuerdo final sobre un problema de fondo, se comprometen a realizar lo estipulado en el mencionado acuerdo. Consequently, once the parties have reached a final agreement on an underlying problem, they undertake to perform that stipulated in such agreement. No obstante, también pueden existir compromisos relativos a la forma en la que se va a regir el proceso negociador, es decir, sobre la manera en que las partes van a llevar a cabo la negociación. However, there may be also commitments relating to the manner how the negotiating process is to be governed, i.e., on the way the parties will carry out the negotiation. “La precipitación al aceptar acuerdos es uno de los errores más comunes que suelen darse en el proceso de negociación y en la mayoría de ocasiones, deja insatisfechas a las partes.” “Prematurely accepting agreements is one of the most common errors in the negotiating process and in the majority of cases the parties are finally unsatisfied.” Así, por ejemplo, cuando las partes son empresas que van a utilizar a varios representantes en sus equipos de negociadores, pueden comprometerse antes de iniciar la negociación: For example, when the parties are companies that will use several representatives in their negotiating teams, before carry on with the negotiation, they may undertake to: i. A mantener los mismos interlocutores durante todo el proceso. i. Keep the same interlocutors during the whole process. ii. A fijar un calendario de reuniones periódicas. ii. Establish a time schedule for periodical meetings. iii. A acordar el contenido o los objetivos de las reuniones. iii. Agree the contents or purposes of the meetings. Con la determinación de estas cuestiones preliminares, el proceso negociador gana en eficiencia: se ahorra tiempo al poderse preparar las reuniones con antelación, facilitando a su vez un mayor entendimiento de los interlocutores. With the establishment of these preliminary issues, the negotiating process is more efficient: time is saved to the extent the meeting may be prepared in advance, which in turn allows greater understanding between interlocutors. Iniciado el proceso de negociación, en muchas ocasiones se constata que las partes afrontan el problema de fondo mediante una continua y recíproca adopción de compromisos. Esta situación suele desembocar en un simple regateo que, como norma general, dificulta la consecución de un acuerdo negociado o, en caso de conseguirse, suele dejar insatisfechas a las partes. Upon initiation of the negotiating process, very often it is confirmed that the parties face up the underlying problem by continuously and reciprocally adopting commitments. This situation usually results in a mere bargaining that, as a general rule, complicates the achievement of a negotiated agreement or, if achieved, the parties are usually finally unsatisfied. 1 Septiembre 2016 September 2016 Por ello, una de las principales recomendaciones de la teoría del Harvard Negotiation Project consiste en comprometerse al inicio sobre las cuestiones de forma que van a regir el proceso negociador, posponiendo en la medida de lo posible hasta el final del proceso los compromisos relativos a cuestiones de fondo, una vez analizados todos los elementos fundamentales (alternativas, intereses y opciones, especialmente) que pueden intervenir en el acuerdo. For this reason, one of the principal recommendations of the Harvard Negotiation Project theory consists of undertaking from the very begging the formal issues that will govern the negotiating process and deferring, to any possible extent until the end of the process, any commitments on underlying issues, i.e., once all fundamental elements (alternatives, interests and options, particularly) that may be involved in the agreement, have been analysed. Sin embargo, en negociaciones en las que intervienen gran número de variables, es posible que la adopción de compromisos parciales durante la negociación facilite el avance del proceso y permita la continuación del mismo en base a los acuerdos parciales adoptados. However, in negotiations where a great number of variables are involved, the adoption of partial commitments during the negotiation are likely to facilitate development of the process and allow the continuation of the process based on such partial agreements adopted. A modo de ejemplo, durante el transcurso de la negociación de un contrato de suministro de piezas industriales a largo plazo, las partes podrían pactar al principio la calidad de la mercancía (compromiso parcial) y en base a este acuerdo, convenir posteriormente la cantidad, los plazos de entrega y en base a ello, el precio final del material a entregar. Es sólo un ejemplo. As an example, during the negotiation of a long-term industrial parts supply agreement, the parties may initially agree the quality of the good (partial commitment) and based on such agreement, they may then agree the amount, delivery terms and according thereto, the final price of the deliverable material. This is only an example. Uno de los factores básicos que contribuye a facilitar el éxito en la consecución de un acuerdo negociado consiste en que las partes acudan suficientemente preparadas a la negociación, ya que en muchas ocasiones se constatan compromisos sobre el fondo del asunto que han sido asumidos demasiado pronto o incluso, improvisadamente, ante una propuesta que se ha aceptado de inmediato porque parecía muy interesante y que después de analizarla posteriormente con detenimiento, no era tan atractiva o rentable como parecía de antemano. One of the basic drivers for success in the achievement of a negotiated agreement consists of the parties attending the negotiation sufficiently prepared, since on many occasions it is proven that commitments on the merits of the matter have been assumed too early or even, unexpectedly, before a proposal that has been immediately accepted because it seemed to be very interesting but then, after thoroughly analyzing the proposal, the same is not so attractive or profitable as it initially seemed to be. Prematurely accepting agreements is one of the most common errors in the negotiating process and in the majority of cases the parties are finally unsatisfied. Así, la preparación previa es una herramienta fundamental para proteger al negociador sobre la posibilidad de alcanzar acuerdos improvisados o precipitados que puedan perjudicar sus propios intereses. “(…) la preparación previa es una herramienta fundamental para evitar alcanzar acuerdos improvisados o precipitados que puedan perjudicar sus propios intereses.” Therefore, the preliminary arrangements are a fundamental tool to protect the negotiator from the possibility to reach unexpected or premature agreements that may undermine its own interests. “(…) the preliminary arrangements are a fundamental tool to protect the negotiator from the possibility to reach unexpected or premature agreements that may undermine its own interests.” Una buena forma de preparación puede consistir en la elaboración de un esquema o borrador que contenga las cuestiones básicas que deberían incluirse en el acuerdo final, intentando prever los intereses de las partes, analizando en profundidad la mayoría de opciones posibles, así como los posibles compromisos que se aceptarían al asumir un eventual acuerdo. Preparing a draft or scheme containing the basic issues to be included in the final agreement, trying to predict the interests of the parties, deeply analyzing the majority of possible options, as well as the possible commitment that would be accepted if a final agreement is reached, could be a good way to prepare the negotiation. Avanzado ya el proceso de negociación y llegado el caso de acuerdo entre las partes, sólo quedaría analizar antes de la consecución del compromiso final, los parámetros más importantes que debería tener en cuenta dicho acuerdo: The negotiating process being on an advanced stage and in the event the parties have reached an agreement, the parties should only, before executing the final commitment, analyze the most important parameters to be taken into account by such agreement: i. Asumible. Los acuerdos deben ser realistas, evitando compromisos inalcanzables o de difícil cumplimiento. ii. Duradero. Los acuerdos deben ser amplios, contemplando los intereses de las partes para evitar que futuras desavenencias quiebren su cumplimiento. iii. Práctico. Un acuerdo es mejor en la medida que sea funcional, teniendo en cuenta todas las opciones y seleccionando la óptima. iv. Comprensible. Los términos sobre el acuerdo negociado deben ser fácilmente entendibles por las partes. v. Verificable. En caso de ser necesario, el acuerdo debería ser susceptible de comprobación por cualquiera de las partes. En conclusión, si bien un compromiso puede adoptarse en cualquier momento de la negociación, las pautas más recomendables a seguir son: i. Comprometerse sobre el fondo del asunto al final de la negociación. Es posible adoptar compromisos durante el transcurso de una negociación, pero es recomendable comprometerse sobre las cuestiones de fondo al final, una vez analizados todos los factores que intervienen en el proceso. ii. Preparar la negociación. El negociador que se haya preparado adecuadamente estará más protegido ante el riesgo de alcanzar acuerdos precipitados, a la vez que podrá valorar con mayor exactitud las consecuencias de las obligaciones alcanzadas. i. Assumable. Agreements must be realistic, avoiding unreachable commitments or commitments difficult to be performed. ii. Durable. Agreements must be broad, providing for the interests of the parties to avoid future disagreements that may frustrate their performance. iii. Practical. The more functional an agreement is, the better, considering all options and selecting the optimal one. iv. Understandable. The terms on the negotiated agreement must be easily understood by the parties. v. Verificable. If necessary, the agreement should be subject to verification by any of the parties. In short, although a commitment may be adopted at any stage of the negotiation, the most advisable guidelines to be followed are: i. To be committed to the merits of the matter at the end of the negotiation. Commitments may be adopted in the course of the negotiation, but it is advisable to assume commitments on the underlying matters at the end of the negotiation, once all factors involved in the process have been analyzed. ii. Prepare the negotiation. The negotiator appropriately prepared in advance will be more protected against the risk to reach agreements prematurely and may also assess more accurately the consequences of the obligations contracted. 2 Septiembre 2016 September 2016 La responsabilidad de las empresas fabricantes ante la falta de conformidad de los productos transmitidos a consumidores y usuarios Liability of manufacturing companies for non-compliance of the products transferred to consumers and users XAVIER DE BERNAT XAVIER DE BERNAT El Real Decreto 1/2007, de 16 de noviembre, por el que se aprueba el texto refundido de la Ley General para la Defensa de los Consumidores y Usuarios y otras leyes complementarias (en adelante, "TRLGDCU"), es la norma de cabecera que regula el régimen jurídico de los consumidores y usuarios. Royal Decree 1/2007, of 16th November, approving the redrafted text of the General Act for the Defence of Consumers and Users and other ancillary laws (hereinafter referred to as "TRLGDCU"), is the leading rule regulating the legal system of consumers and users. Un aspecto muy importante que contempla y desarrolla este Real Decreto, es la falta conformidad de los bienes entregados a los consumidores y usuarios, y las consecuencias derivadas de ello. A very important aspect provided and developed by this Royal Decree is the noncompliance of the goods delivered to consumers and users and the consequences resulting from such non-compliance. Para analizar en profundidad esta cuestión, debemos tener en cuenta los siguientes puntos: i) qué debemos entender por falta de conformidad, ii) quién o quienes responderán en caso de que se produzca ésta, iii) y qué medidas se emplearán para subsanar la misma. To thoroughly analyze this issue, we must take into account the following aspects: i) what does non-compliance mean, ii) who will be liable in the event of noncompliance, iii) and what measures will be implemented to remedy such noncompliance. i) Nuestra normativa en materia de consumidores no hace una definición al uso sobre qué debemos entender por falta de conformidad, sino que establece quién responderá (a priori, el vendedor) frente a cualquier tipo de disconformidad de la siguiente manera: "entregar al consumidor y usuario productos que sean conformes con el contrato, respondiendo frente a él de cualquier falta de conformidad que exista en el momento de la entrega del producto” (art. 114 TRLGDCU). i) Our regulations on consumers do not strictly define what we must understand by non-compliance, but they establish the liable party (a priori, the seller) for any kind of non-compliance as follows: "deliver to the consumer or the user products in compliance with the contract, the same being liable for any non-compliance that may exist upon delivery of the product” (art. 114 TRLGDCU). Si bien es cierto que esa definición no aclara, ni determina, qué requisitos se deben dar para que nos encontremos ante un supuesto de falta de disconformidad, el art. 116 TRLGDCU se encarga de complementar, y clarificar, este concepto al detallar algunos de los requisitos que deben tenerse en consideración como son: la descripción previa que el vendedor hizo del producto transmitido, el uso ordinario y/o especial previsto para ese producto, el tipo de calidad y prestaciones existentes en otros productos del mismo tipo, etc. “(…) la acción directa contra el fabricante es de carácter subsidiario, de tal forma que el consumidor y usuario deberá acreditar que concurren los presupuestos del art. 124 TRLGDCU (…)” No cabe decir que los requisitos sobre la conformidad de productos con el contrato establecidos en nuestra normativa, ni son todos los que están, ni están todos los que son, pero sí que nos permiten trazar las líneas sobre las que debe girar un concepto tan genérico y difuso como es el de la conformidad, a fin de evitar la indefensión de cualquier vendedor, o fabricante, frente a un eventual abuso de derecho por parte de algún malintencionado consumidor. ii) Una vez fijadas las líneas en las que nos deberemos mover para entender la existencia de una potencial falta de conformidad, debemos analizar quién será el sujeto que deberá responder frente al consumidor en caso de que nos encontremos ante el supuesto de marras, pese a que, prima facie, respondería el vendedor, y no el fabricante. Sin embargo, y en lo que aquí respecta, a priori cabría pensar que el fabricante o productor no debería responder ante una falta de conformidad al no haber sido parte de la compraventa suscrita con el consumidor y usuario. No obstante, y pese a este razonamiento lógico, el TRLGDCU no exonera al fabricante de una posible contingencia provocada por un bien o producto fabricado por él mismo, a fin de evitar una más que posible indefensión del consumidor y usuario en caso de que el vendedor decida no hacerse cargo de la reclamación. Por ello, el art. 124 TRLGDCU amplía al fabricante o productor dicha responsabilidad al establecer que: “cuando al consumidor y usuario le resulte imposible o le suponga una carga excesiva dirigirse frente al vendedor por la falta de conformidad de los productos con el contrato podrá reclamar directamente al productor con el fin de obtener la sustitución o reparación del producto”. De esta forma, el citado artículo abre la puerta a la responsabilidad subsidiaria del fabricante o productor ante la imposibilidad por parte del consumidor y usuario de obtener una solución amistosa frente al vendedor. Si bien es cierto que el citado artículo habla de “imposibilidad o carga excesiva para dirigirse frente al vendedor”, más cierto es que en la práctica, muchos vendedores desatienden de forma deliberada las peticiones de los consumidores y usuarios, provocando que éstos se dirijan al fabricante. Although it is true that this definition does not clarify or determine the requirements for non-compliance to exist, art. 116 TRLGDCU complements and clarifies this concept when it details some of the requirements to be considered, such as: the preliminary description made by the seller of the product transferred, the ordinary and/or special use expected for such product, the quality and features existing in other products of the same type, etc. “(…) direct action against the manufacturer is of a subsidiary nature, so that the consumer and user shall verify that the requirements in art. 124 TRLGDCU concur (…)” It goes without saying that requirements on compliance of products with the contract established in our regulations are not only those provided therein, but they allow to outline the guidelines on which such a generic and vague concept as compliance must be based in order to avoid defencelessness of sellers or manufacturers to any possible abuse of law by malicious consumers. ii) Once such guidelines have been established to understand the existence of a possible non-compliance, we must analyze who will be the party to be liable to the consumer in the event of non-compliance, despite of the fact that, initially, the seller, rather than the manufacturer, would be the liable party. However, a priori, we would consider that the manufacturer or producer should not be liable for non-compliance since it has not been party to the sale entered into with the consumer and user. But, and despite this logical rationale, the TRLGDCU does not release the manufacturer from any possible contingency caused by any good or product manufactured thereby in order to avoid defencelessness of the consumer and user in the event that the seller may decide to omit the claim. For this reason, art. 124 TRLGDCU extends to the manufacturer or producer such liability when it says: “when it is impossible or an undue burden for the consumer or user to claim against the seller for non-compliance of the products with the contract, the consumer or user may claim directly to the producer in order to have the product replaced or repaired”. This way, such article allows subsidiary liability of the manufacturer or producer given the impossibility of the consumer and user to obtain an amicable solution with the seller. Although such article talks about “the impossibility or undue burden to claim against the seller”, the truth is that in practice, many sellers deliberately omit the petitions by consumers and users, thus leading them to claim against the manufacturer. 3 Septiembre 2016 September 2016 Dicho lo anterior, toda empresa fabricante debe tener en consideración que antes de responder a una eventual falta de conformidad de producto, debe cerciorarse si efectivamente ha existido tal imposibilidad o carga excesiva para que el consumidor y usuario pueda dirigirse frente al vendedor del bien. Given all that, any manufacturing company must take into account that before answering any possible product non-compliance, the manufacturer must ascertain if such impossibility or undue burden for the consumer and user to claim against the seller of the good has effectively existed. En caso contrario, se estaría amparando una actuación del consumidor que contraviene nuestro Ordenamiento Jurídico, al ignorar la responsabilidad principal del vendedor. Otherwise, the action by the consumer which contravenes our Legal System would be covered for ignoring the main liability of the seller. En consecuencia, tal y como establece una parte de nuestra jurisprudencia (SAP Madrid nº 2/2012, 10 enero, entre otras), la acción directa contra el fabricante es de carácter subsidiario, de tal forma que el consumidor y usuario deberá acreditar que concurren los presupuestos del art. 124 TRLGDCU, no bastando únicamente que la falta de conformidad sea imputable al fabricante. Consequently, as partly provided by our case law (SAP Madrid nº 2/2012, 10 January, among others), direct action against the manufacturer is of a subsidiary nature, so that the consumer and user shall verify that the requirements in art. 124 TRLGDCU concur, whereby it shall not be sufficient to say that the noncompliance is attributable to the manufacturer. Una vez determinado quién responderá ante una eventual falta de conformidad de cualquier producto, es necesario saber cómo se resolverá esta falta de conformidad. Por este motivo, el art. 118 TRLGDCU establece que “el consumidor y usuario tiene derecho a la reparación del producto, a su sustitución, a la rebaja del precio o a la resolución del contrato, de acuerdo con lo previsto en este título”. iii) Once the liable party for product non-compliance has been determined, we must know the manner how such non-compliance will be resolved. For this reason, art. 118 TRLGDCU establishes that “the consumer and user is entitled to have the product repaired or replaced or to a discount on the price or to termination of contract pursuant to that set out in this title”. Nuevamente nos encontramos frente a una pluralidad de acciones que operan de forma alternativa, y excluyente, debiendo el consumidor y usuario optar por el ejercicio de una de ellas, siempre y cuando no resulte más idónea la adopción de una medida alternativa. We are dealing again with numerous actions that operate alternatively and selectively, the consumer and user being obliged to opt for one of them, provided that the adoption of an alternative measure may not be more appropriate. Consecuentemente, debemos tener en cuenta que las acciones principales que los consumidores y usuarios disponen para resolver la discrepancia son: a) reparar el producto, o b) sustituirlo. Adicionalmente, y de forma subsidiaria podrán solicitar: c) rebajar el precio de compra o d) resolver la compraventa suscrita. Sin embargo, las actuaciones tendentes a la rebaja del precio o la resolución de la compraventa pueden comportar graves problemas cuando el responsable de la falta de conformidad del producto sea el fabricante o productor, por cuanto éste no ha sido parte de la relación jurídica objeto de resolución (compraventa entre el vendedor y el consumidor y usuario), ni recibió precio alguno por parte del consumidor y usuario que le permitan rebajar el precio de compra, y por tanto, devolver una parte de dicho importe. En definitiva, toda empresa fabricante debe tener en consideración que su responsabilidad por la falta de conformidad de un producto se producirá en caso de que resulte acreditada la imposibilidad del consumidor y usuario para dirigirse frente al vendedor. Asimismo, la forma en la que se subsanará la disconformidad del producto no quedará al libre albedrío del consumidor y usuario, sino que deberá respetar la idoneidad de la medida adoptada respecto a las otras opciones existentes, como por ejemplo ser la medida menos gravosa para el fabricante. Finalmente, debemos recordar que este compendio de medidas tendentes a identificar a los responsables de una falta de conformidad de producto se ven alteradas habitualmente por nuestros tribunales, al actuar en favor del consumidor y usuario, e imputando una responsabilidad solidaria al fabricante, pese a que no se den los requisitos previstos en el art. 124 TRLGDCU (imposibilidad o carga excesiva para dirigirse contra el vendedor). Consequently, we must take into account that the main actions of consumers and users to resolve the discrepancy are: a) repair the product, or b) replace the product. Additionally and on a subsidiary manner they may request: c) a discount on the purchase price or d) terminate the sale executed. However, actions to have a discount on the price or termination of the sale may imply serious problems when the liable party for the product non-compliance is the manufacturer or producer to the extent that the latter has not been party to the legal relation subject matter of termination (the sale between the seller and the consumer or user) and has not received any price by the consumer and user that allow it to lower the price and thus to return part of such amount. All in all, any manufacturing company must take into account that its liability for any product non-compliance shall arise in the event that the impossibility of the consumer and user to claim against the seller has been proven. Similarly, the manner how such product non-compliance will be remedied shall not depend on the consumer and user’s free will, but the appropriateness of the measure adopted shall prevail over the rest of the existing options, as for example for such measure to be the less burdensome for the manufacturer. Finally, we must remind that this summary of measures designed to identify the liable parties of product non-compliance is usually altered by our courts when acting in favour of consumers and users and assigning joint and several liability to the manufacturer, despite the fact that the requirements set out in art. 124 TRLGDCU (impossibility or undue burden to claim against the seller) are not met. 4
