SUBSCRIBER RULES
REGLAS DE SUSCRIPCIÓN
(Mexican Vendors of Lowe’s Mexico)
(Los proveedores Mexicanos de Lowe's Mexico)
Subscriber Rules (the "Rules") issued by Lowe's
Companies Mexico, S. de R.L. de C.V., a Mexican
corporation with corporate offices at Gómez Morin 955 Sur,
L-104 and 106, Montebello, San Pedro Garza García, Nuevo
León, 66279 ("Lowe's"), and accepted by the party
indicating its acceptance through an electronic signature as
set forth in Section 6.9 below (the "Subscriber").
Las Reglas de Suscripción (las “Reglas”) emitidas
por Lowe’s Companies México, S. de R.L. de C.V. una
sociedad mexicana con oficinas corporativas en Goméz
Morin 955 Sur, L-104 y Montebello 106, San Pedro Garza
García, Nuevo León, 66279 (“Lowe’s”), y aceptadas por la
parte que indica su conformidad por medio de una firma
electrónica como se indica en la Sección 6.9 siguiente (el
“Suscriptor”).
Propósito
Statement of Purpose
Lowe's and Subscriber desire to enhance their
business relationship by utilizing certain Internet-based
applications and other support services. For that purpose,
the Subscriber hereby accepts to abide by these Rules that
set forth the terms and conditions pursuant to which Lowe's
will allow Subscriber to access Lowe’s web site at
www.loweslink.com (the "Site"), by use of one or more
Digital Certificates (as defined in Article 2 below) issued to
Subscriber by Lowe's (collectively, the "Certificate"), for
purposes of obtaining or providing Internet-based
application services and/or Internet-based support services
from or to Lowe's.
ARTICLE I
ACCESS TO AND USE OF SITE
1.1 Access Authority and Conditions. Subject to
the terms of these Rules, which Subscriber, by means of its
electronic signature agrees to accept, Lowe's agrees to
permit and authorize Subscriber to access the Site on a
limited, revocable, non-exclusive, non-transferable basis
solely for the purpose of obtaining or providing Internetbased application services and/or Internet-based support
services from or to Lowe's and exchanging product, sales
and related information to enhance the business relationship
between Lowe's and Subscriber. Lowe's may, in its sole
discretion, provide Subscriber with access on the Site to
certain data pertaining to Subscriber's business with Lowe's
or other information relevant to Lowe's (collectively, the
"Information"). Subscriber's access to the Site and
Information shall be subject to the terms of these Rules, any
guidelines, rules or regulations issued by Lowe's from time
to time in its sole discretion and the following terms:
a. Subscriber shall not use or access the
Site or Information in any way that, in Lowe's sole
discretion, may adversely affect the performance or function
of the Site.

Suscriptor por medio del presente acepta cumplir con estas
Reglas que establecen los términos y condiciones por virtud
de los cuales Lowe's permitirá al Suscriptor acceder al sitio
web de Lowe's www.loweslink.com (el “Sitio”), por medio
del uso de uno o más Certificados Digitales (como se define
en el Artículo 2 siguiente) emitidos para el Suscriptor por
Lowe's (conjuntamente el “Certificado”), con el propósito
de obtener o proveer aplicaciones de servicios con base en
Internet y/o servicios de soporte con base en Internet de o
para Lowe's.
ARTÍCULO I
ACCESO Y USO DEL SITIO
1.1 Autorización para el Acceso y Condiciones.
Sujeto a los términos de estas Reglas, las cuales el
Suscriptor, por medio de su firma electrónica conviene
aceptar, Lowe's acuerda permitir y autorizar al Suscriptor
acceder al Sitio de forma limitada, revocable, no exclusiva y
no transferible con el único propósito de obtener o
proporcionar servicios de aplicación con base en Internet
y/o servicios de soporte con base en Internet de o para
Lowe's e intercambiando productos, ofertas e información
relacionada para mejorar la relación de negocios entre
Lowe's y el Suscriptor. Lowe's puede, a su entera discreción,
proveer al Suscriptor acceso al Sitio a ciertos datos relativos
al negocio del Suscriptor con Lowe's u otra información
relevante para Lowe's (conjuntamente la “Información”). El
acceso del Suscriptor al Sitio y a la Información deberá estar
sujeto a los términos de estas Reglas, cualquier guía, reglas
o reglamentos emitidos por Lowe's de tiempo en tiempo a su
entera discreción y en los siguientes términos:
a. El Suscriptor no deberá usar o acceder al Sitio o
a la Información de ninguna manera que, a la entera
discreción de Lowe's, pueda afectar de forma adversa el
desempeño o función del Sitio.
b. Subscriber shall not gain access, or
attempt to gain access, by any means, to any unauthorized
portion of Lowe's computer system or database, other than
the Site.
c. Subscriber shall not use or attempt to
use the Site to obtain data or other information except
Information that pertains to Subscriber's business with
Lowe's.
d. Lowe's may terminate, update, alter or
supplement all or any portion of the Site and all or any
portion of the Information in its sole discretion without
providing Subscriber with notice thereof. While Lowe's
does not presently charge for access to the Site and
Information, Lowe's may assess such charges in the future
in its sole discretion by providing notice of such charges to
Subscriber.
e. Subscriber may not use the Information
for any purpose other than to facilitate its business
relationship with Lowe's; nor may Subscriber disclose any
Information to any third party without Lowe's prior written
consent. Upon termination of Subscriber’s authorization to
access the Site, Subscriber shall return to Lowe's all
computer files or written materials in Subscriber's
possession that contain, or were derived or prepared based
upon, the Information or any other content on the Site.
f. Subscriber agrees to comply with all
security procedures established by Lowe’s and in particular
acknowledges its responsibility to maintain appropriate
access to the Site.
g. Subscriber shall not copy, use, modify
or prepare derivative works from Information or other
content on the Site other than to facilitate its business
relationship with Lowe's.
b. El Suscriptor no deberá obtener acceso, o
intentar obtener acceso, por cualquier medio, a alguna parte
no autorizada del sistema de cómputo o a la base de datos de
Lowe's, aparte del Sitio.
c. El Suscriptor no deberá usar o intentar usar el
Sitio para obtener datos u otra información excepto la
Información que se refiere al negocio del Suscriptor con
Lowe's.
d. Lowe's puede terminar, actualizar, alterar o
complementar todo o cualquier porción del Sitio y todo o
cualquier porción de la Información a su entera discreción
sin proveer al Suscriptor notificación alguna del mismo.
Mientras Lowe's no cobre por el acceso al Sitio y a la
Información en la actualidad, Lowe's puede evaluar dichos
cobros en el futuro a su entera la discreción proveyendo
noticias de dichos cobros al Suscriptor.
e. El Suscriptor no puede usar la Información para
ningún propósito que no sea facilitar su relación de negocios
con Lowe's; el Suscriptor tampoco puede revelar
Información alguna a cualquier tercero sin la previa
autorización por escrito de Lowe's. A la terminación de la
autorización del Suscriptor para acceder al Sitio, el
Suscriptor deberá devolver a Lowe's todos los archivos de
computadora o material escrito que estén en posesión del
Suscriptor que contengan, o fueren derivados de o
preparados con base en la Información o cualquier otro
contenido del Sitio.
f. El Suscriptor acepta cumplir con todos los
procedimientos de seguridad establecidos por Lowe's y en
particular reconoce su responsabilidad para mantener un
acceso apropiado al Sitio.
g. El Suscriptor no deberá copiar, usar, modificar o
preparar trabajos derivados de la Información o de otro
contenido en el Sitio que no sean para facilitar su relación
de negocios con Lowe's.
1.2 Subscriber Data. Subscriber agrees that Lowe's
may collect publicly available data or other information
about Lowe’s, and its business and business activities with
Subscriber, that such data and other information (relating to
periods both before and after the date of acceptance of these
Rules by Subscriber) shall be the sole property of Lowe's
and that Lowe's may incorporate such data or information
into the Information made available on the Site at any time,
without Subscriber's consent.
1.2 Datos del Suscriptor. El Suscriptor acepta que

público sobre Lowe's, y su negocios y actividades de

1.3 Evaluation. Upon Lowe's request, Subscriber
shall, at its own expense, assist and cooperate with Lowe's
in its analysis and evaluation of the accuracy, accessibility,
functionality and usability of the Site, any portion thereof or

1.4 Acknowledgement. Subscriber acknowledges

time to time in Lowe's sole discretion without notice to
Subscriber. Subscriber expressly acknowledges that Lowe's
makes no representation and provides no warranties
regarding the availability or functionality of the Site and that
inaccuracies and interruptions in the availability,
functionality and completeness of the Site and Information
are possible.
Subscriber further acknowledges that
Subscriber is solely responsible for Subscriber’s own
internet access and connectivity and such access to the
internet is outside Lowe’s control.
1.5 Support. Lowe's shall have no obligation to
provide any support or maintenance for the Site; nor shall
Lowe's have any obligation to provide access to, maintain,
update or ensure the accuracy of the Information or other
content on the Site.
ARTICLE II
DIGITAL CERTIFICATE

relación con la disponibilidad o funcionalidad del Sitio y

funcionalidad e integridad del Sitio y de la Información son
posibles. El Suscriptor además reconoce que el Suscriptor es
el único responsable del acceso a Internet del Suscriptor y
de la conectividad, y dicho acceso a Internet está fuera del
control de Lowe's.
1.5 Soporte. Lowe's no tendrá obligación alguna de
proveer soporte o mantenimiento al Sitio; Lowe's tampoco
tendrá obligación alguna de proveer acceso a, mantener,
actualizar o asegurar la exactitud de la Información u otro
contenido en el Sitio.
ARTÍCULO II
CERTIFICADO DIGITAL
2.1 Periodo Opcional y Restricciones de Uso.
2.1 Operational Period and Use Restrictions.
a. The operational period ("Operational
Period") for the Certificate will be three (3) years from the
date on which Subscriber accepts to abide by these Rules by
setting forth its electronic signature as set forth in Section
6.9 below (the “Effective Date”), subject to earlier
termination of the Operational Period due to suspension or
revocation in accordance with these Rules. Subscriber is
prohibited from using the Certificate (i) for purposes other
than obtaining or providing Internet-based application
services and/or Internet-based support services from or to
Lowe's or (ii) for or on behalf of any other organization.
Expiration of the Certificate shall not affect the validity of
any underlying covenants of Subscriber under these Rules
or under any other agreement between Subscriber and
Lowe's.
b. Subscriber shall use the Certificate only
in accordance with applicable laws, rules and regulations,
now or hereafter imposed and with any conditions of use
that may be established or specified by Lowe's from time to
time and as may be set forth in any documentation or
instructions furnished by Lowe's (electronically or
otherwise). Lowe's reserves the right to take all actions,
including suspension or revocation of the Certificate
pursuant to these Rules which it believes to be advisable to
comply with applicable laws, rules and regulations, and with
Lowe's conditions of use as described above.
a. El periodo operacional (“Periodo Operacional”)
para el Certificado será de tres (3) años a partir de la fecha
en la que el Suscriptor acepte acatar estas Reglas al exponer
su firma electrónica como se establece en la Sección 6.9
siguiente (la “Fecha Efectiva”), sujeto a la terminación
anticipada del Periodo Operacional debido a la suspensión o
revocación de acuerdo con estas Reglas. El Suscriptor tiene
prohibido usar el Certificado (i) para propósitos diferentes a
la obtención o provisión de servicios de aplicación con base
en Internet y/o servicios de soporte con base en Internet de o
para Lowe's o (ii) para o en beneficio de cualquier otra
organización. La expiración del Certificado no deberá
afectar la validez de cualquier pacto esencial del Suscriptor
bajo estas Reglas o bajo cualquier otro contrato entre el
Suscriptor y Lowe's.
b. El Suscriptor deberá usar el Certificado
únicamente de acuerdo con las leyes, reglas y reglamentos
aplicables en la actualidad o impuestas en el futuro y con
cualquier condición de uso que puede ser establecida o
especificada por Lowe's de tiempo en tiempo y como pueda
ser especificada en cualquier documentación o instrucciones
realizadas por Lowe's (electrónicamente o de otra manera).
Lowe's se reserva el derecho de tomar cualquier acción,
incluyendo la suspensión o revocación del Certificado de
conformidad con estas Reglas que crea que es adecuado
para cumplir con las leyes, reglas y reglamentos aplicables y
con las condiciones de uso de Lowe's descritas
anteriormente.
2.2 Certificate Acceptance. Subscriber will be
deemed to have accepted the Certificate ("Acceptance") if it
does not notify Lowe's in writing within three business days
after its receipt thereof from Lowe's of any inaccuracy or
defect in the Certificate. By accepting the Certificate,
Subscriber certifies to Lowe's and to its affiliates that, from
the Effective Date and throughout the Operational Period:

condenado de haber aceptado el Certificado (la
“Aceptación”) si no notifica a Lowe's por escrito dentro de
los tres días hábiles siguientes a su recibo de parte de
Lowe's sobre cualquier inexactitud o defecto en el
Certificado. Al aceptar el Certificado, el Suscriptor certifica
a Lowe's y a sus afiliadas que, a partir de la Fecha Efectiva
y durante el Periodo Operacional:
a. each digital signature created using the
private key corresponding to the public key listed in the
Certificate is the digital signature of the Subscriber, and that
the Certificate has been accepted and is operational (not
expired, suspended or revoked) at the time the digital
signature is created;
a. cada firma digital creada usando la clave privada
correspondiente a la clave pública listada en el Certificado

informational services from or to Lowe's, consistent with
these Rules.

2.3 Private Key Protection. Subscriber shall protect
the secrecy of the private key associated with the Certificate
through the use of encryption software or hardware tokens
as reasonably specified by Lowe's from time to time. By its
Acceptance of the Certificate, Subscriber assumes a duty to
retain control of its private key and to take reasonable
precautions to prevent its loss, disclosure, modification, or
unauthorized use. Subscriber acknowledges that it, and not
Lowe's, is exclusively responsible for protecting its private
key from compromise, loss, disclosure, modification or
unauthorized use. Further, Subscriber acknowledges and
agrees that any delegation by it of any of the foregoing
responsibilities will not relieve Subscriber of its
responsibilities and liabilities concerning the generation,
use, retention or proper destruction of its private key.
2.3 Protección de la Clave Privada. El Suscriptor
deberá proteger el secreto de la clave privada asociada con
el Cerificado por medio del uso de software de encriptación
o fichas de hardware razonablemente especificadas por
Lowe's de tiempo en tiempo. Por medio de su Aceptación de
el Certificado, el Suscriptor asume una obligación de retener
control de su clave privada y de tomar precauciones
razonables para prevenir su pérdida, divulgación,
modificación, o uso no autorizado. El Suscriptor reconoce
que el, y no Lowe's, es exclusivamente responsable de
proteger su clave privada de algún compromiso, pérdida,
divulgación, modificación o uso no autorizado.
Adicionalmente, el Suscriptor reconoce y acepta que
cualquier delegación por el de cualquiera de las
responsabilidades aquí establecidas no liberará al Suscriptor
de sus responsabilidades y pasivos concernientes a la
generación, uso, retención o destrucción adecuada de su
clave privada.
2.4 Responsabilidad del Suscriptor con Partes
2.4 Subscriber Liability to Relying Parties.
Without limiting any of Subscriber's other obligations under
these Rules, Subscriber hereby acknowledges and agrees
that it is liable for any misrepresentations it makes in the
Certificate to Lowe's.
Dependientes. Sin limitar ninguna de las otra obligaciones
del Suscriptor bajo estas Reglas, el Suscriptor por medio del
presente reconoce y acepta que es responsable por cualquier
distorsión que haga en el Certificado a Lowe's.
2.5 Suspensión o Revocación del Certificado.
2.5 Suspension or Revocation of Certificate.
a. Lowe's may suspend or revoke the
Certificate, in its sole discretion and regardless of whether
Subscriber consents or agrees, if (i) a material fact
represented in the Certificate is known or reasonably
believed by Lowe's to be false, (ii) a material prerequisite to
Certificate issuance was neither satisfied nor waived, (iii)
there has been a loss, theft, modification, unauthorized
disclosure or other compromise of the private key of the
Certificate's subject, or (iv) Subscriber has breached an
obligation under these Rules or under any agreement with
Lowe's.
b. In addition to the foregoing, Subscriber
acknowledges and agrees that Lowe's shall also have the
right, in its reasonable discretion, to suspend or revoke the
Certificate at any time, and for any reason or for no reason
at all.
2.6 Effect of Suspension or Revocation. During
suspension, or permanently upon revocation of the
Certificate, the Certificate's Operational Period shall
immediately be considered terminated; provided, however,
that any such suspension or revocation shall not affect any
underlying covenants by Subscriber under these Rules. In
the event of any such suspension or revocation, the private
key corresponding to the public key contained in suspended
or revoked Certificate must be safeguarded by Subscriber
throughout the period of suspension and destroyed upon
revocation. Upon notice of revocation of the Certificate,
Subscriber must also permanently remove the Certificate
from the server or other computer equipment on which it is
installed and thereafter not use it for any purpose
whatsoever.
ARTICLE III
TERM AND TERMINATION
a. Lowe's puede suspender o revocar el Certificado,
a su entera discreción e independientemente de si el
Suscriptor lo consiente o acepta, si (i) un hecho material
representado en el Certificado se sabe o Lowe's
razonablemente cree que es falso, (ii) un prerrequisito
material a la emisión del Certificado no fue satisfecho o
renunciado, (iii) ha habido una pérdida, robo, modificación,
revelación no autorizada u otro compromiso de la clave
privada del sujeto del Certificado, o (iv) el Suscriptor ha
incumplido una obligación bajo estas Reglas o bajo
cualquier contrato con Lowe's.
b. Además de lo anterior, el Suscriptor reconoce y
acepta que Lowe's deberá también tener el derecho, a su
razonable discreción, de suspender o revocar el Certificado
en cualquier momento, y por cualquier razón o por ninguna
razón en lo absoluto.
2.6 Efecto de la Suspensión o Revocación. Durante
la suspensión, o permanentemente sobre la revocación del
Certificado, el Periodo Operacional del Certificado deberá
considerase como terminado inmediatamente; siempre y
cuando dicha suspensión o revocación no deberá afectar
ninguna obligación esencial del Suscriptor bajo estas
Reglas. En el evento de cualquier suspensión o revocación,
la clave privada correspondiente a la clave pública
contenida en el Certificado suspendido o revocado deberá
ser salvaguardada por el Suscriptor durante el periodo de
suspensión y ser destruida mediante la revocación. Mediante
la notificación de la revocación del Certificado, el
Suscriptor deberá también permanentemente remover el
Certificado del servidor u otro equipo de cómputo en que
esté instalado y a partir de entonces no usarlo para ningún
propósito en absoluto.
ARTÍCULO III
PLAZO Y TERMINACIÓN
3.1 Term. The term of Subscriber’s authorization
to access the Site, the Information and to Use the Certificate
shall commence as of the Effective Date and shall terminate
in accordance with Section 3.2 of these Rules.
3.1 Plazo. El plazo de la autorización del Suscriptor
para acceder al Sitio, la Información y al Uso del
Certificado deberá comenzar desde la Fecha Efectiva y
deberá terminar de conformidad con la Sección 3.2 de estas
Reglas.
3.2 Termination. Lowe's, in its sole discretion,
may terminate Subscriber's authorization to access the Site
and Information and use of the Certificate at any time, and

Subscriber of such termination (which may include an
electronic mail message). Subscriber may elect to cease
using the Certificate and accessing the Site at any time for
any or no reason upon five (5) days written notice (which
may include an electronic mail message) to Lowe’s.
ARTICLE IV
DISCLAIMER OF WARRANTIES,
LIMITATION ON LIABILITY
AND INDEMNIFICATION
4.1 DISCLAIMER OF WARRANTIES.
A. THE INFORMATION AND USE OF
THE SITE ARE PROVIDED "AS IS." NO WARRANTY,
INCLUDING A WARRANTY AS TO THE CONDITION,
QUALITY, DURABILITY, PERFORMANCE, NONINFRINGEMENT, OR USE OF THE SITE OR THE
INFORMATION IS GIVEN OR ASSUMED BY LOWE'S.
LOWE'S MAKES NO WARRANTY WITH RESPECT TO
THE ACCURACY OR COMPLETENESS OF THE
INFORMATION. LOWE'S DOES NOT WARRANT
THAT SUBSCRIBER'S USE OF THE SITE WILL BE
UNINTERRUPTED, SECURE OR ERROR FREE.
B. LOWE'S MAKES NO WARRANTY
OR REPRESENTATION, AND HEREBY DISCLAIMS
ANY WARRANTY CONCERNING THE ADEQUACY,
COMPLETENESS, USEFULNESS OR SUFFICIENCY
OF ANY CERTIFICATION SERVICES PROVIDED
HEREUNDER.
WITHOUT
LIMITING
THE
GENERALITY
OF
THE
FOREGOING,
NO
WARRANTIES OF ANY TYPE ARE MADE WITH
RESPECT TO THE CERTIFICATION SERVICES.
4.2 Indemnification. Subscriber will, at its sole cost
and expense, indemnify and hold Lowe's, its affiliates and
its and their respective officers, directors, employees,
agents, successors and assigns harmless from and against
any and all claims, losses, damages, judgments, cost and
expenses (including attorneys' fees and expenses) arising
out of or related to (a) Subscriber's use of the Site or
Information; (b) any breach or non-performance by
Subscriber of the terms of these Rules in any manner; (c)
use or publication of a Certificate in cases involving (i)
falsehood or misrepresentation of fact by Subscriber (or a
person acting upon instructions from Subscriber), (ii) failure
by Subscriber to disclose a material fact, if the

orden, resolución judicial o juicio y sin responsabilidad
alguna para Lowe’s, al notificar al Suscriptor de dicha
terminación (la cual puede incluir un mensaje de correo
electrónico). El Suscriptor puede elegir dejar de usar el
Certificado y acceso al Sitio en cualquier momento por
cualquier o ninguna razón dentro de cinco (5) días después
de la notificación por escrito (que puede incluir un mensaje
de correo electrónico) a Lowe’s.
ARTÍCULO IV
NOTIFICACIÓN DE GARANTÍAS,
LIMITACIÓN DE LA RESPONSABILIDAD
E INDEMNIFICACIÓN
4.1 NOTIFICACIÓN DE GARANTÍAS.
A. LA INFORMACIÓN Y USO DEL SITIO SE
PROVEEN “COMO ESTÁN.” NINGUNA GARANTÍA,
INCLUYENDO GARANTÍA EN CUANTO A LA
CONDICIÓN,
CALIDAD,
DURABILIDAD,
RENDIMIENTO, NO INFRACCIONES O USO DEL
SITIO O DE LA INFORMACIÓN SE DA O SE ASUME
POR LOWE’S. LOWE’S NO OTORGA GARANTÍA
ALGUNA RESPECTO A LA EXACTITUD O
EXHAUSTIVIDAD DE LA INFORMACIÓN. LOWE’S
NO GARANTIZA QUE EL USO DEL SITIO POR PARTE
DEL SUSCRIPTOR SEA ININTERRUMPIDO, SEGURO
O SIN ERRORES.
B. LOWE’S NO GARANTIZA NI HACE
NINGUNA DECLARACIÓN, Y POR MEDIO DEL
PRESENTE DESCARTA CUALQUIER GARANTÍA
CONCERNIENTE A LA ADECUACIÓN, INTEGRIDAD,
USO O SUFICIENCIA DE CUALQUIER SERVICIO DE
CERTIFICACIÓN QUE SE PREVÉ EN EL PRESENTE.
SIN LIMITAR LA GENERALIDAD DEL PRESENTE,
NINGUNA GARANTÍA DE NINGÚN TIPO SE HACE
CON RESPECTO A LA CERTIFICACIÓN DE LOS
SERVICIOS.
4.2 Indemnización. El Suscriptor deberá, a su
exclusivo costo y gasto, indemnizar a Lowe's, sus afiliados
y sus respectivos oficiales, directores, empleados, agentes,
sucesores y representantes y sacar en paz y a salvo de o
contra cualquiera y todos los reclamos, pérdidas, daños,
juicios, costos y gastos (incluyendo honorarios y gastos
legales) que surjan de o relacionados con (a) el uso del
Suscriptor del Sitio o de la Información; (b) cualquier
incumplimiento o no realización del Suscriptor de los
términos de estas Reglas de cualquier manera; (c) uso o
publicación de un Certificado en casos que involucren (i)
falsedad o mala interpretación de hecho por parte del
Suscriptor (o una persona actuando por instrucciones del
Suscriptor), (ii) incumplimiento por parte del Suscriptor al
revelar un hecho material, si la mala interpretación u
misrepresentation or omission was made negligently or with
intent to deceive Lowe's or any person receiving or relying
on the Certificate, or (iii) failure to protect Subscriber's
private key, or to otherwise take the precautions necessary
to prevent the compromise, loss, disclosure, modification, or
unauthorized use of Subscriber's private key. Subscriber
shall permit Lowe's to participate in any such action to the
extent that, in Lowe's judgment, Lowe's may be prejudiced
thereby, and Subscriber shall not settle any such action
without the prior written consent of Lowe's.
ARTICLE V
CONFIDENTIALITY AND OWNERSHIP OF SITE

deberá permitir a Lowe's participar en dicha acción en la
medida en que, a juicio de Lowe's, Lowe's podría ser
perjudicado por la misma, y el Suscriptor no deberá transigir
dicha acción sin el consentimiento previo y por escrito de
Lowe's.
ARTÍCULO V
CONFIDENCIALIDAD Y PROPIEDAD DEL
SITIO
5.1 Confidentiality. Subscriber shall maintain in
confidence and not disclose in any manner to any third party
without Lowe's prior written consent (i) the existence and
terms of these Rules; (ii) the existence, URL address,
functionality, features, underlying concept or any aspect of
the Site; (iii) any Information, and; (iv) any information
appearing on the Site that (a) was not known by Subscriber
prior to the Effective Date, (b) is not publicly available, (c)
was not disclosed to Subscriber free from any duty of
confidentiality, or (d) was not independently developed by
Subscriber.
5.1 Confidencialidad. El Suscriptor deberá
mantener en confidencialidad y no revelar de ninguna
manera a ningún tercero sin el consentimiento previo y por
escrito de Lowe's (i) la existencia y términos de estas
Reglas; (ii) la existencia, dirección de URL, funcionalidad,
características, concepto esencial o algún aspecto del Sitio;
(iii) ninguna Información, y; (iv) cualquier información que
aparezca en el Sitio que (a) no haya sido conocida por el
Suscriptor con anterioridad a la Fecha Efectiva, (b) no esté
disponible al público en general, (c) no haya sido revelada al
Suscritor libre de cualquier deber de confidencialidad, o (d)
no fue desarrollada de forma independiente por el
Suscriptor.
5.2 Ownership. By permitting access to the Site
and Information hereunder, Lowe’s does not convey to
Subscriber any right to or interest in the Site, the content on
the Site, the Information or any other property of Lowe’s.
Any data and information about Lowe’s business and
business activities with Subscriber, whether provided to
Lowe’s by Subscriber or developed by Lowe’s
independently, shall be the sole property of Lowe’s. Lowe’s
shall retain the sole and exclusive editorial and creative
control of the Site. Subscriber hereby acknowledges that
the Site, its operation, the private key, the Digital
Certificates, content, and underlying concept are Lowe’s
property and that Lowe’s owns all right, title and interest in
and to the Site and its content, including any patent,
trademark, copyright, or domain names rights therein.
5.2 Propiedad. Al permitir el acceso al Sitio y a la
Información por medio del presente, Lowe's no transmite al
Suscriptor ningún derecho a o interés en el Sitio, el
contenido en el Sitio, la Información o cualquier otro
propiedad de Lowe's. Cualquier dato e información acerca
del negocio de Lowe's y las actividades comerciales con el
Suscriptor, ya sean proporcionados a Lowe's por el
Suscriptor o desarrollados independientemente por Lowe's,
deberán ser de la exclusiva propiedad de Lowe's. Lowe's
deberá retener el único y exclusivo control editorial y
creativo del Sitio. El Suscriptor reconoce por medio del
presente que el Sitio, su operación, la clave privada, el
contenido de los Certificados Digitales y conceptos
esenciales son propiedad de Lowe's y que Lowe's es dueño
de todos los derechos, títulos e intereses en y para el Sitio y
su contenido, incluyendo cualquier derecho de patente,
marca, registro o nombre de dominio del Sitio.
ARTICLE VI
MISCELLANEOUS
6.1 Master Standard Buying Agreement. In the
event Lowe’s and Subscriber are (or become during the term
of the Certificate) parties to a Master Standard Buying

el evento de que Lowe's y el Suscriptor sean (o se

Contrato de Compraventa Maestro Estándar (el “MSBA”)
Agreement (the “MSBA”) that governs the business
relationship of the parties, they agree that these Rules shall
constitute an addendum to such MSBA which shall remain
in full force and effect notwithstanding Subscriber’s
acceptance of these Rules, and in the event of any conflict
or inconsistency between the MSBA and these Rules, the
terms of the MSBA, as it may be amended from time to
time, shall control.

tiempo, deberán prevalecer.
6.2 Amendment and Waiver. Lowe’s may in its
sole discretion establish guidelines and procedures
additional to these Rules for Subscriber’s access to and use
of the Site, that shall be binding upon Subscriber and
considered part of these Rules. Neither the course of
conduct between the parties nor trade usage shall act to
modify or alter the provisions of these Rules. No provision
of these Rules shall be deemed waived by Lowe’s unless
such waiver is in written or electronic form and signed
(including electronically) by a duly authorized officer of
Lowe’s.
6.2 Enmienda y Renuncia. Lowe's puede a su entera
discreción establecer pautas y procedimientos adicionales a
estas Reglas para el acceso del Suscriptor al Sitio y el uso al
mismo, que deberán ser obligatorias para el Suscriptor y se
considerarán como parte de estas Reglas. Ni el curso de la
conducta entre las partes ni el uso comercial deberá actuar
para modificar o alterar las disposiciones de estas Reglas.
Ninguna disposición de estas Reglas se considerará
renunciada por Lowe's a menos de que dicha renuncia sea
por escrito o en forma electrónica y firmada (incluyendo la
electrónica) por un representante debidamente autorizado de
Lowe's.
6.3 Authority. Subscriber represents and warrants
that the person accepting these Rules on its behalf has full
right and authority to do so on Subscriber’s behalf.
6.3 Autoridad. El Suscriptor declara y garantiza que
la persona que acepta estas Reglas en su beneficio tiene
plenos derechos y autoridad para hacerlo en beneficio del
Suscriptor.
6.4 Dispute Resolution. All disputes arising out of
or in connection with these Rules shall be finally settled
under the Rules of Arbitration of the International Chamber
of Commerce by three arbitrators appointed in accordance
with said rules. The place of such arbitration shall be
Mexico City and the controlling language shall be the
Spanish language.

laws of the United Mexican States excluding its conflicts of

6.6 Attorneys’ Fees. Should Lowe’s use the
services of an attorney to enforce any of its rights hereunder
in an action in which Lowe’s prevails, Subscriber shall pay
Lowe’s for all costs and expenses incurred, including
reasonable attorney’s fees.
6.7 Assignment. Subscriber may not assign any of
its rights or delegate any of its duties hereunder, including
without limitation any rights with respect to or the use of the
Certificate, without the prior written consent of Lowe’s.
Lowe’s may assign its rights or delegate its duties under
these Rules to a parent, affiliate, subsidiary, or successor in
interest.
6.4 Resolución de Controversias. Todas las
controversias derivadas de o en conexión con estas Reglas
deberán ser finalmente resueltas bajo las Reglas de Arbitraje
de la Cámara Internacional de Comercio por tres árbitros
nombrados de conformidad con dichas reglas. El lugar de
dicho arbitraje será la Ciudad de México y el lenguaje
controlador deberá ser el idioma Español.
6.5 Legislación Aplicable. Estas Reglas deberán ser
reguladas por y ser interpretadas de conformidad con las
leyes federales de los Estados Unidos Mexicanos
excluyendo los conflictos de principios legales.
6.6 Honorarios de Abogados. Si Lowe's usa los
servicios de un abogado para hacer efectivo cualquier
derecho otorgado en el presente en una acción en que
Lowe's resulte vencedor, el Suscriptor deberá pagar a
Lowe's por todos los costos y gastos en los que haya
incurrido, incluyendo honorarios razonables de los
abogados.
6.7 Cesión. El Suscriptor no puede ceder ningún
derecho o delegar alguno de sus deberes establecidos en el
presente, incluyendo sin limitación cualquier derecho
respecto a o al uso del Certificado, sin la autorización previa
y por escrito de Lowe's. Lowe's podrá ceder sus derechos o
delegar sus deberes bajo estas Reglas a una matriz, afiliada,
subsidiaria o sucesora en intereses.
6.8 Governmental Regulations. Lowe’s obligation
to perform the Certification services contemplated
hereunder is subject to all governmental requirements and
restrictions that may now be or hereafter become applicable
thereto.
6.9 Signature. For purposes of the acceptance of
Subscriber of these Rules, Subscriber agrees to set forth an
electronic signature by checking the relevant “box” in the
Site where these Rules are set forth. An electronic signature
shall constitute a valid signature, in accordance with article
89 Bis and all other related articles of the Mexican Business
Code (Código de Comercio); all other applicable legal
dispositions, stating that the electronic signature complies
with all the security and validation requirements of article
97 of the Mexican Business Code (Código de Comercio)
and all other applicable dispositions.
6.10 Spanish Language. These Rules are set forth
in English and Spanish; in case of any conflict in connection
with these Rules, the Spanish version shall prevail over the
English one.
6.8 Regulaciones Gubernamentales. La obligación
de Lowe's de llevar a cabo los servicios de Certificación
contemplados en el presente está sujeta a todos los
requisitos gubernamentales y restricciones que sean
aplicables o se hagan aplicables en su momento.
6.9 Firma. Con el propósito de la aceptación del
Suscriptor a estas Reglas, el Suscriptor acepta establecer una
firma electrónica al seleccionar el “cuadro” relevante en el
Sitio donde estas Reglas se encuentran establecidas. Una
firma electrónica deberá constituir una firma válida, de
conformidad con el artículo 89 Bis y demás relacionados del
Código de Comercio; todas las demás disposiciones legales
aplicables, que declaren que la firma electrónica cumple con
todos los requisitos de seguridad y validación del artículo 97
del Código de Comercio y demás disposiciones aplicables.
6.10 Idioma Español. Estas Reglas se establecen en
inglés y en español; en caso de algún conflicto en relación
con estas Reglas, la versión en español deberá prevalecer
sobre la versión en inglés.
