MEMORÁNDUM OF UNDERSTANDING
between
Sandia Corporation
and
National Institute of Health (INS-Peru)
SUBJECT: Collaborative Biosafety and Biosecurity Engagement
INTRODUCTION
Sandia Corporation is a Delaware Corporation that operates Sandia National Laboratories pursuant to Contract No. DE-AC0494AL85000 with the United States Department of Energy.
The National Institute of Health is an Executing Public Organization of the Ministry of Health of the Republic of Perú incorporated in
interna) law, with its legal address at Calle Cápac Yupanqui N° 1400, Jesús María District, Province and Departament of Lima,
Republic of Perú, with R.U.C. N° 20131263130.
a) Background. The mission of Sandia National Laboratories' International Biological Threat Reduction (Sandia IBTR) is to
enhance US National Security by reducing biological threats globally. Similarly, the mission of the National Institute of Health
(INS-Peru ) is lo propose policies and norms; promote, develop and diffuse scientific research and technology; and offer health
services in the areas of public health, control of transmissible and non- transmissible disease , food and nutrition, production of
biologics, quality control of food, pharmaceuticals and related items, occupational health, protection of the environment focused
on the health of people and intercultural health to help improve the quality of life of the populabon. Sandia IBTR and INS-Peru
°F.,\ share the goal of advancing science for the good of their own countries , including a shared interest in conducting research in a

vari ety o f areas o f bi osa fety and biosecurity. G iven that both parties recognize that collaboration between them will create a
stronger relationship and mutually beneficia) outcome, they wish lo establish a more formal association with each other.
b)
Pur pose. This Memorandum of Understanding (MOU) documents the relationship between Sandia IBTR and INS-Peru to
collaborate for manpower development at the National Institute of Health in Peru in the areas of Biosafety and Biosecurity and
related technical aspects of Biological Safety Leve¡ 3 (BSL3) laboratories.
This MOU is not a Department of Energy Reimbursable Agreement , Cooperative Research and Development Agreement, or
procurement.
c) Authority. This MOU is established under the terms and conditions of the prime contract for the operation of Sandia National
Laboratories by Sandia Corporation. The authority for INS lo act is based on the following bases:
a. Political Constitution of the Republic of Perú.
b. Law N° 26842 - General Health Law
c. Law N° 27657 - Ministry of Health Law.
d. Supreme Decree N° 013-2002-SA, Regulations of the Ministry of Health Law.
e. Supreme Decree N°001-2003-SA, Regulation on the Organization and Functions of the National Institute of
Health.
f. Law N° 27444 Law on General Aoministrative Procedures.
d) Policy. This Memorandum of Understanding (MOU) documents the relationship between the parties to facilitate more detailed
and specific negotiations between the parties, which may lead lo the preparation and signing of one or more contracts between
Sandia IBTR and INS-Peru. This MOU is not intended to be of legal force and effect in any manner whatsoever. This MOU
shall not create a legal relationship between the parties.
CONFIDENTIALITY AND PRIVACY
INS-Peru and Sandia IBTR recognize that they will come into possession of information which the other considers lo be confidential,
including Personal Information ("Personal Information" refers lo information and opinions recorded in any form about an individual
whose identity is apparent, or can reasonably be ascertained, from the information or opinion). INS-Peru and Sandia IBTR agree that
they shall not, at any time, disclose to any third party any confidential information of another party without first having obtained the
prior written consent of the other party.

AMENDMENTS AND SUPPLEMENTARY MOU
The parties may agree lo amend this MOU at any time by further memoranda in writing, executed by the duly authorized officer(s) of
each party.
The parties shall, wherever necessary, enter into written agreements to facilitate collaborative activities arising from this MOU. Such
agreements will specify the details of agreed activities and programs, including the contributions and responsibilities of the parties,
funding, intellectual property provisions, confidentiality, risk allocation and indemnity obligations of each party.
USE OF NAME AND LOGO
No party shall use, nor permit any person or entity to use, the name or logo (or any variation thereof) of another party without first
obtaining prior written consent from the other party.
MANAGEMENT AND PROGRAM GUIDELINES
a) Management and Review . The parties agree to discuss the possibility of cooperation in the following areas:
1. Provision of technical support for the identification, control, management, and reduction of biological risk during
biomedical research at the national leve) in laboratories that develop studies with any type of biological agent, which
could include models in experimental animais.
2. Application of interational standards for the identification, control, management, and reduction of biological risk in
laboratories.
3. Strengthening of INS-Peru as a leading institution in the field of biosafety at the intemational level.
b) Funding Prohibition. This MOU shall not be used to obligate or commit funds or as the basis for the transfer of funds. This
MOU does not commit any party to take any actions; the actions of each Party are independent of the actions of the other
party. This MOU does not create a binding agreement; and is not enforceable in a court of law as a contract.
c) Management Arrangements. This MOU envisions direct communication between Sandia IBTR and INS-Peru officials involved
and working in BSL3 laboratories in INS-Peru.
ADMINISTRATION
a) Patent and Technical Data. INS-Peru and Sandia IBTR shall retain exclusive right, title, and interest to their individual
underlying technologies. Neither party warrants that any information or technology disclosed to the other party shall be
merchantable or fit for a particular purpose or free of claims of infringement from third parties.
Release of Information. Production or release to news media, to the general public, or any third party regarding the existente,
nature, or purposes of this MOU shall require mutual written agreement of al¡ parties prior to its release.
Conditions for Sandia Participation. It is agreed and understood that any work done or actions taken by Sandia must be in
accordance with the terms and conditions of the prime contract between Sandia Corporation and the United States Department
of Energy for the operation of Sandia National Laboratories; and must be in accordance with any successor contracts for the
operation of Sandia National Laboratories and shall neither bind nor create any liability for INS-Peru. In the case of any conflict
between this MOU and the prime contract for the operation of Sandia, the prime contract shall Cake precedence with respect lo
Sandia and shall not affect the rights and liabilities of INS-Peru.
IMPLEMENTING AGREEMENTS
The details of the levels of support to be furnished lo one organization by the other with respect to funding will be developed in specific
implementing agreements subject lo availability of funds. Agreements or project plans that set forth specific arrangements for program
implementation shall be separately developed and agreed lo in implementing agreements facilitated by this MOU. Specific funding and
tasking will be established under such implementing agreements. Appropriate patent and other intellectual property provisions shall be
included in implementing agreements entered into by the parties.

MISCELLANEOUS
a) A party may not transfer or assign its interest in this MOU without the previous written consent of all participants. Any such
attempt to transfer or assign shall be nuil and void. Either party may assign or transfer its interest in this agreement lo any
parent, subsidiary, or successor corporation without the consent of the parties.
b) No provision of this MOU is intended to conflict with any laws, and the provisions should be construed in a manner that will
uphold their validity. In the event that any provision is found lo be contrary to any law, it shall be deemed unenforceable, and
the parties (or the Court) shall substitute a lawful provision in its place that is equitable and which, to the extent possible,
reflects the original intent of the parties. Unless it would be inequitable to do so, al¡ other provisions of this MOU shall remain in
fui¡ force and effect.
c) This MOU shall remain in fui¡ force and effect for a period of one year from the date of signing . Either party may withdraw from
this MOU in its sole discretion upon thirty (30) days written notice lo the other parties.
d) The foregoing states the entire understanding between the parties, superseding any previous or contemporaneous
understandings, commitments, or agreement, oral or written, with respect to the subject matter of this MOU.

Introducción
La Corporación Sandia es una entidad incorporada en el estado de Delaware que maneja los Laboratorios Nacionales de Sandia, con
sede en el estado de Nuevo México , en conformidad con el Contrato No DE-AC04-94AL85000 con el Departamento de Energía de
los Estados Unidos.
El Instituto Nacional de Salud es un Organismo Público Ejecutor del Ministerio de la Salud de la República de Perú, con dirección
legal en Calle Cápac Yupanqui N ° 1400, en el distrito de Jesús María, Provincia y Departamento de Lima, República de Perú, con

a) Antecedentes . La misión del Programa para la Reducción de Amenazas Biológicas Internacionales de los Laboratorios
Nacionales de Sandia (Sandia IBTR) es fortalecer la Seguridad Nacional estadounidense en la reducción de amenazas
biológicas a escala mundial. Asimismo la misión del Instituto Nacional de Salud (INS) es de proponer la políticas y normas,
promover, desarrollar y difundir la investigación científica y tecnológica, ofrecer servicios de salud en las áreas de salud pública,
control de enfermedades transmisibles y no transmisibles, alimento y nutrición, producción de biológicos, control de calidad de
alimentos, productos farmacéuticos y artículos relacionados, la salud ocupacional, la protección del ambiente enfocado en la
salud de las personas y la salud intercultural, para contribuir a mejorar la calidad de vida de la población. Ambas instituciones
comparten el objetivo de avanzar científicamente para beneficio de su país. Sandia IBTR y el INS tienen un interés compartido
en conducir investigaciones en diversas áreas de bioseguridad y biocustodia. Debido a que ambas partes reconocen que la
colaboración entre ellos creará una relación más fuerte y resultados mutuamente beneficiosos, desean establecer una
asociación más formal.
b) Objetivo . Este Memorándum de entendimiento es un documento que relaciona a ambas partes, para colaborar en el desarrollo
de capacidades de los recursos humanos del Instituto Nacional de Salud, por parte de los Laboratorios Nacionales de Sandia, en
las áreas de Bioseguridad y los aspectos técnicos relacionados a laboratorios con Nivel 3 de Seguridad Biológica.
c) Autoridad . Este memorando de entendimiento se establece en los términos y condiciones del contrato principal para el
funcionamiento de los Laboratorios Nacionales de Sandia por la Corporación Sandia. La autoridad de INS para actuar se basa
en las siguientes bases:

a. Constitución Política de la República de Perú.
b. Ley N° 26842 - Ley General de Salud.
c. Ley N° 27657 - Ley del Ministerio de Salud.
d. Decreto Supremo N° 013-2002-SA, Reglamento del Ministerio de Salud.
e. Decreto Supremo N°001-2003-SA, Reglamento de Organización y Funciones del INS.
f. Ley N° 27444 Ley General de Procedimientos Administrativos.
d) Política . Este Memorándum de entendimiento, es un documento de relación entre las partes para facilitar negociaciones más
detalladas y específicas, que pueden conducir al trámite y suscripción de uno o varios acuerdos entre Sandia y el INS. Este
MOU no creará una relación legal entre las partes
CONFIDENCIALIDAD Y PRIVACIDAD
El INS y Sandia IBTR reconocen que existe información que es considerada confidencial incluyendo Información Personal (" la
Información Personal " se refiere a información y opiniones registradas sobre un individuo cuya identidad es evidente, o puede ser
averiguada a partir de alguna información u opinión emitida). El INS y Sandia IBTR convienen que esta información, no podrá ser
comunicada a un tercero o publicada por ninguna de las partes sin previo consentimiento escrito de la otra parte.
MODIFICACIONES Y ACUERDOS ESPECIFICOS
Las partes pueden acordar modificar el Memorandum en cualquier momento, a través de una adenda que podrá ser suscrita por los
firmantes de este Memorándum o por personas autorizadas.
Cuando sea necesario, las partes podrán suscribir acuerdos escritos para facilitar la realización de las actividades colaborativas del
Memorandum . Tales acuerdos especificarán los detalles de actividades y programas acordados , incluyendo las contribuciones y las
F9°FS responsabilidades de las partes, el financiamiento, consideraciones de propiedad intelectual, confidencialidad, asignación de riesgo y
` bligaciones de indemnización de cada parte.

MPLEO DEL NOMBRE Y LOGO
Ninguna de las partes usará el nombre o el logo (o cualquier variación de eso) de la otra parte sin el consentimiento previo por escrito
de la contraparte.
COMPROMISOS Y GESTION DEL MOU.
a) Gestión y Supervisión. Las partes están de acuerdo con la posibilidad de cooperar en las áreas siguientes:
1. Proveerse entre las partes del soporte técnico para la identificación, el control, la gestión, y la reducción de riesgo
biológico durante la realización de investigaciones biomédicas a nivel nacional en los laboratorios que desarrollan
estudios con cualquier tipo de agente biológico, que podrían incluir modelos experimentales en animales.
2. Uso de normas internacionales para la identificación, control, gestión, y reducción de riesgo biológico en laboratorios.
3. Fortalecimiento del INS del Perú, como una institución líder en el campo de bioseguridad en el nivel internacional.
b) Financiamiento y Restricciones. Este Memorándum, no será usado para obligar a comprometer o transferir fondos. Este
memorando de entendimiento no compromete a las partes a realizar acción alguna que no esté prevista en sus funciones o
que no sea de interés realizarla. Las acciones de cada parte son independientes de las acciones de la otra parte. Este
memorando de entendimiento no crea un acuerdo vinculante; y no es aplicable como un contrato en un tribunal de justicia.
c) Disposiciones de Gestión. Este Memorandum prevé la comunicación directa entre Sandia IBTR y los funcionarios involucrados
y que trabajan en el laboratorio Biosegundad Nivel 3 del INS.

ADMINISTRACIÓN.
a) Patentes y documentos técnicos. El INS y Sandia IBTR conservarán el derecho exclusivo, el título, e intereses de sus
tecnologías. Ninguna parte garantiza que cualquier información o tecnología revelada a la otra parte pueda ser comercializada o
utilizada para un objetivo particular o libre de reclamos de infracción por parte de terceros.
b) Divulgación de información. La producción o lanzamiento a medios de comunicación, para el público en general, o terceros con
respecto a la existencia, la naturaleza o la finalidad de este memorando de entendimiento exigirán mutuo acuerdo de todas las
partes antes de su lanzamiento por escrito.
c) Condiciones para participación de Sandia IBTR. Se acuerda y se entiende que cualquier trabajo realizado o acciones tomadas
por Sandia IBTR deben estar conforme a los términos y las condiciones del contrato principal entre la Corporación Sandia y el
Departamento de Energía de los Estados Unidos para la operación de Laboratorios Nacionales de Sandia y debe estar conforme
a cualquier contrato de sucesión para la operación de Laboratorios Nacionales de Sandia y no obligara ni creara
responsabilidades al INS. En el caso de cualquier conflicto entre este Memorandum y el contrato principal para la operación de
Sandia IBTR, el contrato principal tendrá prioridad para Sandia IBTR y no afectará los derechos y las responsabilidades de INS.
IMPLEMENTACIÓN DE ACUERDOS
Los detalles de los niveles de apoyo proporcionados por una de las partes a la otra, en lo que concieme al financiamiento serán
desarrollados en acuerdos específicos sujetos a la disponibilidad de fondos presupuestales. Los acuerdos o los planes de proyectos
que establecen actividades específicas para la puesta en práctica del programa de desarrollo de capacidades serán desarrollados por
ambas partes y realizados de acuerdo a este MOU. El financiamiento específico y la asignación presupuestaria, serán establecidos
conforme a los acuerdos a realizar. A propósito de la patente y otras provisiones de propiedad intelectual serán incluidas en la
ealización de acuerdos suscritos entre las partes.
SPOSICIONES FINALES
Cualquiera de las partes no podrá transferir o asignar los beneficios de este Memorándum, a terceros sin el consentimiento
previo y escrito de las Partes. Cualquier tentativa de trasladar o asignar beneficios, no será tomado en cuenta. Cualquiera de
las partes podrá asignar o transferir sus beneficios de este Memorandum a cualquier sucursal, subsidiaria o empresa sucesora
sin el consentimiento de las partes.
Ninguna disposición de este MOU podrá estar en desacuerdo con cualquier ley, y las disposiciones deberán ser interpretadas
de forma que podrán mantener su validez. En el caso de que cualquier disposición sea contraria a cualquier ley, será
considerada inaplicable, y las partes implementarán una provisión legal en su lugar y que, al grado posible, refleje la intención
original de las partes. A no ser que fuera inaplicable, las demás disposiciones de este MOU permanecerán vigentes para todos
los efectos.
Este MOU permanecerá vigente por el periodo de un (01) año contados a partir de su suscripción. Las partes pueden retirarse
de este MOU para lo cual comunicaran con anticipación de treinta (30) días a la contraparte.

Lo establecido entre las partes reemplaza cualquier compromiso anterior o actual, oral o escrito, con respecto a la materia
objeto de este memorando de entendimiento,
