DIRECT ENERGY, LP Price Protection Plan™ (Residential) and Appointment of Agent TERMS OF SERVICE This Terms of Service Agreement (“Agreement”), including attachments entitled: “Your Rights as a Customer,” “Terms of Service - Typical Fees and Charges,” and “Electricity Facts Label,” sets forth the terms and conditions under which a residential customer (“Customer”) will receive electric service under the Price Protection Plan™ from Direct Energy, LP (“Direct Energy,” “Company”), a certified Retail Electric Provider (“REP”) in the state of Texas, Public Utility Commission of Texas (PUCT) Certificate No. 10040. By executing this Agreement, Customer hereby: 1) appoints Direct Energy as Customer’s REP to arrange electricity supply and transportation (including volume balancing, purchasing and billing) from any source on Customer’s behalf for the Initial Term as defined in this Agreement; and 2) Customer requests that all electric service accounts or electric service identifiers (“ESI IDs”) associated with Customer’s name or address be transferred to service under this Agreement. A copy of this Agreement is available to any eligible Customer upon request. Written inquiries may be directed to Direct Energy, P.O. For questions about this Agreement or other electric service needs, Direct Energy Customer Care Representatives are available Monday through Friday between the hours of 7:30 a.m. and 8:00 p.m. and Saturday between the hours of 7:30 a.m. and 4:00 p.m. Central Time toll-free at 1-888-305-3828. CUSTOMER INFORMATION By entering into this Agreement, and appointing Direct Energy as Customer’s agent, Customer authorizes Direct Energy to obtain from, and does further authorize Customer’s transmission and distribution service provider (“TDSP”) and/or current REP to release to Direct Energy certain information that Direct Energy may need to provide Customer’s electric service, including Customer address, telephone number, account numbers, historical usage information and historical payment information. terminated prior to the end of this Agreement. Customer understands that Direct Energy may also cancel the Agreement due to a material change to the Program or market conditions. Cancellation of this Agreement does not excuse full payment by Customer of all outstanding electric service bills. COMPANY’S RIGHT TO REFUSE SERVICE Direct Energy may refuse to provide service to an applicant or customer for one or more of the reasons specified in §25.477 of the PUCT Substantive Rules and the Tex. Util. Code §17.008. If electric service is denied, Direct Energy will verbally notify the applicant or customer of the specific reason(s). Upon request, Direct Energy will provide a written notice informing the applicant or customer of the reason(s) for refusal of service. ESTABLISHING A NEW ACCOUNT Direct Energy reserves the right to assess and collect security deposits if an applicant or customer fails to establish credit worthiness as specified in §25.478 of the PUCT Substantive Rules. A residential applicant may be eligible to have the deposit waived if the applicant can demonstrate any one of the following criteria: 1) the applicant possesses a sufficient or satisfactory credit rating or report obtained through Customer’s previous REP or a consumer reporting agency, as defined by the Federal Trade Commission; 2) is 65 years of age or older an is not currently delinquent on an account with another REP; 3) has not been delinquent in payment of electric bills more than once during the preceding 12 months of service; 4) has been determined to be a victim of family violence by a family violence center or by treating medical personnel and has submitted a proper certification letter to Direct Energy; 5) is considered medically indigent and submits proper documentation of eligibility each year, or; 6) has not had electric service terminated or disconnected for nonpayment during the last 12 months of service. LENGTH OF AGREEMENT This Agreement will go into effect at the time of the Customer’s first scheduled meter read. It will continue for the remainder of the Term, unless Customer chooses another energy company or Customer’s service is terminated as outlined in this Agreement. For specific Term information, please see the “Electricity Facts Label.” Direct Energy will send the Customer information about Direct Energy’s renewal offer at least 45 days before the end of a Term. At that time, Customer may continue with Direct Energy under the proposed renewal offer, discuss other offers from Direct Energy, or cancel the Agreement and switch to another provider with no penalty. If Customer does not respond to the renewal offer within the 45-day period, Direct Energy will provide service according to the terms of the renewal offer. In the event that Customer’s Term expires and 45-day notice of a renewal offer has not been provided, Customer’s Agreement will automatically renew each month, for no more than 31 days at a time, and will keep renewing for 31-day periods, until: (1) either Customer or Company chooses to cancel the service or (2) Direct Energy provides Customer with a 45-day notice of material change to Customer’s Agreement, as the Direct Energy renewal offer and the notice period for the renewal offer has expired. In order to cancel service with Direct Energy, Customer should provide 31 days advance written notice to stop providing service or choose another electricity provider. In the event that a security deposit is required in order to establish service, the Company may request payment within 10 days request of such deposit. For Customers that are switching their service to Direct Energy from another REP, service will not be established until Direct Energy has received payment for the security deposit. For Customers that are establishing new service with Direct Energy, service will be established 3 business days after Direct Energy has received payment for the security deposit. In the event that a requested security deposit remains unpaid for a period of 30 days past the request for such deposit, the enrollment process may be terminated and the Customer may be required to reapply for service. PRICING The price Customer will pay Direct Energy for electricity will be 14.1¢ per kilowatt-hour (kWh) and a $5.00 monthly customer charge, exclusive of sales tax. The price of 14.1¢ per kWh for electricity will include costs of electricity generation, kilowatt-hour usage, and delivery of electricity to Customer’s residence. Based on an average monthly usage of 1,500 kWh, the total average price per kWh, inclusive of the monthly customer charge, would be approximately 14.4¢ per kWh. This price is subject to change during the term of this Agreement if: 1) there is a change in fees imposed by the Electric Reliability Council of Texas (“ERCOT”) and/or PUCT authorized changes imposed by the Customer’s TDSP; or 2) Direct Energy determines in its sole discretion that the rate class or type of service originally designated by ERCOT, Direct Energy, or Customer is incorrect. You will be provided with 45 days notice of the price for any Renewal Term. SECURITY DEPOSITS Residential Applicants: Residential applicants may be required to place a security deposit on electric service accounts prior to receiving service if the applicant is unable to demonstrate creditworthiness as specified in §25.478 of the PUCT Substantive Rules. If a security deposit is required on a residential account, the maximum amount of the deposit will not exceed either the sum of the next two months estimated billings or one-fifth of the applicant’s estimated annual billing. Additionally, after 12 months of service, Customer may request recalculation of a required deposit amount based on actual historical usage. In addition, Customer may be required to pay nonrecurring fees and charges as required or allowed by PUCT rules, including, but not limited to, fees and charges related to establishing, switching, disconnecting, reconnecting, or maintaining electric service or equipment. Charges for required, nonrecurring fees will be listed as a separate line item on Customer’s monthly bill. Please refer to the attached “Terms of Service – Typical Fees & Charges” document for more detailed information. All bills for electric service will include applicable federal, state, and local taxes. Tax-exempt Customers must provide Direct Energy with appropriate exemption certificates before assessment and collection of taxes can be waived. For additional price information, see the Company’s attached “Electricity Facts Label.” CHANGES TO TERMS OF SERVICE Direct Energy will provide Customer with written notification of any material changes to Company’s Terms of Service Agreement forty-five (45) days in advance of the implementation of said changes. The written notification will be clearly labeled “Important Notice Regarding Changes to your Terms of Service.” If revised terms are acceptable, no action is required on the part of Customer. If changes to the Terms of Service Agreement are unacceptable, Customer must select another REP prior to the effective date of the revised Terms of Service. Cancellation of this Agreement by Customer does not excuse full payment by Customer of all outstanding electric service bills. Notice will not be provided to Customer when changes are favorable to Customer or when changes are mandated by a regulatory agency. For Customers that enroll multiple premises (ESI IDs), Direct Energy may require a security deposit for each premise enrolled. In the event that service for one or more of the premises is disconnected for any reason, the Company may apply any deposit amount, plus accrued interest, for such disconnected premise to the Customer’s active accounts. In the event that Customer is not the account holder, Customer acknowledges that Customer is acting as the legally authorized agent of the account holder and acting as such agent, Customer hereby also authorizes Direct Energy to investigate the credit history of the account holder. Residential applicants properly verifying their eligibility in low income discount programs may pay any required deposit exceeding $50 in two equal installments. The first installment is payable no sooner than ten (10) days and the second installment is payable no sooner than forty (40) days from the date of Company’s issuance of written notice to the applicant of the deposit requirement. Residential Customers: Direct Energy reserves the right to assess and collect security deposits if Customer fails to maintain creditworthiness as specified in §25.478 of the PUCT Substantive Rules while accepting service from Direct Energy. Customer may be required to pay a deposit for continued service If during the last 12 months of service Customer: 1) was late in paying a bill more than once; or 2) has had service terminated or disconnected for nonpayment. If a security deposit is required on a residential account, the maximum amount of the deposit will not exceed either the sum of the next two months estimated billings or one-fifth of Customer’s estimated annual billing. Direct Energy may require Customer to pay this deposit within 10 days after issuance of a request for such deposit, which may be combined with a written disconnection notice. Additionally, after 12 months of service, Customer may request re-calculation of a required deposit amount based on actual historical usage. Customer may also be required to pay an additional security deposit if average bills for the preceding 12 months are at least twice the amount of the original estimated annual billing and a termination or disconnection notice has been issued for the account within the previous 12 months. Direct Energy may require Customer to pay such additional deposits within 10 days after issuance of a request for such deposit, which may be combined with a written disconnection notice. CUSTOMER’S RIGHT TO CANCEL Any new Customer, who is switching service from their current REP to Direct Energy, has the right to cancel this Agreement before taking electric service from Direct Energy, without fee or penalty of any kind, within three (3) federal business days after receipt of this Agreement. If the Agreement is acceptable, no further action is required. Residential customers properly verifying their eligibility in low income discount programs may pay any required deposit exceeding $50 in two equal installments. The first installment is payable no sooner than ten (10) days and the second installment is payable no sooner than forty (40) days from the date of Company’s issuance of written notice to the applicant of the deposit requirement. Customer may also cancel this Agreement with Direct Energy without penalty if Customer moves to another location. Customer agrees to provide Direct Energy with a minimum of 15 days advance notice of Customer’s move date. Customer deposits held by the Company will be refunded when Customer has paid bills in full for 12 consecutive months of service with no late payments. Deposits will be refunded by a credit on Customer’s bill. There is no penalty for cancellation of service, at any time. If service from Direct Energy is disconnected for any reason, the Company will first apply any deposit amount, plus accrued interest, to any final balance for electric service on the Customer’s account and then to past due amounts, if any, owed Direct Energy for additional products or services (including but not limited to the charges for the Essential Service Plan™). If the result is a credit balance, Customer will receive a final bill reflecting the credit balance. Any remaining credit balance will be (1) promptly refunded to Customer; or (2) transferred to Customer’s new REP, as agreed upon by Customer, Customer’s new REP and Direct Energy. If a balance remains due on the account, Direct Energy will process a final bill for payment by Customer. Customer must contact Direct Energy by telephone toll-free at 1-888-305-3828, by toll-free fax at 1-800-346-2233, or by electronic mail at [email protected] to exercise the cancellation option. Customer must include name, address, phone number, ESI ID or account number and social security number in Customer’s cancellation notice. COMPANY’S RIGHT TO CANCEL This Agreement will be cancelled immediately if fraudulent or misrepresented information was used by the Customer to secure this Agreement. If Direct Energy, in its sole discretion, determines that it is unable or uneconomic to continue this Agreement, Direct Energy may cancel this Agreement upon 45 days notice to Customer. The continuation of the Texas Electricity Customer Choice Program (“Program”) is subject to ongoing jurisdiction by the PUCT. Customer’s Agreement may be canceled without penalty should the Program be INTEREST ON SECURITY DEPOSITS If a security deposit has been collected, Customer will receive interest on that deposit annually. The interest rate will be equal to that set by the PUCT on December 1st of the preceding year. Interest is payable to Customer not more than once per year. Interest on deposits held by Direct Energy for less than one year will be prorated and paid for the number of months Direct Energy TXNM806 10/15/07 DIRECT ENERGY, LP Price Protection Plan™ (Residential) and Appointment of Agent TERMS OF SERVICE held the deposit. No interest will be paid on deposits refunded by Direct Energy when Company has held such deposit for less than 30 days. BILLING AND PAYMENT TERMS Direct Energy will bill Customer for electric service once each calendar month. Customer may receive estimated billing. All bills are due and payable in full within 21 days of the billing date. Monthly bills will include recurring charges for the cost of electricity generation, kilowatt-hour usage, delivery of electricity to Customer’s residence, and all applicable federal, state, and local taxes. Monthly bills may also include charges for Direct Energy and TDSP nonrecurring fees or such other charges as may be assessed from time to time by the TDSP, as required or allowed by PUCT rules. Please refer to the attached Direct Energy “Terms of Service - Typical Fees & Charges” for more detailed information. Monthly bills may also include charges for other authorized products and services, including but not limited to the Essential Services Plan. Direct Energy may transfer any outstanding balance or credit owed from any of Customer’s previous residential accounts with Direct Energy to Customer’s current residential account. Direct Energy will identify the delinquent balance and specific account or address on the bill. If Customer chooses to maintain a single electric service account for multiple service addresses and/or ESI-IDs, Customer is responsible for full payment on the entire account within 21 days of the billing date. If Customer misses a payment or if Direct Energy does not receive payment by the bill due date, a disconnection notice will be issued no sooner than the first day after the bill was due. After the disconnection notice is issued, the Customer has two options available before the notice "due date" Customer must: (1) contact Company to discuss available payment arrangements, or (2) pay the full balance due. Otherwise, Customer’s electricity may be subject to disconnection. Customer would then be liable for all fees and charges associated with any disconnection and reconnection of service. For more details, see "Typical Fees and Charges" and "Your Rights as a Customer." If Customer chooses to maintain a single electric service account for more than one service address and misses a payment for any of the service addresses, then all service addresses associated with that account may be included in the disconnection notice and subject to disconnection. DISPUTE PROCEDURES Disputes or complaints about monthly bills, other services provided by Direct Energy, or this Agreement should be directed to a Direct Energy Customer Care Representative toll-free at 1-888-305-3828. If Customer disputes charges for any service reflected on a retail electric bill, the Company will promptly investigate and report results to Customer. The Company will not disconnect service for failure to pay disputed charges, except for amounts not under dispute, until the Company makes a determination as to the accuracy of the charges and Customer has been notified of this determination Direct Energy reserves the right, to the extent allowed by PUCT rules, to include on subsequent monthly bills, and collect from Customer, any charges or credits necessary to correct: (1) previous estimated bills, (2) billing errors, (3) meter read errors, (4) miscalculations of taxes, and (5) other errors/omissions. DISCRIMINATION Direct Energy will not refuse service or require a prepayment or deposit for electric service based on Customer’s race, creed, color, national origin, ancestry, gender, marital status, lawful source of income, level of income, disability, familial status, location of a Customer in a economically distressed geographic area, or qualification for low-income or energy efficiency programs and services. Returning Customers applying for electric service from Direct Energy, and whose credit verification indicates an unpaid balance for previous electric service from Direct Energy, will be required to pay that amount in full plus a security deposit in order to initiate service with Direct Energy. OUTAGES AND EMERGENCIES In the event of a power outage or emergency, Direct Energy Customers should contact the local TDSP: Texas–New Mexico Power Company at 1-888-866-7456 (toll-free), 24 hours a day, 7 days a week. The Company will assess a one time, 5% penalty on each delinquent electric service bill except for bills of qualified Customers receiving a low-income discount as required under the Public Utility Regulatory Act (PURA) 39.903(h). Direct Energy will charge a returned check fee of $25.00 for each check or electronic funds transfer not processed due to insufficient funds, lack of available credit, or other bank returns. Checks and electronic transfers returned by a bank for insufficient funds will be treated as though the Company received no payment. Customers with two or more returned payments in the preceding 12 months must make future payments by money order or in cash. Direct Energy assumes no responsibility for notifying Customer when a check is returned. Direct Energy may use consumer reporting agencies, as defined by the Federal Trade Commission, to report and retrieve Customer credit information. The Company may also use the services of debt collection agencies, consumer reporting agencies and other remedies allowed by law to collect any unpaid balance on Customer accounts. Company reserves the right to assess any and all fees or charges related to the collection of delinquent balances to current or former Customers. BILL PAYMENT OPTIONS AND PAYMENT ARRANGEMENT PLANS Bill Payment Options: Customer may pay monthly electric service bills through a variety of options: (1) by mail; (2) by direct debit from a checking or savings account; (3) by using a debit/credit card; or (4) in person at Western Union or one of the Company’s authorized pay station vendor locations. Details about Direct Energy’s payment options are available by calling a Customer Care Representative toll-free at 1-888-305-3828 for more information. When a payment is made on a delinquent balance at either an authorized walk-in payment facility or by using a debit/credit card, Customers are encouraged to call a Direct Energy Customer Care Representative toll-free at 1-888-305-3828 to provide verification of such payment and to avoid disconnection of Customer’s electric service. Payment Arrangement Plans: Based on qualifications, Customer may be eligible for one of the Company’s special payment arrangement plans. Currently, available plans include: Budget Billing Program: Allows Customer to pay approximately the same amount for electric service each month subject to a quarterly adjustment based on actual consumption. The program is available to any Customer whose Direct Energy account has no unpaid balance, regardless of credit history. Twelve months of actual or estimated usage history on Customer’s current premise is required in order to enroll in the plan. After one full year, Direct Energy will perform an account review to determine whether there is an overbilling or underbilling on the account based on Customer’s actual usage during the previous 12-month period. Direct Energy will credit Customer’s account for any overbilled amount and will bill Customer for any underbilled amount. Additionally, as part of the plan’s annual review process, Direct Energy will recalculate Customer’s monthly Budget Billing amount to reflect actual usage from the previous twelve-month period. Payment Extension Plan: A short-term extension of the due date for full payment of past due bills. Deferred Payment Plan: An extended payment plan where past due bills may be paid in installments over a specified time period. Prior to initiating a Deferred Payment Plan, Direct Energy may require a down payment (not to exceed 25% of the amount owed) from Customer. Direct Energy may require Customer to pay the balance owed on the Deferred Payment Plan in equal amounts over a minimum of the next three billing cycles. Direct Energy will provide Customer with complete details of a Deferred Payment Plan agreement in writing. Bill Payment Assistance Program: A Bill Payment Assistance Program is funded through donations to support local organization(s) that provide energy Bill Payment Assistance to qualifying Customers with financial needs. Customer may contact a Direct Energy Customer Care Representative toll-free at 1-888-305-3828 for more information on available payment options. Failure to make timely payments while on any bill payment plan will require Direct Energy to remove Customer from that payment plan, begin account collection activities, and initiate actions to disconnect service. TERMINATION AND DISCONNECTION OF SERVICE If Customer breaches this Agreement, other than by nonpayment, Direct Energy may terminate the Agreement and have Customer’s electricity disconnected. Direct Energy will provide no less than a 10-day written notice before terminating Customer’s Agreement and disconnecting service. If Direct Energy terminates this Agreement for any reason, Customer is still responsible for paying all outstanding bills. ACCOUNT ACCESS AND ASSIGNMENT In order to maintain privacy of account and other proprietary Customer information, Customer must provide Company with account access verification information upon request. Customer, Customer’s spouse, and any authorized representative of Customer so named on the account, will be required to provide such verification information before Company will release any information related to electric service account or other proprietary Customer information, or allow Customer’s spouse or authorized representative to make changes to Customer’s account. Before the account holder name can be changed at a service location, the new applicant must enroll for service with Direct Energy and be accepted as a Direct Energy Customer and the existing Customer must authorize termination of service in the existing Customer’s name. Customer may not assign Agreement, in whole or in part, or any of its rights or obligations hereunder without the prior written consent of Direct Energy. Direct Energy may, without Customer’s consent, to the fullest extent allowed by law: (a) transfer, sell, pledge, encumber or assign Agreement or the accounts, revenues or proceeds hereof in connection with any financing or other financial arrangement; (b) transfer or assign Agreement to an affiliate of Direct Energy; (c) transfer or assign Agreement to any person or entity succeeding to all or substantially all of the assets of Direct Energy; and/or (d) transfer or assign Agreement to a certified REP. In the case of (b), (c), or (d), any such assignee shall agree in writing to be bound by these Terms and Conditions of Service. Upon any such assignment, Customer agrees that Direct Energy shall have no further obligations under Agreement. MISCELLANEOUS This Terms of Service Agreement between Customer and Direct Energy is subject to applicable laws and supersedes any previous promises, understandings, and agreements. If any provision of this Agreement is deemed invalid, illegal, or otherwise unenforceable, Customer and Direct Energy agree that it shall be modified to the minimum extent necessary to render it valid, legal, and enforceable. If such provision cannot be modified in a manner that would make it valid, legal, and enforceable, such provision shall be severed from the Agreement, and all other provisions hereof shall remain in full force and effect. Any failure on the part of Direct Energy to enforce any of the terms of this Agreement or to exercise any right under these terms and conditions shall not be considered a waiver of the Company’s right thereafter to enforce each and every such term or exercise such right or any other right under these terms and conditions. If Customer breaches any condition of service, the terms of this Agreement are null and void. REPRESENTATIONS AND WARRANTIES THE ELECTRICITY SOLD UNDER THIS AGREEMENT WILL MEET THE QUALITY STANDARDS OF THE APPLICABLE TDSP AND WILL BE SUPPLIED FROM A VARIETY OF SOURCES. DIRECT ENERGY MAKES NO REPRESENTATIONS OR WARRANTIES OTHER THAN THOSE EXPRESSLY SET FORTH IN THIS AGREEMENT, AND DIRECT ENERGY EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LIMITATIONS OF LIABILITY LIABILITIES NOT EXCUSED BY REASON OF FORCE MAJEURE OR OTHERWISE SHALL BE LIMITED TO DIRECT ACTUAL DAMAGES. NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR INDIRECT DAMAGES. DIRECT ENERGY SHALL NOT BE LIABLE FOR INTERRUPTIONS TO OR SHORTAGES OF ELECTRICITY SUPPLY NOR ANY ASSOCIATED LOSS OR DAMAGE RESULTING THEREFROM. THESE LIMITATIONS APPLY WITHOUT REGARD TO THE CAUSE OF ANY LIABILITY OR DAMAGE. THERE ARE NO THIRD-PARTY BENEFICIARIES TO THIS AGREEMENT. FORCE MAJEURE Direct Energy will make commercially reasonable efforts to provide electric service, but does not guarantee a continuous supply of electricity. Certain causes and events out of the control of Direct Energy (“Force Majeure Events”) may result in interruptions in service. Direct Energy will not be liable for any such interruptions caused by a Force Majeure Event. Direct Energy does not transmit or distribute electricity. Customer agrees that Direct Energy is not and shall not be liable for damages caused by Force Majeure Events, including acts of God, acts of any governmental authority (including the PUCT or ERCOT), accidents, strikes, labor troubles, required maintenance work, inability to access the local distribution utility system, nonperformance by the local TDSP, changes in laws, rules, or regulations of any governmental authority (including the PUCT or ERCOT), or any cause beyond Direct Energy’s control. INFORMACIÓN DEL CLIENTE Al participar en este Acuerdo y nombrar a Direct Energy como el agente del Cliente, el Cliente autoriza a Direct Energy a obtener de, y autoriza además al Proveedor de Servicio de Transmisión y Distribución (“TDSP” por sus siglas en inglés) y/o al REP actual del cliente para divulgar a Direct Energy cierta información que Direct Energy puede necesitar para proporcionar el servicio de electricidad del Cliente, incluyendo la dirección, el número de teléfono, los números de cuenta, la información histórica de uso y la información histórica de pago del Cliente. PLAZO DEL ACUERDO Este Acuerdo será efectivo al momento de la primera lectura programada del medidor del Cliente. Continuará vigente por el resto del Plazo, a menos que el Cliente elija otra compañía de energía o el servicio del Cliente se termine según se detalla en este Acuerdo. Para obtener información específica sobre el Plazo, vea la "Etiqueta de Hechos sobre la Electricidad”. Direct Energy enviará al Cliente información sobre la oferta de renovación de Direct Energy al menos 45 días antes del final de un Plazo. En ese momento, el Cliente puede continuar con Direct Energy según la oferta de renovación propuesta, discutir otras ofertas de Direct Energy, o cancelar el Acuerdo y cambiar a otro proveedor sin penalizaciones. Si el Cliente no responde a la oferta de renovación dentro del período de 45 días, Direct Energy proporcionará servicios de acuerdo con los plazos de la oferta de renovación. En caso de que el Plazo del Cliente venza y no se haya proporcionado el aviso de una oferta de renovación dentro de los 45 días, el Acuerdo del Cliente se renovará automáticamente cada mes, por no más de 31 días por vez, y continuará renovándose por períodos de 31 días, hasta que: (1) ya sea el Cliente o la Compañía elija cancelar el servicio o (2) Direct Energy proporcione al Cliente un aviso de 45 días del cambio material del Acuerdo del Cliente, cuando la oferta de renovación de Direct Energy y el período del aviso para la oferta de renovación hayan vencido. Para cancelar el servicio con Direct Energy, el Cliente deberá entregar un aviso por escrito con 31 días de anticipación para dejar de prestarle servicios o elegir otro proveedor de electricidad. PRECIOS El precio que el Cliente pagará a Direct Energy por la electricidad será de 14.1¢ por kilovatio-hora (kWh) y un cargo mensual al cliente de $5.00. Este precio de 14.1¢ por kWh para la electricidad incluirá los costos para la generación de electricidad, el uso de kilovatios-hora y el suministro de electricidad a la residencia del Cliente. Basado en un promedio de uso mensual de 1,500 kWh por mes, el precio total promedio por kWh, incluyendo el cargo mensual al cliente, sería de aproximadamente 14.4¢ por kWh. Este precio está sujeto a cambios durante el plazo de este Acuerdo si: 1) hay un cambio en las tarifas impuestas por el Electricity Reliability Council of Texas (“ERCOT”) y/o cambios autorizados por la PUCT impuestos por el TDSP del cliente; o 2) Direct Energy determina a su única discreción que la clase de tarifas o el tipo de servicio originalmente designados por el ERCOT, Direct Energy o el cliente son incorrectos. Además, el Cliente puede estar obligado a pagar tarifas y cargos no recurrentes según lo que requiera o permitan las reglas de la PUCT, incluyendo, pero no limitándose a tarifas y cargos por establecer, cambiar, desconectar, reconectar o mantener el servicio de electricidad o el equipo. Los cargos por tarifas requeridas no recurrentes serán indicados como encabezamientos separados en la factura mensual del Cliente. Por favor consulte el documento adjunto “Términos de Servicio – Tarifas y Cargos Estándar” para ver información más detallada. Todas las facturas del servicio de electricidad incluirán los impuestos federales, estatales y locales aplicables. Los Clientes exentos de impuestos deben proporcionar a Direct Energy los certificados de exención apropiados antes de que se puedan dispensar la tasación y la recaudación de impuestos. CAMBIOS EN LOS TÉRMINOS DE SERVICIO Direct Energy proporcionará al Cliente un aviso escrito sobre cualquier cambio material en el Acuerdo de Términos de Servicio de la Compañía cuarenta y cinco (45) días antes de la entrada en vigor de dicho cambio. El aviso escrito indicará claramente “Aviso Importante sobre Cambios en sus Términos de Servicio”. Si los términos revisados son aceptables no se requerirá ninguna acción por parte del Cliente. Si los cambios en el Acuerdo de Términos de Servicio no son aceptables, el Cliente debe elegir a otro REP antes de la fecha de entrada en vigor de los Términos de Servicio revisados. La cancelación de este Acuerdo por parte del Cliente no excusa al Cliente del pago completo de todas las facturas pendientes del servicio de electricidad. No se proporcionará ningún aviso al Cliente cuando los cambios sean favorables para el Cliente o cuando los cambios sean ordenados por una agencia reguladora. del servicio de electricidad. DERECHO DE LA COMPAÑÍA A RECHAZAR EL SERVICIO Direct Energy puede rechazar el servicio a un solicitante o cliente por una o más de las razones especificadas en §25.477 de las Reglas Substantivas de la PUCT y el Código de Servicios Públicos de Texas §17.008. Si se rechaza el servicio de electricidad, Direct Energy comunicará verbalmente al solicitante o cliente cuál(es) es(son) la(s) razón(es) específica(s). Si se solicita, Direct Energy proporcionará un aviso escrito para informar al solicitante o cliente cuál(es) es(son) la(s) razón(es) específica(s) para el el rechazo del servicio. ESTABLECIMIENTO DE UNA CUENTA NUEVA Direct Energy se reserva el derecho de imponer y recaudar depósitos de seguridad si el solicitante o cliente no establece solvencia como se especifica en §25.478 de las Reglas Substantivas de la PUCT. Este Acuerdo constituirá una oferta de servicio eléctrico, y este Acuerdo es expresamente condicional dependiendo de la aceptación por Direct Energy. Direct Energy puede rechazar el suministro de servicio eléctrico a un solicitante o Cliente por cualquier razón, incluyendo pero no limitándose a una de las siguientes: (1) el equipo o la instalación del solicitante o Cliente es peligroso o no cumple con las reglas o reglamentos de las organizaciones y agencias federales, estatales y municipales; (2) el solicitante o Cliente utiliza equipos o accesorios no estándar que interfieren con el servicio de los demás de acuerdo con las tarifas del TDSP; (3) las acciones del solicitante o Cliente demuestran la intención de defraudar y evitar el pago de cantidades pagaderas a la Compañía; (4) el solicitante o Cliente debe una deuda de buena fe a Direct Energy; (5) un solicitante o Cliente ha actuado como garante para otro solicitante o Cliente y no ha pagado la cantidad garantizada según un acuerdo escrito; (6) el solicitante o Cliente se niega a cumplir con los requisitos de crédito y depósito de la Compañía que se establecen en este Acuerdo; o (7) cualquier otra razón que no es ilegal. Direct Energy dará un aviso verbal al solicitante o Cliente acerca de la(s) razón(es) específica(s) para el rechazo, o si se solicita, Direct Energy proporcionará un aviso por escrito informando al solicitante o Cliente acerca de la(s) razón(es) específica(s) para el rechazo del servicio. Este Acuerdo para comprar servicio de electricidad está sujeto a la aprobación del crédito. Direct Energy puede investigar la historia de crédito del Cliente. Direct Energy se reserva el derecho reserves de imponer y recaudar depósitos de seguridad o rechazar el servicio si el solicitante o Cliente no establece o mantiene solvencia mientras acepta el servicio de Direct Energy. Los solicitantes residenciales pueden demostrar un crédito satisfactorio si el solicitante: 1) posee un índice o informe de solvencia crediticia suficiente o satisfactorio obtenido por medio del REP anterior del Cliente o una agencia de reporte de consumidores, según lo que define la Federal Trade Commission; 2) no ha tenido un pago vencido de sus facturas eléctricas más de una vez durante los 12 meses anteriores de servicio; y 3) su servicio de electricidad no se ha terminado o desconectado por falta de pago durante los últimos 12 meses de servicio. En caso de que el Cliente no sea el titular de la cuenta, el Cliente reconoce que el Cliente actúa como el agente legalmente autorizado del titular de la cuenta y actuando como dicho agente el Cliente también autoriza a Direct Energy para que investigue la historia de crédito del titular de la cuenta. DEPÓSITOS DE SEGURIDAD Solicitantes Residenciales: Es posible que se requiera a los solicitantes residenciales que entreguen un depósito de seguridad para las cuentas del servicio de electricidad antes de recibir el servicio si el solicitante no puede demostrar su solvencia según lo que se especifica en §25.478 de las Reglas Substantivas de la PUCT. Si se requiere un depósito de seguridad para una cuenta residencial, la cantidad máxima del depósito no excederá ya sea la suma de las facturas estimadas de los dos meses siguientes o una quinta parte de la facturación anual estimada del solicitante. Además, después del Plazo inicial de servicio, el Cliente puede solicitar que se vuelva a calcular la cantidad del depósito requerido basándose en el uso real. Los solicitantes residenciales que verifiquen correctamente su elegibilidad para los programas de descuento por ingresos bajos pueden pagar cualquier depósito de seguridad de más de $50 en dos plazos iguales. El primer plazo es pagadero no antes de diez (10) días y el segundo plazo es pagadero no antes de cuarenta (40) días desde la fecha del aviso por escrito de la Compañía al solicitante acerca del requisito del depósito. Clientes Residenciales: Direct Energy se reserva el derecho de imponer y recaudar depósitos de seguridad si el Cliente no mantiene solvencia según lo que se especifica en §25.478 de las Reglas Substantivas de la PUCT mientras acepta el servicio de Direct Energy. Es posible que se requiera que el Cliente pague un depósito para recibir el servicio continuo si durante los últimos 12 meses de servicio el Cliente: 1) se retrasó en pagar una factura más de una vez; o 2) se le ha terminado o desconectado su servicio por falta de pago. Si se requiere un depósito de seguridad para una cuenta residencial, la cantidad máxima del depósito no excederá ya sea la suma de las facturas estimadas de los dos meses siguientes o una quinta parte de la facturación anual estimada del Cliente. Direct Energy puede requerir que el Cliente pague este depósito dentro de 10 días desde la solicitud de dicho depósito, la cual puede estar combinada con un aviso de desconexión por escrito. Además, después del Plazo inicial de servicio, el Cliente puede solicitar que se vuelva a calcular la cantidad del depósito requerido basándose en el uso real. Es posible también que se requiera que el Cliente pague un depósito de seguridad adicional si el promedio de las facturas durante los 12 meses anteriores es por lo menos el doble de la cantidad original estimada de facturación anual y se ha enviado un aviso de desconexión para la cuenta dentro de los 12 meses anteriores. Direct Energy puede requerir que el Cliente pague este depósito adicional dentro de 10 días desde la solicitud de dicho depósito, la cual puede estar combinada con un aviso de desconexión por escrito. DERECHO DEL CLIENTE A CANCELAR Cualquier Cliente nuevo, que esté cambiando su servicio de su REP actual a Direct Energy, tiene el derecho de cancelar este Acuerdo antes de tomar el servicio de electricidad de Direct Energy, sin tarifa o penalización de ningún tipo, dentro de tres (3) días laborables federales después de haber recibido este Acuerdo. Si el Acuerdo es aceptable, no se requiere ninguna acción. Los solicitantes residenciales que verifiquen correctamente su elegibilidad para los programas de descuento por ingresos bajos pueden pagar cualquier depósito de seguridad de más de $50 en dos plazos iguales. El primer plazo es pagadero no antes de diez (10) días y el segundo plazo es pagadero no antes de cuarenta (40) días desde la fecha del aviso por escrito de la Compañía al solicitante acerca del requisito del depósito. El Cliente también puede cancelar este Acuerdo con Direct Energy sin penalización si el Cliente se muda a otra ubicación. El Cliente acuerda proporcionar a Direct Energy un aviso de la fecha de la mudanza del Cliente un mínimo de 15 días antes. Los depósitos del Cliente retenidos por la Compañía serán reembolsados cuando el Cliente haya pagado por completo sus facturas por 12 meses consecutivos de servicio sin pagos atrasados. Los depósitos se reembolsarán por medio de un crédito en la factura del Cliente. No hay penalización por cancelar el servicio, en cualquier momento. Si el servicio de Direct Energy se termina por cualquier razón, la Compañía aplicará cualquier cantidad de depósito, más intereses acumulados, a la cuenta del Cliente. Si el resultado es un saldo a su favor, el Cliente recibirá una factura final indicando el saldo del crédito. Cualquier saldo de crédito será (1) reembolsado prontamente al Cliente; o (2) transferido al nuevo REP del Cliente, según lo que se acuerde entre el Cliente, el nuevo REP del Cliente y Direct Energy. Si queda un saldo por pagar en la cuenta, Direct Energy procesará una factura final para que el Cliente la pague. El Cliente se debe poner en contacto con Direct Energy llamando al teléfono gratuito 1-888-305-3828, enviando un fax al número gratuito 1-800-346-2233, o por correo electrónico a [email protected] para ejercer la opción de cancelación. El Cliente debe incluir su nombre, dirección, número de teléfono, identificación de ESI o número de cuenta y número de seguro social en el aviso de cancelación del Cliente. DERECHO DE LA COMPAÑÍA A CANCELAR Este Acuerdo será cancelado de inmediato si el Cliente utilizó información fraudulenta o falsa para obtener este Acuerdo. Si Direct Energy, a su única discreción, determina que la continuación de este Acuerdo es incapaz o no económica, Direct Energy puede cancelar este Acuerdo tras un aviso al Cliente 45 días antes. La continuación del Programa de Selección del Cliente del Servicio Eléctrico de Texas (“Programa”) está sujeta a la jurisdicción continua de la PUCT. El Acuerdo del Cliente se puede cancelar sin penalización en caso de que el Programa se termine antes del final de este Acuerdo. El Cliente entiende que Direct Energy también puede cancelar el Acuerdo debido a un cambio material del Programa o las condiciones del mercado. La cancelación de este Acuerdo no excusa al Cliente del pago completo de todas las facturas pendientes INTERESES SOBRE LOS DEPÓSITOS DE SEGURIDAD Si se ha recaudado un depósito de seguridad, el Cliente recibirá intereses anuales sobre ese depósito. La tasa de interés será igual que la establecida por la PUCT el 1 de diciembre del año anterior. Los intereses son pagaderos al Cliente no más de una vez al año. Los intereses sobre los depósitos retenidos por Direct Energy por menos de un año serán prorrateados y pagados por la cantidad de meses que Direct Energy ha retenido el depósito. No se pagarán intereses sobre los depósitos reembolsados por Direct Energy cuando la Compañía ha retenido dicho depósito por menos de 30 días. TXNM806 10/15/07 DIRECT ENERGY, LP Plan de Protección de Precios™ de Direct Energy y nombramiento del agente (“Mi contrato”) TÉRMINOS DE SERVICIO CONDICIONES DE FACTURACIÓN Y PAGO Direct Energy facturará al Cliente por el servicio de electricidad una vez cada mes de calendario. El Cliente puede recibir una facturación estimada. Todas las facturas son pagaderas en su totalidad dentro de 21 días desde la fecha de facturación. Las facturas mensuales incluirán cargos recurrentes por el costo de la generación de electricidad, uso de kilovatios-hora, entrega de electricidad en la residencia del Cliente y todos los impuestos federales, estatales y locales aplicables. Las facturas mensuales también pueden incluir cargos por tarifas no recurrentes de Direct Energy y el TDSP u otros cargos que el TDSP pueda imponer de vez en cuando, según lo que requieren o permiten las reglas de la PUCT. Por favor consulte el documento adjunto “Términos de Servicio – Tarifas y Cargos Estándar” de Direct Energy para ver información más detallada. Las facturas mensuales también pueden incluir cargos por otros productos y servicios autorizados, incluyendo pero no limitándose a los cargos por el Plan de Servicio Esencial. Direct Energy puede transferir cualquier saldo pagadero o crédito de cualquier cuenta residencial anterior del Cliente con Direct Energy a la cuenta residencial actual Del Cliente. Direct Energy identificará el saldo vencido y la cuenta o dirección específica en la factura. Si el Cliente elige mantener una sola cuenta del servicio de electricidad para varias direcciones de servicio y/o ESI-IDs, el Cliente es responsable del pago completo de la totalidad de la cuenta dentro de 21 días desde la fecha de facturación. Direct Energy se reserva el derecho, hasta el límite permitido por las reglas de la PUCT rules, de incluir en las facturas mensuales subsiguientes, y obtener del Cliente, cualquier cargo o crédito necesario para corregir: (1) facturas anteriormente estimadas, (2) errores de facturación, (3) errores de lectura del medidor, (4) cálculo erróneo de impuestos, y (5) otros errores/omisiones. Acuerdo del Cliente y desconectarle el servicio. Si Direct Energy termina este Acuerdo por cualquier motivo, el Cliente aún será responsable del pago de todas las facturas pendientes. Si el Cliente no realiza un pago o si Direct Energy no recibe el pago a la fecha de vencimiento de la factura, se enviará un aviso de desconexión no antes del primer día después del vencimiento de la factura. Después de emitir el aviso de desconexión, el Cliente tiene dos opciones disponibles antes de la “fecha de vencimiento” de la factura. El Cliente debe: (1) ponerse en contacto con la Compañía para hablar sobre las opciones disponibles para el pago, o (2) pagar el saldo completo pagadero. De lo contrario, la electricidad del Cliente estará sujeta a desconexión. El Cliente sería entonces responsable de todas las tarifas y cargos asociados con la desconexión y reconexión del servicio. Para obtener más detalles, vea “Tarifas y Cargos Típicos” y “Sus Derechos como Cliente”. Si el Cliente elige mantener una única cuenta de electricidad para más de una dirección de servicio y omite el pago de una de las direcciones de servicio, todas las direcciones de servicio asociadas a esa cuenta se podrán incluir en el aviso de desconexión y estarán sujetas a desconexión. PROCEDIMIENTOS PARA DISPUTA Las disputas o quejas sobre las facturas mensuales, otros servicios proporcionados por Direct Energy, o este Acuerdo se deben hacer a un Representante de Servicio al Cliente de Direct Energy al teléfono gratuito 1-888-305-3828. Si el Cliente disputa cargos por cualquier servicio re ejado en una factura de electricidad al detalle, la Compañía investigará prontamente y reportará los resultados al Cliente. La Compañía no desonectara el servicio por la falta de pago de los cargos disputados, excepto por las cantidades que no están bajo disputa, hasta que la Compañía decida la exactitud de los cargos y el Cliente haya recibido un aviso sobre dicha decision. Los Clientes de regreso que solicitan servicio de electricidad de Direct Energy, y cuya comprobación del crédito indica un saldo impago para el servicio de electricidad anterior de Direct Energy, estarán obligados a pagar dicha cantidad por completo más un depósito de seguridad para poder iniciar el servicio de Direct Energy. DISCRIMINACIÓN Direct Energy no rechazará el servicio ni exigirá prepago ni depósito por el servicio de electricidad basándose en la raza, credo, color, origin nacional, ascendencia, sexo, estado civil, fuente legal de ingresos, nivel de ingresos, incapacidad, estado familiar, ubicación del Cliente en una zona geográfica venida a menos económicamente, o su calificación para recibir servicios para personas de bajos ingresos o servicios de eficiencia eléctrica. La Compañía impondrá una penalización única del 5% por cada factura del servicio de electricidad vencida excepto para las facturas de Clientes calificados que reciben un descuento por ingresos bajos según los requisitos de la Ley Reguladora de Servicios Públicos (Public Utility Regulatory Act [PURA]) 39.903(h). CORTES DEL SERVICIO ELÉCTRICO Y EMERGENCIAS En caso de corte del servicio eléctrico o emergencia, los Clientes de Direct Energy se deberán poner en contacto con el TDSP local: Texas-New Mexico Power Company, 1-888-866-7456 (línea gratuita) , 24 horas, 7 días a la semana. Direct Energy cobrará una tarifa por cheque devuelto de $25.00 dólares cada vez que un cheque o una transferencia electrónica de fondos no se pueda procesar debido a una cantidad insuficiente de fondos, falta de crédito disponible u otras devoluciones del banco. Los cheques y transferencias electrónicas devueltos por el banco por falta de fondos se tratarán como si la Compañía no hubiera recibido ningún pago. Los Clientes que tengan dos o más pagos devueltos en los 12 meses anteriores deberán hacer los pagos futuros por giro postal o bancario (money order) o en efectivo. Direct Energy no asume ninguna responsabilidad de avisar a los Clientes cuando un cheque es devuelto. ACCESO A LA CUENTA Y ASIGNACIÓN Para mantener la privacidad de la cuenta y la demás información de propiedad del Cliente, el Cliente debe proporcionar a la Compañía la información de comprobación para el acceso a la cuenta si se la solicita. El Cliente, el cónyuge del Cliente y cualquier representante autorizado del Cliente nombrado en la cuenta, estará obligado a proporcionar dicha información de comprobación antes de que la Compañía divulgue cualquier información relacionada con la cuenta del servicio de electricidad u otra información de propiedad del Cliente, o permitir que el cónyuge o el representante autorizado del Cliente haga cambios en la cuenta del Cliente. Direct Energy puede utilizar agencias de reporte de crédito de consumidores, según lo que define la Federal Trade Commission, para reportar y obtener la información de crédito de los Clientes. La Compañía también puede usar los servicios de agencias de recaudación de deudas, agencias de reporte de consumidores y otros remedios permitidos por la ley para recaudar cualquier saldo impago de las cuentas de los Clientes. La Compañía se reserva el derecho de imponer cualquier tarifa o cargo relacionado con la recaudación de saldos vencidos a los Clientes actuales o anteriores. Antes de que el nombre del titular de la cuenta se pueda cambiar en una ubicación de servicio, el nuevo solicitante debe inscribirse para el servicio con Direct Energy y ser aceptado como Cliente de Direct Energy y el Cliente existente debe autorizar la terminación del servicio con el nombre del Cliente existente. OPCIONES PARA EL PAGO DE FACTURAS Y PLANES DE ARREGLO PARA PAGOS Opciones para el Pago de Facturas: El Cliente puede pagar las facturas mensuales del servicio de electricidad por medio de una variedad de opciones: (1) por correo; (2) por débito directo de una cuenta corriente o de ahorros; (3) usando una tarjeta de débito/crédito; o (4) en persona en Western Union o en una de las estaciones de pago autorizadas por la Compañía. Los detalles acerca de las opciones de pago de Direct Energy están disponibles llamando a un representante de servicio al cliente al número gratuito 1-888-305-3828 para obtener más información. Cuando se hace un pago de un saldo vencido en una estación de pago autorizada o usando una tarjeta de débito/crédito, se recomienda que los Clientes llamen a un representante de servicio al cliente de Direct Energy al teléfono gratuito 1-888-305-3828 para proporcionar la comprobación de dicho pago y para evitar la desconexión electricidad del Cliente con Direct Energy. Planes de Arreglo para Pagos: Según las calificaciones, el Cliente puede ser elegible para uno de los planes especiales de pago de la Compañía. Los planes actuales disponibles incluyen: Programa de facturación con presupuesto: Permite al Cliente pagar aproximadamente la misma cantidad por el servicio eléctrico cada mes, sujeta a ajustes trimestrales basados en el consumo real. El programa está disponible para cualquier Cliente cuya cuenta de Direct Energy no tenga un saldo impago, sea cual sea su historia de crédito. Se requiere que el Cliente tenga una historia de uso real o estimado de doce meses en la premisa actual para poder inscribirse en el plan. Después de un año completo, Direct Energy llevará a cabo una revisión de la cuenta para determinar si hay una facturación excesiva o insuficiente en la cuenta basándose en el uso real del Cliente durante los 12 meses anteriores. Direct Energy acreditará la cuenta del Cliente por cualquier cantidad cobrada en exceso y facturará al Cliente por cualquier cantidad insuficientemente cobrada. Además, como parte del proceso de revisión anual del plan, Direct Energy volverá a calcular la cantidad mensual de Facturación con Presupuesto del Cliente para reflejar el uso real de los doce meses anteriores. Plan de Extensión de Pago: Una extensión a corto plazo de la fecha de vencimiento para el pago completo de las facturas vencidas. Plan de Pago Diferido: Un plan de extensión de pago en el cual las facturas vencidas se pueden pagar a plazos por un período de tiempo especificado. Antes de iniciar un Plan de Pago Diferido, Direct Energy puede requerir un pago inicial (que no exceda el 25% de la cantidad pagadera) del Cliente. Direct Energy puede requerir que el Cliente pague el saldo pagadero en el Plan de Pago Diferido en plazos iguales por un mínimo de los tres ciclos siguientes de facturación. Direct Energy proporcionará al Cliente los detalles completos de un acuerdo de Plan de Pago Diferido por escrito. Programa de Asistencia de Pago de Facturas: Un Programa de Asistencia de Pago de Facturas es financiado por donaciones para apoyar a la(s) organización(es) local(es) que proporciona(n) Asistencia para el Pago de Facturas de energía para los Clientes con necesidades financieras que califican. El Cliente se puede poner en contacto con un representante de servicio al cliente de Direct Energy llamando al número gratuito 1-888-305-3828 para obtener más información sobre opciones de pago disponibles. El hecho de no hacer pagos a tiempo mientras se está en cualquier plan de arreglo de pago de facturas requerirá que Direct Energy saque al Cliente de dicho plan de pago, comience actividades de recaudación e inicie acciones para desconectar el servicio. TERMINACIÓN Y DESCONEXIÓN DEL SERVICIO Si el Cliente infringe este Acuerdo, salvo por la falta de pago, Direct Energy podrá terminar el Acuerdo y desconectarle la electricidad al Cliente. Direct Energy dará un aviso por escrito por lo menos 10 días antes de terminar el El Cliente no podrá asignar el Acuerdo, en parte o en su totalidad, o ninguno de los derechos u obligaciones del mismo sin el consentimiento previo por escrito de Direct Energy. Direct Energy podrá, sin el consentimiento del Cliente, hasta el límite permitido por la ley: (a) transferir, vender, prometer, sobrecargar o asignar el Acuerdo o las cuentas, ingresos o ganancias de éste relacionados con cualquier financiamiento o arreglo financiero; (b) transferir o asignar el Acuerdo a una afiliada de Direct Energy; c) transferir o asignar el Acuerdo a cualquier persona o entidad sucediendo a todos o prácticamente todos los activos de Direct Energy; y/o (d) transferir o asignar el Acuerdo a un REP certificado. En el caso de (b), (c), o (d), dicho asignado deberá acordar por escrito que estará obligado bajo estos Términos y Condiciones de Servicio. Después de cualquier asignación, el Cliente estará de acuerdo en que Direct Energy no tendrá ninguna otra obligación bajo el Acuerdo. MISCELÁNEOS Este Acuerdo de Términos de Servicio entre el Cliente y Direct Energy está sujeto a las leyes aplicables y substituye a cualquier promesa, entendimiento y acuerdo anterior. Si cualquier disposición de este Acuerdo se considera inválida, ilegal o no se puede hacer cumplir, el Cliente y Direct Energy acuerdan que se deberá modificar al mínimo necesario para que sea válida, legal y se pueda hacer cumplir. Si dicha disposición no se puede modificar de una manera que tal que haga que sea válida, legal y se pueda hacer cumplir, dicha disposición erá separada del Acuerdo, y todas las demás disposiciones continuarán en pleno vigor legal. Cualquier falla por parte de Direct Energy en el cumplimiento de cualquier condición de este Acuerdo o ejercer cualquier derecho bajo estos términos y condiciones no se considerará una renuncia del derecho de la Compañía de hacer cumplir todos y cada uno de dichos terminus o de ejercer dicho derecho o cualquier otro derecho bajos esos términos y condiciones. Si el Cliente infringe cualquier condición de servicio, los términos de este Acuerdo serán cancelados y anulados. REPRESENTACIONES Y GARANTÍAS LA ELECTRICIDAD VENDIDA BAJO ESTE ACUERDO CUMPLIRÁ LAS NORMAS DE CALIDAD DEL TDSP APLICABLE Y SERÁ SUMINISTRADA DE UNA VARIEDAD DE FUENTES. DIRECT ENERGY NO OFRECE NINGUNA REPRESENTACIÓN O GARANTÍA EXCEPTO LAS QUE SE ESTABLECEN EXPRESAMENTE EN ESTE ACUERDO, Y DIRECT ENERGY NIEGA EXPRESAMENTE TODAS LAS DEMÁS GARANTÍAS, EXPRESAS O IMPLÍCITAS, INCLUYENDO LAS GARANTÍAS DE COMERCIABILIDAD O AQUELLAS QUE MUESTREN LO APROPIADO QUE ES UN PROPÓSITO EN PARTICULAR. LIMITACIONES DE RESPONSABILIDAD LAS RESPONSABILIDADES NO EXCUSADAS POR MOTIVO DE FUERZA MAYOR U OTRO SE LIMITARÁN A LOS DAÑOS DIRECTOS Y ACTUALES. NINGUNA DE LAS PARTES SERÁ RESPONSABLE ANTE LA OTRA POR DAÑOS CONSECUENTES, INCIDENTALES, PUNITIVOS, EJEMPLARES O INDIRECTOS. DIRECT ENERGY NO SERÁ RESPONSABLE DE INTERRUPCIONES O INSUFICIENCIAS DEL SUMINISTRO DE ELECTRICIDAD NI NUNGUNA PÉRDIDA O DAÑO RESULTANTE. ESTAS LIMITACIONES SE APLICAN SIN TENER EN CUENTA LA CAUSA DE CUALQUIER RESPONSABILIDAD O DAÑO. NO HAY NINGÚN TERCER BENEFICIARIO DE ESTE ACUERDO. FUERZA MAYOR Direct Energy hará todo lo razonablemente posible desde un punto de vista comercial para proporcionar servicio de electricidad, pero no garantiza un suministro continuo de electricidad. Ciertas causas y hechos fuera del control de Direct Energy (“Hechos de Fuerza Mayor”) pueden dar como resultado una interrupción del servicio. Direct Energy no será responsable por dichas interrupciones causadas por un Hecho de Fuerza Mayor. Direct Energy no transmite o distribuye electricidad. El Cliente acuerda que Direct Energy no es y no sera considerada responsable por daños causados por Hechos de Fuerza Mayor, incluyendo sucesos ocurridos al azar, actos de cualquier autoridad del gobierno (incluyendo la PUCT o ERCOT), accidentes, huelgas, disputas laborales, trabajo de mantenimiento requerido, la imposibilidad de tener acceso al sistema local de distribución de servicios públicos, la falta de desempeño por parte del TDSP local, cambios en las leyes, reglas o reglamentos de cualquier autoridad del gobierno (incluyendo la PUCT o el ERCOT), o cualquier caso fuera del control de Direct Energy.
