RELEVANT INFORMATION BOLSA DE VALORES DE COLOMBIA S.A. 17 March 2016 Instructions for the submission of powers-of-attorney in the General Shareholders’ Meeting Prior the Ordinary General Shareholders’ Meeting of Bolsa de Valores de Colombia (BVC and/or the Exchange) 2016, which will be held on Wednesday, March 30th, 2016 at 8:00 a.m., at J.W. Marriott Hotel, Calle 73 No 8-60, Real Room, in the city of Bogota D.C., the company publishes the Internal Instructions for submission of powers-of-attorney which contains the specific measures and procedures designed to ensure the compliance with the provisions of the Chapter 6, Title I, Part III of the External Circular 029 of 2014 (Basic Legal Circular), issued by the Financial Superintendence of Colombia, regarding the submission of powers-of-attorney in shareholders' meetings held by Bolsa de Valores de Colombia S.A. (BVC). This document is applicable to all general shareholders’ meetings of BVC. BOARD OF DIRECTORS OF BOLSA DE VALORES DE COLOMBIA S.A. INSTRUCTIONS FOR THE PRESENTATION OF POWERS OF ATTORNEY AT THE GENERAL SHAREHOLDERS MEETINGS The Board of Directors of Bolsa de Valores de Colombia S.A. (hereinafter BVC or the Exchange), established the following Internal Instructions that contain specific measures and procedures designed to ensure compliance with the provisions of Chapter VI, Title I, Part III of the Fundamental Legal Bulletin issued by the Financial Superintendence of Colombia, for the presentation of powers of attorney at the General Shareholders Meetings held by the BVC: ARTICLE ONE.- TARGET AUDIENCE: These Instructions are intended for the Legal Representatives, Managers and other employees of the Exchange, to ensure that they provide all shareholders with equal treatment. PARAGRAPH: Before each BVC meeting, the Vice President and Secretary shall report, using the internal means of communication deemed appropriate, any conduct forbidden for Managers and employees of the Exchange in relation to the Company's shareholders meetings. ARTICLE TWO.- EMPLOYEES RESPONSIBLE FOR VERIFICATION: The Vice President and Secretary of the Exchange is the officer in charge of appointing the employees that will be responsible for verifying compliance with the procedures provided herein, requesting the presence of said employees before each BVC shareholders’ meeting, and reporting to the Board of Directors any possible failures said employees regarding verification, in order to take the appropriate corrective measures. ARTICLE THREE.- REQUIREMENTS OF THE POWERS OF ATTORNEY: In compliance with the provisions of Articles 184 and 185 of the Code of Commerce, any shareholders that want to be represented must grant a written power of attorney indicating the name of the proxy and, if applicable, the name of the person that may be replaced thereby, the date, time of the meeting or meetings for which it is granted (except in the case of a general power of attorney granted by public deed). Powers of attorney granted abroad must comply only with these requirements. It is recommended that the power of attorney must be granted in Spanish language. However, those powers of attorney granted in other language, must be submitted fulfilling all the law requirements. Powers of attorney may not be accepted from shareholders for shareholder meetings if the name of the respective proxy is not clearly defined; the same goes for powers of attorney with a blank space for managers or a third party to designate the representative. The powers of attorney must not be altered. Power of attorney can be granted to companies, in which case the legal representative of said company, as listed in the respective certificate of incorporation and legal representation issued by the competent authority, may act as the proxy. Minors must be accompanied by a legal representative, providing a birth certificate or identity card, and the documents that attest to the representation of the person accompanying them. A shareholder and his/her proxy may not take part simultaneously in the shareholders meetings, and they obviously cannot deliberate or decide jointly therein. This does not prevent a shareholder, at a given time, to be assisted by his/her proxy, in the understanding that under these circumstances, the proxy will act as an advisor, but without a voice or vote in the respective session. The shareholder may revoke the power of attorney at any time. ARTICLE FOUR.- TERM TO RECEIVE POWERS OF ATTORNEY: The date of the special power of attorney must be after the notification of the shareholders meeting. In the case of general powers of attorney (granted by public deed), a certification must be provided indicating the term of the general power of attorney in effect for no more than one (1) calendar month with respect to the date of shareholders meeting. Representation may not be granted to management or employees of the Exchange. ARTICLE FIVE.- PROHIBITED CONDUCT: The Legal Representatives, Management and other employees of the Exchange must abstain of the following conduct: 1.- Accepting powers of attorney to represent shareholders of the Exchange. 2.- Encouraging, promoting or suggesting to shareholders of the Exchange to grant powers of attorney where the name of the representative for the BVC shareholders meetings is not clearly defined. 3.- Receiving from shareholders of the Exchange any powers of attorney for the meetings where the name of the respective representative is not clearly defined. 4.- Accepting powers of attorney granted by shareholders of the Exchange as valid, although they do not meet the requirements set forth in Article Three of these Instructions, to participate in the shareholders meetings. 5.- Suggesting or determining the name of those who will act as proxies at the BVC shareholders meetings. 6.- Advising shareholders of the Exchange to vote for a given list. 7.- Suggesting, coordinating or agreeing with any shareholder or shareholder representative, the presentation of proposals to be submitted to the meeting for its consideration. 8.- Suggesting, coordinating or agreeing with any shareholder or shareholder representative, to vote in favor or against any proposition presented at the meeting. PARAGRAPH: In any case, BVC management or employees may only exercise the political rights inherent to their own shares and those they represent when acting as legal representatives. They cannot substitute the powers of attorney granted to them either. ARTICLE SIX.- PUBLICATION: The measures taken as a result of these Instructions shall be informed to the market in general, through the Exchange website and the Relevant Information mechanism managed by the Financial Superintendence of Colombia, prior to the celebration of the corresponding shareholders meeting of the Exchange. INFORMACIÓN RELEVANTE BOLSA DE VALORES DE COLOMBIA S.A. 17 de marzo de 2016 Instructivo para la presentación de poderes en las Asambleas Generales de Accionistas De manera previa a la celebración de la Asamblea General Ordinaria de Accionistas de la Bolsa de Valores de Colombia (BVC y/o la Bolsa) 2016, la cual se llevará a cabo el miércoles 30 de marzo de 2016 a las 8:00 a.m., en el Hotel J.W. Marriott, ubicado en la Calle 73 No. 8-60, Salón Real, en la ciudad de Bogotá D.C., la sociedad publica el Instructivo Interno para la presentación de poderes el cual contiene las medidas y procedimientos específicos orientados a asegurar el cumplimiento de lo dispuesto en el Capítulo 6, del Título I, de la Parte III de la Circular Externa 029 del 2014 (Circular Básica Jurídica), expedida por la Superintendencia Financiera de Colombia, para la presentación de poderes en las asambleas de accionistas que celebre la Bolsa de Valores de Colombia S.A. (BVC). Este documento es aplicable a todas las reuniones generales de accionistas de la BVC. CONSEJO DIRECTIVO DE LA BOLSA DE VALORES DE COLOMBIA S.A. INSTRUCTIVO PARA LA PRESENTACIÓN DE PODERES EN LAS ASAMBLEAS GENERALES DE ACCIONISTAS El Consejo Directivo de la Bolsa de Valores de Colombia S.A. (en adelante la BVC o la Bolsa), estableció el siguiente Instructivo Interno el cual contiene las medidas y procedimientos específicos orientados a asegurar el cumplimiento de lo dispuesto en la Parte III, Título I, Capítulo VI de la Circular Básica Jurídica, expedida por la Superintendencia Financiera de Colombia, para la presentación de poderes en las asambleas de accionistas que celebre la BVC1: ARTÍCULO PRIMERO.- DESTINATARIOS: El presente Instructivo está dirigido a los Representantes Legales, Administradores y demás funcionarios de la Bolsa, para asegurar que estos den un trato equitativo a todos los accionistas de la misma. PARÁGRAFO: Antes de cada asamblea de la BVC, el Vicepresidente Secretario informará por el medio interno de comunicación que estime pertinente, las conductas prohibidas a los Administradores y funcionarios de la Bolsa en relación con las asambleas de accionistas de la sociedad. ARTÍCULO SEGUNDO.- FUNCIONARIOS RESPONSABLES DE LA VERIFICACIÓN: El Vicepresidente Secretario de la Bolsa es el funcionario encargado de designar a los funcionarios responsables de verificar el cumplimiento de los procedimientos previstos en el presente Instructivo, requerir antes de cada asamblea de accionistas de la BVC, a los funcionarios mencionados y, de informar al Consejo Directivo las posibles falencias detectadas por los mencionados funcionarios responsables de la verificación, con el fin de adoptar las medidas correctivas pertinentes. ARTÍCULO TERCERO.- REQUISITOS DE LOS PODERES: En cumplimiento de los establecido en los artículos 184 y 185 del Código de Comercio, los accionistas que quieran hacerse representar deberán otorgar poder escrito en el que indiquen el nombre del apoderado, de ser el caso la persona en quien este puede sustituir, la fecha, época de la reunión o reuniones para las que se confiere (salvo que se trate de poder general conferido por escritura pública). Los poderes otorgados en el exterior deberán cumplir sólo estos requisitos. Se recomienda que los poderes sean otorgados en idioma Castellano. No obstante, aquellos poderes que sean otorgados en un idioma distinto, deberán presentarse cumpliéndose con los requisitos de Ley. No se pueden recibir de los accionistas poderes para las reuniones de Asamblea, donde no aparezca claramente definido el nombre del respectivo apoderado, ni dejar el espacio en blanco para que los Administradores o un tercero determinen dicho representante. Los poderes no deben presentar enmendaduras. 1 Aprobado de manera permanente por el Consejo Directivo en sesión del 25 de mayo de 2011, como consta en el Acta 151. Es posible otorgar poderes a personas jurídicas, caso en el cual podrá actuar el representante legal de dicha persona jurídica, según conste en el respectivo certificado de existencia y representación legal expedido por la autoridad competente. Los menores de edad deben estar acompañados por un representante legal, presentar registro civil de nacimiento o tarjeta de identidad y los documentos que acrediten la representación de la persona que los acompaña. Un accionista y su apoderado no pueden participar en forma simultánea en las reuniones que celebre la Asamblea, ni obviamente, deliberar o decidir conjuntamente en ellas lo que no obsta para que se le permita al socio en un momento dado, ser asistido por su apoderado en el entendido que actuará en tales circunstancias como asesor suyo, pero sin voz ni voto en la sesión respectiva. El accionista podrá revocar el poder conferido en cualquier momento. ARTÍCULO CUARTO.- PLAZO PARA RECIBIR PODERES: La fecha del poder especial debe ser posterior a la de la convocatoria de la reunión de la asamblea. Si se trata de poderes generales (conferido por escritura pública) deberá allegarse constancia de vigencia del poder general con una vigencia no anterior a un (1) mes calendario respecto de la fecha de reunión de la asamblea. La representación no podrá conferirse a personas vinculadas con la administración o a los empleados de la Bolsa. ARTÍCULO QUINTO.- CONDUCTAS PROHIBIDAS: Los Representantes Legales, Administradores y demás funcionarios de la Bolsa deben abstenerse de realizar las siguientes conductas: 1.- Aceptar poderes para representar a los accionistas de la Bolsa. 2.- Incentivar, promover o sugerir a los accionistas de la Bolsa el otorgamiento de poderes donde no aparezca claramente definido el nombre del representante para las asambleas de accionistas de la BVC. 3.- Recibir de los accionistas de la Bolsa poderes para las reuniones de asamblea, donde no aparezca claramente definido el nombre del respectivo representante. 4.- Admitir como válidos poderes conferidos por los accionistas de la Bolsa, sin el lleno de los requisitos establecidos en el artículo tercero del presente Instructivo, para participar en asambleas de accionistas. 5.- Sugerir o determinar el nombre de quienes actuarán como apoderados en las asambleas a los accionistas de la BVC. 6.- Recomendar a los accionistas de la Bolsa que voten por determinada lista. 7.- Sugerir, coordinar, convenir con cualquier accionista o con cualquier representante de accionistas de la Bolsa, la presentación en la asamblea de propuestas que hayan de someterse a su consideración. 8.- Sugerir, coordinar o convenir con cualquier accionista o con cualquier representante de accionistas, la votación a favor o en contra de cualquier proposición que se presente en la misma. PARÁGRAFO: En todo caso los Administradores o los funcionarios de la BVC, sólo podrán ejercer los derechos políticos inherentes a sus propias acciones y a aquellas que representen cuando actúen en calidad de representantes legales. Tampoco podrán sustituir los poderes que se les confieran. ARTÍCULO SEXTO.- PUBLICACIÓN: Las medidas adoptadas mediante el presente Instructivo se comunicarán al mercado en general, a través de la página Web de la Bolsa y del mecanismo de Información Relevante que administra la Superintendencia Financiera de Colombia, de manera previa a la celebración de la respectiva asamblea de accionistas de la Bolsa.
