ANNOUNCEMENT FOR THE REVOCATION OF THE GLOBAL AND
VOLUNTARY TENDER OFFER OF SHARES REPRESENTATIVE OF THE SHARE
CAPITAL OF ESPÍRITO SANTO SAÚDE, SGPS, S.A.
Pursuant to the terms and for the purposes of numbers 4 and 5 of article 185-B and article
128 of the Portuguese Securities Code (“Código dos Valores Mobiliários”) it is hereby made
public the decision to revoke the global and voluntary tender offer of the shares
representative of the share capital of Espírito Santo Saúde, SGPS, S.A., preliminarily
announced on August 19, 2014, and launched on September 19, 2014, by the Offeror
(hereinafter referred to as the “Offer”).
The grounds for the revocation of the Offer is the launch of a competing offer by
Fidelidade – Companhia de Seguros, S.A. on September 26, 2014 at a price of € 4.82 per
share and the decision taken today by the Offeror not to increase the consideration of its
Offer.

Following the decision of revocation of the Offer, which was authorized by the Portuguese
Securities Market Commission (“Comissão do Mercado dos Valores Mobiliários”) on the present
date, the Offer shall be ineffective, as per the provision of article 132 of the Portuguese
Securities Code.
The Offeror would like to thank everyone involved in the Offer and the Portuguese
Republic authorities, particularly the Ministry of Health, the Ministry of Finance and the
Securities Market Commission, for the professionalism and commitment demonstrated and
the members of the board of directors of Espírito Santo Saúde, SGPS, SA, for the impartial
and professional analysis done of the terms and conditions of the Offer.
