As the Grantor’s true and lawful attorney-in-fact for and in Grantor’s name, place and stead, for the purpose of transacting the matters described
below.
En calidad de apoderado legítimo y legal del Otorgante y en nombre y representación de éste, para los efectos de tramitar los asuntos que se
detallan a continuación:
1.
To make, draw, sign, and deliver checks, drafts, bills of exchange, notes, or orders or instructions of any kind, for and in the name of
Grantor for the payment of monies, drawn upon or made payable by or at HELM BANK USA (the “Bank”), whether or not drawn against
funds actually credited at the time, or against or in anticipation of deposits to be made or funds to be credited thereafter, and whether
payable to the order of the Attorney or tendered in payment of the Attorney’s obligations or deposited to the Attorney’s account, or
otherwise.
Extender, girar, firmar y entregar cheques, giros, letras de cambio, pagarés u órdenes o instrucciones de cualquier tipo a favor del
Otorgante y en nombre de éste, para pagar las sumas de dinero que hayan sido giradas contra el HELM BANK USA (el "Banco") o
pagaderas en dicho Banco, ya sea que hubieran o no sido giradas contra fondos realmente acreditados al momento o contra depósitos
pendientes de ser efectuados o, bien, anticipadamente contra fondos pendientes de ser acreditados posteriormente, y ya fueran dichas
sumas pagaderas a la orden del Apoderado o entregadas en pago de las obligaciones del Apoderado o depositadas en la cuenta de este
último o de algún otro modo.
2.
To endorse and deliver to the Bank any and all checks, drafts, notes, bills of exchange, or other orders or instructions, for and on behalf of
Grantor for the payment of money from, for negotiation with or through, or for deposit to, any of Grantor’s accounts with the Bank or for
any other purpose.
Endosar y entregar al Banco cualquiera y todos los cheques, giros, pagarés, letras de cambio u otras órdenes o instrucciones a favor del
Otorgante o en beneficio de éste, con el objeto de girar pagos contra cualquiera de las cuentas que el Otorgante tenga con el Banco;
para negociar con cualquiera de estas cuentas o a través de ellas o, bien, para depositar en cualquiera de dichas cuentas o con algún
otro propósito cualquiera.
3.
To waive, for and on behalf of Grantor, presentment, notice of dishonor and protest as to all checks, items, drafts, bills of exchange, notes,
etc.
Renunciar, por el Otorgante y en su nombre, a la presentación de instrumentos para su aceptación o pago, notificaciones de no
aceptación y protestos en todo lo que respecta a cheques, ítems, giros, letras de cambio, pagarés, etc.

4.
To receive, acquire, buy, hold, deposit, withdraw, receipt for, sell, exchange, collect, endorse, assign, transfer, deliver, dispose of, provide
for the safekeeping of, or take any action whatsoever with reference to, any funds, securities, and/or any property whatsoever of the
Grantor.
Recibir, adquirir, comprar, mantener, depositar, retirar, recibo de [sic], vender, intercambiar, cobrar, endosar, ceder, transferir, entregar,
enajenar, proveer custodia o tomar acción de cualquier clase en relación con cualesquiera fondos, títulos valores y/o bienes de todo tipo
propiedad del Otorgante.
5.
To open and/or close any accounts of the Grantor with the Bank.
Aperturar y/o cerrar cualesquiera cuentas que el Otorgante posea con el Banco.
6.
To receive and accept, for and on behalf of Grantor, any notices, confirmations, reports and demands, and to authorize any disclosure of
information.
Recibir y aceptar, por el Otorgante y en su nombre, notificaciones, confirmaciones, informes y exigencias y autorizar cualquier develación
de información.
7.
To execute and deliver any instructions, payment orders, assignments, agreements, promissory notes, evidences of indebtedness, trust
receipts, financing statements, mortgages, and any other documents and/or instruments in connection with the foregoing, and generally to
do all acts and things with reference to any transactions of the Grantor with or through the Bank, giving and granting under this Power of
Attorney full power and authority to the Attorney to do and perform any and every act and thing whatsoever in connection with all of the
foregoing.

estados financieros, hipotecas y cualesquiera otros documentos y/o instrumentos relacionados con lo anterior y, en general, realizar

The Grantor hereby authorizes and empowers the Bank, without limit as to amount, without need of inquiry, without regard to the application of
funds or property and without responsibility to the Grantor, to permit Attorney to deal with, control, and dispose of, any accounts, funds,
instruments, securities or other property whatsoever of the Grantor, to the same full and unlimited extent and in the same manner as the
Attorney might or could do, if same were his/her absolute property, and Grantor agrees that the Bank shall not in any manner or for any cause
be liable for any disposition which Attorney may make of same or any part thereof.
Por medio del presente, el Otorgante autoriza y faculta al Banco, sin limitar el monto, sin necesidad de indagar, sin miras a la solicitud de
fondos o bienes y sin responsabilidad para el Otorgante, para que dicho Banco permita que el Apoderado trate, controle y disponga de las
cuentas, de los fondos, instrumentos, títulos valores o de toda clase de otros bienes que posea el Otorgante, en la misma y en toda su
extensión y de la misma manera que el Apoderado haría o podría hacer en caso de que dichos bienes fueran de su entera propiedad, y el
Otorgante acepta que el Banco no será de ninguna forma ni por causa alguna responsable por la enajenación que el Banco hiciera de los
mismos o de alguna parte cualquiera de éstos.

This Power of Attorney shall remain in full force and effect and binding upon the Bank until the Bank shall have actually received at the Bank’s
office on a banking day during regular banking hours: (a) written evidence of the Grantor’s death satisfactory in form and substance to the
Bank, at its sole discretion; or (b) written notice of termination or revocation signed by the Grantor satisfactory in form and substance to the
Bank, at its sole discretion.
El presente Poder continuará estando en plena fuerza y vigor y continuará siendo vinculante al Banco hasta que éste haya, de hecho, recibido
en sus oficinas, en las horas regulares de un día hábil bancario, lo siguiente: (a) prueba por escrito del fallecimiento del Otorgante, la cual
deberá ser satisfactoria en forma y fondo para el Banco, a su sola discreción, o (b) prueba por escrito de cancelación o revocación firmada por
el Otorgante, la cual deberá ser satisfactoria en forma y fondo para el Banco, a su sola discreción.
Grantor hereby indemnifies and holds the Bank harmless from any and all damage, loss, and/or liability, as well as from any cost and/or
expenses (including reasonable attorney’s fees) suffered and/or incurred by the Bank by reason of or arising from the Bank’s reliance upon this
Power of Attorney.
El Otorgante mediante el presente indemniza y libera al Banco de responsabilidad ante cualquiera y todo daño y perjuicio, pérdida y/o
responsabilidad, asimismo como ante cualquier costo y/o gasto (incluida una suma razonable en concepto de honorarios profesionales de
abogado) que el Banco hubiere sufrido y/o en el que hubiere incurrido por motivo o como resultado de la confianza que el Banco ha
depositado sobre el presente Poder.
This Power of Attorney shall be binding upon the Grantor’s heirs, successors in interest and assigns. This Power of Attorney shall be
governed by the laws of the state of Florida. Each party hereto agrees to submit to the personal jurisdiction and venue of the state and federal
courts in such state, for the resolution of all disputes and/or causes of action arising out of this document. This Agreement sets forth the
complete and total Power of Attorney granted by the Grantor to the Attorney.
El presente Poder será vinculante para los herederos, derechohabientes y cesionarios del Otorgante. Este Poder deberá regirse con arreglo a
las leyes del estado de La Florida. Cada una de las partes del presente acuerda someterse a la competencia y jurisdicción de los tribunales
estatales y federales del mencionado estado para la resolución de todas las controversias y/o causas de acción que se derivaren de este
documento. El presente Acuerdo presenta de forma total y completa el Poder que el Otorgante otorga al Apoderado.
THE GRANTOR HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHTS THAT THE GRANTOR MAY
HAVE TO A TRIAL BY JURY IN ANY SUIT, ACTION, PROCEEDING OR LITIGATION IN ANY COURT WITH RESPECT TO, OR IN
CONNECTION WITH, OR ARISING OUT OF, OR OTHERWISE RELATED TO, THIS POWER OF ATTORNEY AND ITS SUBJECT
MATTER, OR ANY COURSE OF CONDUCT, COURSE OF DEALING, OR ACTIONS OF THE GRANTOR, THE ATTORNEY, OR THE
AGENCY, RELEVANT TO THE TRANSACTIONS CONTEMPLATED HEREBY. THIS PROVISION IS A MATERIAL INDUCEMENT FOR
THE AGENCY’S ACCEPTANCE OF THIS POWER OF ATTORNEY.
MEDIANTE EL PRESENTE, EL OTORGANTE RENUNCIA A SABIENDAS, VOLUNTARIA E INTENCIONALMENTE, A LOS DERE¬CHOS
QUE LE ASISTEN PARA ENTABLAR UN JUICIO CON JURADO ANTE CUALQUIER DEMANDA JUDICIAL, ACCIÓN, PROCEDIMIENTO O
PLEITO EN CUALQUIER TRIBUNAL CON RESPECTO, EN RELACIÓN O COMO RESULTADO O, BIEN, EN CUALQUIER OTRA FORMA
RELACIONADA CON EL PRESENTE PODER Y EL ASUNTO OBJETO DEL MISMO, O CON CUALQUIER MODO DE COMPORTAMIENTO
O DE CONDUCTA COMERCIAL, ACCIONES DEL OTORGANTE, DEL ABOGADO O DE LA AGENCIA QUE ESTUVIEREN
RELACIONADOS CON LAS OPERACIONES QUE SE CONTEMPLAN POR MEDIO DEL PRESENTE. ESTA DISPOSICIÓN CONSTITUYE
PARA LA AGENCIA, UN INCENTIVO ESENCIAL PARA SU ACEPTACIÓN DEL PRESENTE PODER.
