PAY ON DEATH/TRANSFER-ON-DEATH AGREEMENT
ACUERDO PARA PAGAR AL FALLECIMIENTO/TRANSFERIR AL FALLECIMIENTO
This Pay On Death/Transfer On Death Agreement ("Agreement") applies to the specific accounts listed in Paragraph 5 maintained by the
undersigned Customer(s) (the "Account(s)") with HELM BANK USA (the "Bank") and is intended to amend and supplement any and all other account
opening and related documents, agreements, and terms and conditions regarding the Account(s) (all such account opening and related documents
and agreements, except this Agreement, being the "Other Agreements"). The undersigned hereby agree(s) with the Bank as follows:
El presente Acuerdo para Pagar al Fallecimiento / Transferir al Fallecimiento (“Acuerdo”) se aplica a las cuentas que se enumeran específicamente
en la cláusula 5 (la[s] “Cuenta[s]”), y que el (los) Cliente(s) que suscribe(n) mantiene(n) con el HELM BANK USA (el "Banco"), a través del cual se
pretende enmendar y complementar cualquiera y todos los demás documentos, acuerdos y términos y condiciones de apertura de cuentas y los
conexos con respecto a la(s) Cuenta(s) (con la excepción del presente Acuerdo, todos los documentos y acuerdos de apertura de cuenta y los
conexos se denominarán los “Otros Acuerdos”). El (Los) suscrito(s) conviene(n) con el Banco lo siguiente:
1.
Notwithstanding the manner in which the Account(s) was/were initially opened (e.g., as an "in trust for" or "Totten trust" account): (a) with
respect to all cash deposits in an Account, this Agreement constitutes a "contract of deposit" under Florida Statutes Section 655.82 (the
"Account Statute") and, (b) with respect to all non cash assets, an Account constitutes a "securities account" within the meaning of the Florida
Uniform Transfer On Death Security Registration Act (the "Securities Act").
Sin perjuicio de la manera como la(s) Cuenta(s) fue (fueron) abierta(s) inicialmente (tal como “mantener en fideicomiso para beneficio de” o
como un “Fideicomiso Totten”): (a) en lo que respecta a todos los depósitos al contado en la Cuenta, este Acuerdo constituye un “contrato de
depósito” bajo el artículo 655.82 de los Estatutos de la Florida (el “Estatuto sobre la Cuenta), y (b) en lo que respecta a todos los activos no
líquidos, una Cuenta constituye una “Cuenta de Títulos Valores) dentro del significado de la ley, Florida Uniform Transfer-On-Death Security
Registration Act (Ley Uniforme de la Florida, relativa al Registro de Transferencias de Títulos Valores al Fallecimiento) (“Ley de Títulos
Valores”).

This Agreement shall become effective on the date it is accepted by the Bank (as such date is stated at the end of this Agreement).
El presente Acuerdo entrará en vigencia en la fecha en la cual sea aceptado por el Banco (fecha misma que aparece escrita al final de este
Acuerdo).

Notwithstanding the manner in which the Account(s) was/were initially opened (e.g., as an "in trust for" or "Totten trust" account), the Account
shall be a "pay-on-death account" under the Account Statute and/or a "transfer-on-death securities account" under the Securities Act (as
applicable). Such status is intended to be retroactive to the time of establishment of each Account.
Sin perjuicio de la manera como la(s) Cuenta(s) fue (fueron) abierta(s) inicialmente (tal como “mantener en fideicomiso para beneficio de” o
como un “Fideicomiso Totten”), la Cuenta será una “cuenta para pagar al fallecimiento”, bajo el Estatuto sobre la Cuenta y/o una “cuenta de
títulos valores para transferir al fallecimiento” bajo la Ley de Títulos Valores (según fuere pertinente). Se pretende hacer retroactiva dicha
condición al momento en que se haya abierto cada una de las Cuentas.

For purposes of the Securities Act, all non-cash assets maintained in an Account are to be treated as "financial assets" within the meaning of
Florida Statutes Chapter 678.
Para los efectos de la Ley de Títulos Valores, todos los activos no líquidos que estén depositados en una Cuenta, habrán de ser tratados
como “activos financieros” dentro del significado del Capítulo 678 de los Estatutos de la Florida.

Sole-Owner Account, with a Pay-on-Death Designation and/orTransfer-on-Death Designation (as applicable). The Owner may at any time
close the Account and/or withdraw, transfer or otherwise dispose of any or all of the funds and/or assets therein. At the death of the Owner,
ownership passes to the then surviving Beneficiary(ies) named in paragraph 8 and is not part of the Owner's estate.
Cuenta de un único titular, con la designación de Pagar al Fallecimiento y/o de Transferir al Fallecimiento (según fuere pertinente). El Titular
podrá cerrar en cualquier momento la Cuenta y/o retirar, transferir o, bien, enajenar cualquier suma o la totalidad de los fondos y/o activos
depositados en la misma. Al fallecimiento de su Titular, la titularidad pasará al (a los) beneficiario(s) identificado(s) en la cláusula 8 que le
sobrevivan y no será parte integral del patrimonio del Titular.
Multiple-Owner Account, with a Pay-on-Death Designation and/or Transfer-on-Death Designation (as applicable). At any time, all of the
Owner(s) then living may close the Account and/or withdraw, transfer or otherwise dispose of any or all funds and/or assets therein. At the
death of any Owner (other than the last surviving Owner), such deceased Owner's interest in the Account passes to the surviving Owner or
surviving Owners. At the death of the last surviving Owner, ownership passes to the then surviving Beneficiary(ies) named in paragraph 8 and
is not part of the last surviving Owner's estate.
Cuenta de Múltiples Titulares, con la designación de Pagar al Fallecimiento y/o de Transferir al Fallecimiento (según fuere pertinente). Todos
los Titulares que estén vivos, podrán cerrar en cualquier momento la Cuenta y/o retirar, transferir o, bien, enajenar cualquier suma o la totalidad
de los fondos y/o activos depositados en la misma. Al fallecimiento de cualquiera de sus Titulares (cualquiera que no sea el último Titular
sobreviviente), la participación que el Titular difunto tuviera en la Cuenta, pasará al Titular que le sobreviva o a los Titulares que le sobrevivan.
Al fallecimiento del último Titular sobreviviente, la titularidad pasará al (a los) Beneficiario(s) identificado(s) en la cláusula 8 que le sobrevivan
y no será parte integral del patrimonio del último Titular sobreviviente.

If there are two or more Beneficiaries living at the death of the Owner (or the last surviving Owner if applicable), they will share in the Account
in the proportions designated above. Should a Beneficiary die prior to the last to survive of the Owner(s), such Beneficiary's given percentage
of interest in the Account shall be divided equally amongst all surviving Beneficiaries.
De haber dos o más Beneficiarios vivos al fallecimiento del Titular (o del último Titular sobreviviente, de ser pertinente), ellos se repartirán la
Cuenta en las proporciones previamente designadas. Si un Beneficiario fallece antes de que muera el último de los Titulares, el porcentaje
de participación en la Cuenta que le corresponde a ese Beneficiario, se dividirá en partes iguales entre los Beneficiarios que sobrevivan.

As amended and supplemented hereby, the Other Agreements shall remain in full force and effect. The designations made in paragraph 6, 7
and 8 may be canceled or changed only by means of a new "Pay-on-Death/ Transfer-on-Death Agreement" executed by the Owner(s) of the
Account(s) and accepted by the Bank.
Acorde a las enmiendas y complementos que se llevan a cabo en el presente, los Otros Acuerdos continuarán teniendo plena fuerza y vigor.
Las designaciones que se hacen en las cláusulas 6, 7 y 8, únicamente podrán ser canceladas o cambiadas mediante la suscripción de un
nuevo “Acuerdo de Pagar al Fallecimiento / Transferir al Fallecimiento” por el (los) Titular(es) de la(s) Cuenta(s) y que sea aceptado por el
Banco.
10.
Any federal and/or state inheritance taxes and any related charges or fees may be paid by the Bank, at its election, from the cash or non-cash
assets held in the Accounts prior to the distribution of such assets to the Beneficiary(ies). In the event that all the Beneficiaries die before the
Owner(s), the Beneficiary(ies) entitlement to any funds and/or assets held in the Accounts shall automatically terminate. The Bank may pay a
share of the funds and/or assets held in the Account(s) to any Beneficiary(ies) without the consent of the other Beneficiary(ies).
El Banco podrá pagar los impuestos de sucesión federales y/o estatales más cualesquiera cargos u honorarios conexos a su discreción, con
el efectivo o con los activos no líquidos depositados en las Cuentas previo a la repartición de tales activos entre el (los) Beneficiario(s). En el
caso de que todos los Beneficiarios fallezcan antes que el (los) Titular(es), el derecho del (de los) Beneficiario(s) a recibir cualesquiera fondos
y/o activos que estén depositados en las Cuentas, cesará automáticamente. El Banco podrá pagar una parte correspondiente de los fondos
y/o de los activos depositados en la(s) Cuenta(s) a cualquier (cualesquiera) Beneficiario(s) sin el consentimiento del (de los) otro(s) Beneficiario(s).
11.
The Owner(s) of the Accounts hereby agree(s) to jointly and severally indemnify the Bank and its affiliates, agents, officers, directors,
employees, and assigns (collectively, the "Indemnified Parties") against, and jointly and severally defend and hold them harmless from, any
claims, losses, liabilities, and expenses of any kind, including attorney’s fees, suffered or incurred by the Indemnified Parties in connection
with this Agreement, any payments made by the Bank to the Beneficiary(ies) hereunder, the registration of the Accounts in the name(s) of the
Beneficiary(ies), and/or any other actions taken by any of the Indemnified Parties pursuant to this Agreement, in accordance with the Account
Statute and/or the Securities Act. The Indemnified Parties' rights under this paragraph are in addition to all of their other rights and remedies
under the Other Agreements and applicable law.
El (Los) Titular(es) de las Cuentas acuerda(n) mediante el presente, indemnizar conjunta y solidariamente al Banco y a sus filiales, agentes,
funcionarios, directores, empleados y cesionarios (conjuntamente: las “Partes Indemnizadas”), y defenderlos conjunta y solidariamente,
liberándolos de responsabilidad ante cualesquiera reclamos, pérdidas, pasivos y gastos de cualquier clase, incluidos los honorarios de
abogado, que las Partes Indemnizadas sufrieran o en las que incurrieran en relación con el presente Acuerdo; ante cualesquiera pagos
efectuados por el Banco al (a los) Beneficiario(s) en virtud del presente; ante el registro de las Cuentas a nombre del (de los) Beneficiario(s)
y/o ante cualesquiera otras acciones que tomen las Partes Indemnizadas de conformidad con el presente Acuerdo, acatando el Estatuto sobre
la Cuenta y/o la Ley de Títulos Valores. Los derechos de las Partes Indemnizadas son adicionales a todos sus otros derechos y recursos
establecidos en los Otros Acuerdos y en las leyes aplicables.
