OF AN ORDER AUTHORIZING AND APPROVING THE
EMPLOYMENT AND RETENTION OF AMHERST CONSULTING, LLC
AS FINANCIAL ADVISOR EFFECTIVE JULY 6, 2016
The above-captioned debtors and debtors in possession (collectively, the “Debtors”)
respectfully submit this application (the “Application”), pursuant to sections 327(a), 328(a) and
1103(a) of title 11 of the United States Code, 11 U.S.C. §§ 101-1532 (as amended, the
“Bankruptcy Code”), Rules 2014 and 2016 of the Federal Rules of Bankruptcy Procedure (the
“Bankruptcy Rules”), and Rule 2014-1 of the Local Bankruptcy Rules of the United States
Bankruptcy Court for the Eastern District of Missouri (the “Local Bankruptcy Rules”), for entry
of an order: (a) authorizing and approving the employment and retention of Amherst Consulting,
LLC (“Amherst”) to serve as the Debtors’ financial advisor effective as of July 6, 2016 to
perform certain limited services in accordance with the terms and conditions of that certain
engagement letter (the “Engagement Letter”), dated as of July 6, 2016, between Amherst and
Abengoa Bioenergy U.S. Holding, LLC, attached hereto as Exhibit A, (b) approving the

proposed compensation arrangements and the indemnification provisions set forth in the
Engagement Letter; and (d) granting such other relief as is just and proper. In support of this
Application, the Debtors submit the Declaration of James Morden, a Managing Director of
Amherst, attached hereto as Exhibit B (the “Morden Declaration”). In further support of this
Application, the Debtors respectfully state as follows:
JURISDICTION AND VENUE
1.
The United States Bankruptcy Court for the Eastern District of Missouri (the
“Court”) has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and 1334. This matter is
a core proceeding within the meaning of 28 U.S.C. § 157(b)(2).
2.
Venue in this Court is proper under 28 U.S.C. §§ 1408 and 1409.
3.
The bases for the relief requested herein are sections 327(a) and 328(a) of the
Bankruptcy Code, Bankruptcy Rules 2014(a) and 2016, and Local Bankruptcy Rule 2014-1.
BACKGROUND
4.
On February 24, 2016 (the “Original Petition Date”), Abengoa Bioenergy US
Holding, LLC, Abengoa Bioenergy Company, LLC, Abengoa Bioenergy of Nebraska, LLC,
Abengoa Bioenergy Engineering & Construction, LLC, Abengoa Bioenergy Trading US, LLC,
and Abengoa Bioenergy Outsourcing, LLC (the “Original Debtors”) filed voluntary petitions for
relief under chapter 11 of the Bankruptcy Code.

On June 12, 2016 (the “Maple Petition Date”), Abengoa Bioenergy Meramec
Renewable, LLC, Abengoa Bioenergy Funding, LLC, Abengoa Bioenergy Maple, LLC,
Abengoa Bioenergy of Indiana, LLC, Abengoa Bioenergy of Illinois, LLC, and Abengoa
Bioenergy Operations, LLC (the “Maple Debtors”) filed voluntary petitions for relief under
chapter 11 of the Bankruptcy Code.

The Debtors’ cases are jointly administered and the Debtors continue to manage
and operate their businesses as debtors in possession under sections 1107 and 1108 of the
Bankruptcy Code.
7.
On March 11, 2016, the United States Trustee appointed an Official Committee of
Unsecured Creditors (the “Committee”). No trustee or examiner has been appointed in these
chapter 11 cases.
8.
Additional information about the Debtors’ business operations, their capital and
debt structures, and the events leading to the filing of these chapter 11 cases, is set forth in detail
in the Declaration of Sandra Porras Serrano in Support of Chapter 11 Petitions and First Day
Pleadings [Docket No. 12] and the Supplemental Declaration of Sandra Porras Serrano [Docket
No. 373] and fully incorporated herein by reference.
Amherst’s Qualifications
9.
The Debtors have selected Amherst as their financial advisor to perform certain
limited services because (a) Amherst has extensive experience and an excellent reputation in
providing high quality financial advisory services to debtors in chapter 11 cases and other
restructurings, and (b) the Debtors developed a professional relationship with Managing Director
James Morden who was previously employed by Alvarez & Marsal North America, LLC where
he gained extensive knowledge regarding the Debtors and their operations.
10.
Headquartered in Birmingham, Michigan, Amherst was founded in 1994 and is
one of the Midwest’s most reputable boutique advisory firms. Amherst has expertise in a wide
range of industries, and has been engaged in numerous types of restructurings, mergers and
acquisitions, and other financial transactions. Amherst specializes in assisting financially
troubled companies in both in-court and out-of-court matters.

bankruptcy and restructuring advisor to debtors and other parties of interest in both domestic and
cross-border cases.
11.
Amherst’s business reorganization professionals have served as financial advisor
and investment banker in numerous cases, including, among others: In re Innatech, LLC (E.D.
Mich.); In re Premarc Corp. (E.D. Mich.); In re US Fidelis, Inc. (E.D. Mo.); In-re-JacobsIndustries, Inc. (E.D. Mich.); In re Vincent Industrial Plastics, Inc. (W.D. Ky.); In re Sidler, Inc.
(E.D. Mich.); In re Waste Reduction, Inc. (E.D. Mich.); In re Trans Industries, Inc. (E.D. Mich.);
In re PCS Financial Corp. (N.D. Ill.); In re Executone of Michigan, Inc. (E.D. Mich.); In re
Computerized Facilities Integration, Inc. (E.D. Mich.); First Independence Capital., Inc. (E.D.
Mich.); In re Bernadette Business Forms, Inc. (E.D. Mo.).

Amherst is highly qualified to provide the cash flow forecasting, DIP budget
support, and general financial and managerial support that may be required by the Debtor. The
majority of the services provided will be rendered by Managing Director James Morden, who
has 15 years of turnaround and restructuring experience, with oversight from Partner Sheldon
Stone, who has 23 years of turnaround and restructuring experience.
13.
Accordingly, Amherst possesses the requisite expertise and background to handle
matters that are likely to arise in these cases.
Services to be Provided
14.
Subject to further order of the Court, and as set forth in the Engagement Letter
attached as Exhibit A hereto, in consideration for the compensation contemplated therein,
Amherst will render financial advisory services to the Debtors, including:
a.
Production of rolling 13-week cash flow forecasts and cash variance
reports;
b.
Updates to DIP loan budgets; and

Other services as defined by the Debtors and agreed to by Amherst in
writing.
Professional Compensation
15.
In accordance with the terms of the Engagement Letter, Amherst will be paid by
the Debtors for the services of the Amherst professionals at their customary hourly billing rates,
which are as follows:

Such rates and ranges shall be subject to adjustment annually at such time as
Amherst adjusts its rates generally.
17.
In addition, Amherst will be reimbursed for the reasonable out-of-pocket
expenses of the Amherst professionals incurred in connection with this assignment, such as
travel, lodging, third party duplications, messenger and telephone charges.
18.
The Debtors will provide Amherst with a retainer in the amount of $50,000 which
shall be credited against any amounts due at the termination of this engagement and returned
upon the satisfaction of all obligations hereunder.
19.
The Debtors understand that Amherst intends to apply to the Court for allowance
of compensation and reimbursement of expenses for its financial advisory services in accordance
with the applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, corresponding
Local Rules, orders of this Court and guidelines established by the U.S. Trustee.
20.
Amherst has not shared or agreed to share any of its compensation from the
Debtors or any other person, other than as permitted under section 504 of the Bankruptcy Code.
No promises have been received by Amherst as to compensation in connection with these
chapter 11 cases, other than as outlined in the Engagement Letter.

Given the numerous issues that the Amherst professionals may be required to
address in the performance of their services, Amherst’s commitment to the variable level of time
and effort necessary to address all such issues as they arise, and the market prices for such
services for engagements of this nature in an out-of-court context, as well as in chapter 11, the
Debtors submit that the fee arrangements set forth herein are reasonable under the standards set
forth in section 328(a) of the Bankruptcy Code.
Indemnification Provisions
22.
As part of the overall compensation payable to Amherst under the terms of the
Engagement Letter, the Debtors have agreed to certain indemnification provisions described in
the Engagement Letter (the “Indemnification Provisions”). As more specifically provided in the
Engagement Letter, the Indemnification Provisions provide that the Debtors will indemnify and
hold harmless Amherst and its affiliates, members, directors, agents, employees, and each other
person controlling Amherst or any of its affiliates (collectively, the “Indemnified Parties”) from
and against any and all losses, claims, damages, liabilities, and expenses (including reasonable
counsel fees and expenses) to which any of them may become subject arising in any manner by
reason of or in any way related to the engagement, except for matters judicially determined to
have arisen in any manner out of an Indemnified Party’s bad faith, willful misconduct or gross
negligence in performing the services that are the subject of the Engagement Letter.
23.
The terms of the Engagement Letter, including the Indemnification Provisions,
were fully negotiated between the Debtors and Amherst at arm’s length, and the Debtors
respectfully submit that the Indemnification Provisions are customary, reasonable and in the best
interests of the Debtors, its estates and creditors. Accordingly, as part of this Application, the
Debtors request that this Court approve the Indemnification Provisions.

No Duplication of Services
24.
This Court has authorized the retention of (a) DLA Piper LLP (US), as general
restructuring counsel; (b) Armstrong Teasdale LLP, as local counsel; and (c) Prime Clerk LLC,
as claims agent. The Debtors are very mindful of the need to avoid duplication of services and
appropriate procedures will be implemented to ensure that there is minimal duplication of effort
as a result of Amherst’s retention as financial advisor. The Debtors understand that Amherst will
use its reasonable efforts to work cooperatively with the Debtors’ other professionals to integrate
any respective work performed by those professionals on behalf of the Debtors.
Amherst’s Disinterestedness
25.
To the best of the Debtors’ knowledge as of the date hereof, and except to the
extent disclosed herein or in the Morden Declaration, Amherst: (a) is a “disinterested person”
within the meaning of section 101(14) of the Bankruptcy Code; (b) does not hold or represent an
interest materially adverse to the Debtors’ estates, their creditors, and shareholders for the
matters for which Amherst is to be employed; and (c) has no connection to the Debtors, their
creditors, shareholders, or related parties, except as disclosed in the Morden Declaration.
26.
The Debtors’ knowledge, information, and belief regarding certain matters set
forth in this Application regarding Amherst’s disinterestedness are based on, and are made in
reliance upon, the Morden Declaration. To the extent that Amherst discovers any additional
facts bearing in a material respect on its disinterestedness during the period of Amherst’s
retention in connection with these chapter 11 cases, Amherst will supplement the Morden
Declaration.

BASIS FOR RELIEF
I.
The Debtors Should Be Permitted to Retain and Employ Amherst
on the Terms of the Engagement Letter Pursuant
to Sections 327 and 328 of the Bankruptcy Code.
27.
The Debtors submit that the retention of Amherst under the terms described
herein is appropriate under sections 327(a), 328, and 1107(b) of the Bankruptcy Code. Section
327(a) of the Bankruptcy Code empowers a debtor, with the Court’s approval, to employ
professionals “that do not hold or represent an interest adverse to the estate, and that are
disinterested persons, to represent or assist the trustee in carrying out the [debtor’s] duties under
this title.” 11 U.S.C. § 327(a). Section 101(14) of the Bankruptcy Code defines a “disinterested
person” as a person that:
(a)
is not a creditor, an equity security holder, or an insider;
(b)
is not and was not, within 2 years before the date of the
filing of the petition, a director, officer, or employee of the
debtor; and
(c)
does not have an interest materially adverse to the interest
of the estate or of any class of creditors or equity security
holders, by reason of any direct or indirect relationship to,
connection with, or interest in, the debtor, or for any other
reason.

28.
Section 328(a) of the Bankruptcy Code authorizes the employment of a
professional person “on any reasonable terms and conditions of employment, including on a
retainer . . .”

The Debtors submit that the terms and conditions of
Amherst’s retention as described herein, including the proposed compensation terms, are
reasonable and in keeping with the terms and conditions typical for engagements of this size and
character. The Debtors further submit that substantial assistance with the reorganization process

will be needed, and therefore it is reasonable for the Debtors to seek to employ and retain
Amherst to serve as its financial advisor on the terms and conditions set forth herein.
29.
Pursuant to the Debtors’ request, Amherst has served as its financial advisor since
July 6, 2016 or shortly thereafter with assurances that the Debtors would seek approval of its
employment and retention, effective July 6, 2016, so that Amherst may be compensated for its
pre-application services. The Debtors believe that no party in interest will be prejudiced by the
granting of the employment effective July 6, 2016, as provided herein, because Amherst has
provided and continues to provide valuable services to the Debtors’ estates since July 6, 2016.
II.
The Indemnification and Contribution Terms of the Engagement Letter are
Appropriate.
30.
The Indemnification Provisions were fully negotiated between the Debtors and
Amherst. The Debtors and Amherst believe that the Indemnification Provisions are customary
and reasonable for financial advisory engagements both out of court and in chapter 11 cases.

the Debtors respectfully submit that the terms of the modified Indemnification Provisions are
reasonable and customary and should be approved in these chapter 11 cases.

The Retention of Amherst Is Critical to the Debtors’ Reorganization Efforts.
31.
The Debtors submit that the retention of Amherst is in the best interests of all
parties in interest in these chapter 11 cases. Denial of the relief requested herein will deprive the
Debtors of the assistance of a highly qualified, and professional essential to the successful
conclusion of these cases.
32.
Based on the foregoing, the Debtors submit that they have satisfied the
requirements of the Bankruptcy Code, the Bankruptcy Rules, and the Local Bankruptcy Rules to
support entry of an order authorizing the Debtors to retain and employ Amherst in these chapter
11 cases on the terms described herein and in the Engagement Letter.
Notice
33.
Consistent with the Order Establishing Certain Notice, Case Management and
Administrative Procedures on April 22, 2016 [Docket No. 255], notice of this Motion has been
given to: (i) the Office of the United States Trustee for the Eastern District of Missouri, (ii)
counsel to the Committee, (iii) counsel for the DIP Lender, (iv) the Internal Revenue Service, (v)
the United States Attorney’s Office for the Eastern District of Missouri, and (vi) any party that
has requested notice pursuant to Bankruptcy Rule 2002. The Debtors submit that no other or
further notice need be given.

I, James Morden, being duly sworn, depose and say:

I am a Managing Director of Amherst Consulting, LLC (“Amherst”), a
professional services firm engaged in the business of providing investment banking, financial
advisory, and related professional consulting services located at 255 East Brown Street, Suite
120, Birmingham, MI 48009.
2.
I was previously employed by Alvarez & Marsal North America, LLC and was a
member of the team providing services to the Debtors and their affiliates, including in these
chapter 11 cases.
3.
I am duly authorized to submit this Declaration on behalf of Amherst in support
of the Debtors’ Application for Entry of an Order Authorizing and Approving the Employment
and Retention of Amherst Consulting, LLC as Financial Advisor Effective July 6, 2016 (the
“Application”).1 I have personal knowledge of the matters set forth herein. If called as a
witness, would testify competently thereto.

Amherst’s Disinterestedness
9.
The Debtors have numerous unsecured and secured creditors and, from time to
time, Amherst may have represented certain of those creditors in completely unrelated matters.
Amherst maintains records of all of its clients and the matters on which it represents those
clients. I have caused an examination of these records to be made to determine which, if any, of
the Debtors, affiliates of the Debtors, largest unsecured creditors of the Debtors, officers and
directors of the Debtors, and other potential parties-in-interest Amherst may have represented in
the past or may be representing at the present time in unrelated matters.
10.
Based upon information supplied by Debtors’ counsel, Amherst searched its
records to identify any connection or relation with the following entities as provided to Amherst
by Debtors counsel are set forth in Schedule 1 attached hereto and incorporated herein by
reference.

Based upon the database search described above, known connections between
former or recent clients of Amherst and the potential parties-in-interest were compiled for
purposes of preparing this Declaration. Amherst has previously been engaged by Comerica
Bank, General Electric Capital Corporation, and Wells Fargo Bank, NA in matters unrelated to

the Debtors or their chapter 11 cases. These prior engagements will not in any way affect the
impartial and professional performance of the services to be provided by Amherst to the Debtors.
12.
Other than the previous work performed on behalf of potential parties-in-interest
in matters unrelated to the Debtors that are disclosed paragraph 11 of this Declaration, Amherst
does not represent and has not represented any other entity having an adverse interest in
connection with this case, and does not hold or represent an interest adverse to the interests of the
estates with respect to the matter on which Amherst will be employed, in accordance with
sections 328 and 1103 of the Bankruptcy Code.
13.
Amherst is a “disinterested person” as that term is defined in § 101(14) of the
Bankruptcy Code, given that, to the best of my information and belief, Amherst:

a.
is not a creditor, an equity security holder, or an insider of the Debtors;
b.
is not and was not, within two (2) years before the commencement of this
chapter 11 case, a director, officer or employee of the Debtors; and
c.
does not have an interest materially adverse to the interests of the estates
or of any class of creditors or equity security holders, by reason of any
direct or indirect relationship to, connection with, or interest in, the
Debtors or for any other reason.
To the best of my knowledge, Amherst professionals working on this matter are
not relatives of the United States Trustee of the Eastern District of Missouri or of any known
employee in the office thereof, or any United States Bankruptcy Judge of the Eastern District of
Missouri.
15.
Amherst has in the past been retained by, and presently and likely in the future
will provide services for, certain creditors of the Debtors, other parties-in-interest, and their
respective attorneys and accountants in matters unrelated to such parties’ claims against the
Debtors or interests in these chapter 11 cases.

As part of its practice, Amherst appears in many cases, proceedings, and
transactions involving many different law firms, financial consultants, and financial advisors in
matters unrelated to this bankruptcy. Amherst has not identified any material relationships or
connections with any law firm, financial consultant or financial advisor involved in these chapter
11 cases that would cause it to be adverse to the Debtors, the Debtors’ estates, any creditor or
any other party-in-interest, or that would otherwise affect Amherst's judgment or ability to
perform services for the Debtors.
Professional Compensation
17.
In accordance with the terms of the Engagement Letter, Amherst will be paid by
the Debtors for the services of the Amherst professionals at their customary hourly billing rates,
which are as follows:

Such rates and ranges shall be subject to adjustment annually at such time as
Amherst adjusts its rates generally.

In addition, Amherst will be reimbursed for the reasonable out-of-pocket
expenses of the Amherst professionals incurred in connection with this assignment, such as
travel, lodging, third party duplications, messenger and telephone charges.
20.
The Debtors will provide Amherst with a retainer in the amount of $50,000 which
shall be credited against any amounts due at the termination of this engagement and returned
upon the satisfaction of all obligations hereunder.
21.
Amherst will apply to the Court for allowance of compensation and
reimbursement of expenses for its financial advisory services in accordance with the applicable

provisions of the Bankruptcy Code, the Bankruptcy Rules, corresponding Local Rules, orders of
this Court and guidelines established by the U.S. Trustee.
22.
Amherst has not shared or agreed to share any of its compensation from the
Debtors or any other person, other than as permitted under section 504 of the Bankruptcy Code.
No promises have been received by Amherst as to compensation in connection with these
chapter 11 cases, other than as outlined in the Engagement Letter.
No Duplication of Services
23.
Amherst is aware that Court has authorized the retention of (a) DLA Piper LLP
(US), as general restructuring counsel; (b) Armstrong Teasdale LLP, as local counsel; and (c)
Prime Clerk LLC, as claims agent. Amherst will use its reasonable efforts to work cooperatively
with the Debtors’ other professionals to integrate any respective work performed by those
professionals on behalf of the Debtors.
Indemnification Provisions
24.
Amherst and the other Indemnified Parties will be indemnified against any and all
losses, claims, damages, liabilities, and expenses (including reasonable counsel fees and
expenses) to which any of them may become subject arising in any manner by reason of or in
any way related to the engagement, except for matters judicially determined to have arisen in any
manner out of an Indemnified Party’s bad faith, willful misconduct or gross negligence in
performing the services that are the subject of the Engagement Letter.
25.
The terms of the Engagement Letter, including the Indemnification Provisions,
were fully negotiated between the Debtors and Amherst at arm’s length, and I believe that the
Indemnification Provisions are customary and reasonable.
