Visite http://www.scala.com/services. 5 Player Guía de inicio Introducción a Player Scala Player es un programa de la suite de software Scala que permite a los usuarios reproducir contenido programado en Content Manager. Player permite reproducir contenido multimedia de forma fiable y estable para casi cualquier sector, desde el minorista y de entretenimiento, al gubernamental, el financiero y el docente. Player es capaz de descargar las actualizaciones mientras se reproduce y los nuevos mensajes aparecen según la programación. Los reproductores también informan de su estado a Content Manager para permitirle supervisar remotamente el estado de la red. El programa Player está pensado para ejecutarse en un PC dedicado. Este sistema debe configurarse para que inicie sesión automáticamente y ejecute Player al arrancar. En una red empresarial de Scala, Player recibe y muestra el contenido creado en Designer y cargado en Content Manager. 6 Player Guía de inicio Los diseñadores gráficos utilizan Designer para crear guiones (o scripts) y plantillas. También es posible cargar elementos multimedia directamente en Content Manager. Los editores de mensajes utilizan Content Manager para crear y editar mensajes por medio de plantillas. Los administradores de programación trabajan en Content Manager para configurar listas de reproduccióncompuestas por elementos multimedia, scripts y mensajes, y programaciones para cuando aparecen esas listas de reproducción. Los administradores de red utilizan Content Manager para gestionar y supervisar los reproductores y asegurarse de que el contenido se reproduce correctamente. En redes publicitarias, los encargados de ventas utilizan Ad Manager para fijar el precio del inventario publicitario y venderlo en la red. 7 Player Guía de inicio Requisitos del sistema Antes de instalar Player, asegúrese de que su sistema reúne las especificaciones recomendadas por Scala. En este sitio encontrará también una guía PDF descargable con recomendaciones sobre cómo configurar Designer y Player de manera que se adapten a su red y presupuesto. 8 Player Guía de inicio Antes de instalar Dado que Player utiliza la entrada de reproductor establecida previamente en Content Manager, es importante que, ANTES DE configurar Player, defina el reproductor en Content Manager. Información que necesita: URL de Content Manager: suele ser parecida a la siguiente: http://nombredehost:8080/ContentManager o http://1.2.3.4:8080/ContentManager (donde 1.2.3.4 es la dirección IP de Content Manager). Nombre de usuario y contraseña de Player: estos datos se encuentran en Content Manager, dentro de la ruta Red / Configuración de red / Autenticación de Player. El nombre de usuario predeterminado es player_[nombre de la red] y la contraseña, ‘scala’. Le recomendamos cambiar estas claves. Servidor proxy: si Player se encuentra en un servidor proxy, necesitará conocer la URL del proxy, y su nombre de usuario y contraseña si los tuviera. Ajustes de la pantalla: el número de presentaciones y canales que tendrá Player y la resolución de la pantalla. 9 Player Guía de inicio Configuración de audio: cómo se conectará el audio (si es necesario), especialmente con reproductores de dos canales. Si la tarjeta de audio tiene sonido surround, uno de los canales puede usar el frontal izquierdo o derecho y el otro, el trasero izquierdo o derecho. Módulos Scala: los módulos que el reproductor utilizará y cómo deben configurarse. Por ejemplo, el módulo Serial (RS-232) o el módulo TV Tuner EX. Nota: Cada reproductor necesita una licencia de los módulos complemento (“EX”). Se controlan en Content Manager. 10 Player Guía de inicio Instalar Player La instalación de Scala Player es un proceso relativamente sencillo si se siguen las indicaciones. El asistente de instalación ayuda al usuario a instalar rápidamente el producto. Se instalarán los siguientes elementos: • • • • • Scala Player Windows Media Player DirectX Python (versión especial de Scala) Decodificadores MainConcept MPEG 2 y H.264 Otros componentes cuya instalación se recomienda: • • Flash: permite que Player reproduzca archivos SWF. Acrobat: sirve para leer la documentación de Scala. Pasos de la instalación 1. Insertar el disco Inserte en el ordenador el disco de Player o Content Manager. El instalador debería ejecutarse automáticamente. Otra posibilidad es hacer clic derecho en Inicio y seleccionar Explorar. Abra la unidad de disco. A continuación ejecute setup.exe haciendo doble clic en el icono. Elija instalar Scala Player 5. 11 Player Guía de inicio 2. Bienvenido El cuadro de diálogo Bienvenido le da la posibilidad de abrir la guía de inicio en formato PDF. Haga clic en Siguiente para continuar. 3. Componentes de terceros En esta pantalla puede instalar componentes adicionales que se recomiendan pero no se instalan automáticamente. Haga clic en Sí o No para continuar. 12 Player Guía de inicio 4. Contrato de licencia de usuario final Seleccione el botón “Acepto el contrato”. Aquí puede leer el contrato de licencia de usuario final (CLUF) íntegro, que también encontrará al final de este documento. Haga clic en Siguiente para continuar. 13 Player Guía de inicio 5. Seleccionar idioma Elija el idioma que desee y haga clic en Siguiente. Nota: La opción de idioma corresponde al programa de configuración de Player y no afecta al contenido mostrado por este. 14 Player Guía de inicio 6. Seleccionar ubicación de destino La ruta de instalación predeterminada es la carpeta Archivos de programa. Si desea cambiar la ubicación, haga clic en el botón Examinar y seleccione la que desee. Haga clic en Siguiente para continuar. 15 Player Guía de inicio 7. Servicio del cliente de transmisión Transmission Client, el cliente de transmisión de Player, puede instalarse como un servicio de Windows en lugar de como una aplicación. La ventaja de instalarlo como un servicio es que casi cualquier aplicación de gestión informática podrá administrarlo remotamente. Nota: Si se instala como una aplicación, su icono aparecerá en la barra de tareas de Windows. No aparecerá, en cambio, si se instala como un servicio. Haga su selección y después clic en Siguiente para continuar. 16 Player Guía de inicio 8. Tareas adicionales Lo normal es que desee que Player y Transmission Client se ejecuten al iniciarse el sistema. Si piensa instalarlo en un sistema de trabajo para pruebas y desarrollo, le conviene desmarcar estas opciones. Haga clic en Siguiente para continuar. 17 Player Guía de inicio 9. Decodificadores de vídeo Se instalarán los decodificadores MPEG-2 y H.264 de MainConcept. Haga clic en Siguiente para continuar. 18 Player Guía de inicio 10. Instalación de secuencias de comandos de Python Player permite instalar el lenguaje Python de secuencias de comando (o guiones). También puede instalar una versión más antigua si la necesita para trabajar con algunos guiones. Haga clic en Siguiente para continuar. 19 Player Guía de inicio 11. Permitir conexiones de red para Player El Servidor de seguridad de conexión a Internet de Microsoft debe permitir a Player acceder a las conexiones de red. Haga clic en Siguiente para continuar. 20 Player Guía de inicio 12. Listo para instalar Ya está listo para instalar Player. Haga clic en Instalar para continuar. Player se instalará en el sistema. La barra de progreso le permite supervisar el proceso de extracción de archivos. Esta operación puede tardar varios minutos. Dependiendo de lo que haya seleccionado previamente, también es posible que se instalen programas de terceros. 21 Player Guía de inicio 13. Instalación completada Una vez concluida la extracción de archivos, tiene la posibilidad de consultar las notas de la versión e iniciar el programa de configuración de Player. Haga clic en Finalizar. 22 Player Guía de inicio Configurar Player El programa de configuración de Scala Player sirve para configurar Player en el equipo reproductor. Todos los reproductores de la red deben configurarse individualmente con esta utilidad. La configuración de los equipos reproductores debería realizarse después de definir los reproductores de Content Manager. Estos son los pasos principales de la configuración: 1. Red: permite definir cómo debe recibir Player las actualizaciones de plan de Content Manager. 2. Reproducción: opciones relacionadas con el vídeo y el audio. 3. Módulos: todas las opciones necesarias relacionadas con los módulos. Si no ejecutó el programa desde el instalador, abra el menú Inicio de Windows y elija Todos los programas > Scala Player 5 > Configuración de Scala Player 5. Consejo: Si no sabe para qué sirve un botón, sitúe el puntero del ratón sobre él para ver la información sobre herramientas. Si desea más detalles todavía, pulse la tecla F1 y haga clic en el botón para saber más 23 Player Guía de inicio Red El panel Red contiene opciones relacionadas con la recepción por parte de Player del "plan" de Content Manager (p. ej., su programación e inventario de contenido). Una vez configurado este aspecto, podrá asociar el reproductor a una entrada de reproductor de Content Manager. El plan solo contiene la programación y el inventario de los archivos. Cada reproductor compara sus archivos existentes con el inventario y descarga los archivos nuevos o modificados. La descarga de archivos siempre se realiza vía HTTP y se configura en Content Manager, no en el reproductor. En las configuraciones de red más comunes, los reproductores extraen los planes directamente de 24 Player Guía de inicio Content Manager vía HTTP. Aunque existen otros métodos, esta guía se centrará en éste en concreto. Nota importante: Esta configuración debe coincidir con la entrega de plan de la correspondiente entrada de reproductor en Content Manager. Sincronización 1. Haga clic en el botón Sincronización para especificar cómo debe el reproductor sincronizar su plan y los elementos multimedia con Content Manager. 2. Las opciones son: Punto a punto: Player realiza la sincronización comunicándose individualmente con Content Manager vía HTTP o HTTPS. Difusión: Player realiza la sincronización vía IP Multicast, HughesNet o transmisiones de archivos. La elección más común es Punto a punto. Entrega de plan 25 Player Guía de inicio 1. Haga clic en el botón Entrega de planes para especificar cómo desea que el reproductor recupere su plan. 2. Las opciones son: Insertar en reproductor: con esta opción, Content Manager guarda el plan del reproductor en una carpeta compartida. El reproductor recuperará el contenido de Content Manager vía HTTP. Extraer de Scala Content Manager: el reproductor obtiene el plan directamente de Content Manager vía HTTP y también descarga el contenido de HTTP. Reproductor-FTP directo: esta opción habilita un servidor FTP integrado en el reproductor, que utilizará Content Manager para enviar el plan. El reproductor recuperará el contenido de Content Manager vía HTTP. La elección más común es Extraer de Scala Content Manager. Ubicación de Content Manager 1. Haga clic en el botón Ubicación de Content Manager para especificar la dirección y la autenticación de conexión a Content Manager. 26 Player Guía de inicio 2. Elija el protocolo con el que desea conectarse a Content Manager. El predeterminado es HTTP. Si el PC de Content Manager se configuró para admitir HTTPS, puede elegir este protocolo. 3. Introduzca la URL de Content Manager. Esta URL distingue entre mayúsculas y minúsculas. 4. Introduzca el nombre de usuario de Autenticación de Player que permite conectarse a Content Manager. 5. Escriba la contraseña asociada al nombre de usuario introducido. 6. Haga clic en Aceptar. Nombre de la red y nombre del reproductor 27 Player Guía de inicio 1. Haga clic en el botón Actualizar. Al hacerlo se buscarán los reproductores y redes disponibles que puede utilizar. 2. Si ha introducido las claves de conexión correctas de Content Manager, el nombre de la red se rellenará automáticamente y se activará el botón Nombre del reproductor. 3. Si le aparece un mensaje de error es porque se ha equivocado al introducir la URL, el nombre de usuario o la contraseña. También puede deberse a que el servidor no es accesible desde su ordenador. 4. Si ha definido reproductores en Content Manager, puede seleccionar el que desea usar pulsando el botón Nombre del reproductor. Nota: El reproductor no se asociará a su entrada en Content Manager hasta que reciba un plan por primera vez. Cuando eso ocurra, no podrá usar la misma entrada para otro reproductor a menos que la restablezca en Content Manager. 28 Player Guía de inicio Reproducción El panel Reproducción contiene opciones relacionadas con la visualización del contenido en la pantalla. Algunas de sus opciones son: • • • • • Número de canales Número de presentaciones Resolución de pantalla Rotación de pantalla Configuración de audio Nota: Algunas opciones solo están disponibles si hay una tarjeta gráfica de cabezal doble instalada; también pueden depender del monitor. Nota: Esta configuración debe coincidir con la configuración de presentación de la correspondiente entrada de reproductor en Content Manager. 29 Player Guía de inicio Configuración de la presentación Un reproductor puede mostrar hasta dos canales. Los canales se definen en Content Manager. Muchos PC tiene dos salidas de vídeo y la configuración de Player admite hasta dos monitores. Con opciones y técnicas avanzadas que no se tratarán en esta guía, es posible trabajar con más monitores. Para especificar el número de canales y monitores: 1. Haga clic en el botón Configuración de la presentación para determinar el número de canales que utilizará el reproductor y a cuántos monitores estará conectado. 2. Las opciones son: Un canal (ventana) el reproductor se ejecutará en una ventana del escritorio. Es útil para hacer pruebas en ordenadores de desarrollo y en configuraciones especiales en las que el reproductor debe coexistir con otras aplicaciones en el monitor. Un canal (una pantalla): el reproductor se ejecutará a pantalla completa y en un solo monitor. Un canal (ampliado en dos pantallas): el reproductor mostrará un solo canal abarcando dos monitores. El canal creado en Content 30 Player Guía de inicio Manager debe ser del tamaño apropiado (p. ej.: si cada monitor mide 1280 x 720, el canal debería ser de 2560 x 720). Un canal (clonado en dos pantallas): el reproductor mostrará el mismo canal en ambos monitores. Dos canales (dos pantallas): el reproductor mostrará dos canales, uno en cada monitor. Otras opciones de audio le permitirán separar el sonido de cada canal entre las partes frontal y trasera, ambas estéreo. Ninguno (Sólo para audio): el monitor se quedará en blanco y el reproductor solo permitirá contenido sonoro. 3. La selección más común es Un canal (una pantalla). Opciones del canal Si seleccionó Un canal (una pantalla): 1. Elija si desea usar la misma resolución que el escritorio de Windows o especifique un modo personalizado. Lo más habitual es seleccionar Igual que el escritorio. Cuando sí conviene especificar el modo es si la resolución de reproducción dificulta el uso de Windows al resolver problemas del reproductor. En ese caso, puede especificar una resolución más utilizable de Windows, aunque la del reproductor sea diferente. 2. Seleccione una Orientación de la pantalla (en incrementos de 90 grados). 3. Seleccione una opción de Escala de canal para especificar cómo el canal rellanará la pantalla. 31 Player Guía de inicio Las opciones son: Acoplar a presentación (bloquear relación de aspecto) Ajustar a presentación y recortar (bloquear relación de aspecto) Ajustar a presentación exactamente (extiende el guión hasta los bordes del monitor). La selección más común es Ajustar a presentación exactamente. 4. Haga clic en el botón Hardware de audio para personalizar la gestión del audio. Las opciones son: Dispositivo de sonido predeterminado Sin sonido <Nombre de su dispositivo de audio> Lo más común es dejar marcada la opción Dispositivo de sonido predeterminado. 5. Haga clic en el botón Altavoces para elegir cómo separar el audio. Las opciones son: Todos los altavoces Estéreo, altavoces delanteros Estéreo, altavoces traseros Mono, altavoz delantero izquierdo Mono, altavoz delantero derecho Mono, altavoz trasero izquierdo Mono, altavoz trasero derecho La elección más común es Todos los altavoces. Las otras opciones son más útiles para reproductores de dos canales. Nota: Algunos dispositivos de audio no funcionan en entornos con varios dispositivos de audio. Es posible 32 Player Guía de inicio que necesite modificar la configuración de audio en el Panel de control de Windows. Algunos proveedores de hardware tienen un applet personalizado con un panel de control que permite seleccionar el número de altavoces. Este applet personalizado suele imponerse sobre la configuración de Dispositivos de sonido y audio. Otras opciones de Configuración de la presentación incluyen a su vez varias subopciones: Un canal (ampliado en dos pantallas): puede indicar qué pantalla desea conectar a qué monitor, la resolución de pantalla y la relación física entre los monitores. Un canal (clonado en dos pantallas): puede especificar la relación entre las dos pantallas. Dos canales (dos pantallas) : aquí verá por separado los grupos de ajustes de ambos canales. Canales de solo audio Es posible utilizar los reproductores para reproducir únicamente sonido, sin imágenes. Puede agregar un segundo canal solo de audio a un canal visual existente o desactivar las imágenes del todo y tener uno o dos canales solo de audio. Para agregar un canal solo de audio a un canal existente, haga clic en el botón Habilitar canal 2 de sólo audio. Para desactivar las imágenes, seleccione la opción Ninguno (sólo para audio) del menú desplegable Configuración de presentación. 33 Player Guía de inicio A continuación, utilice las opciones de Hardware de audio para determinar a qué altavoces dirigir el sonido. Módulos Los módulos son componentes de Scala con configuración propia y específica. Algunos están habilitados de forma predeterminada, como es el caso de Timing, Launch y Schedule. Otros son opcionales y es necesario habilitarlos para poder usarlos. Los módulos que tengan la palabra “EX” en el nombre necesitan una licencia distinta por cada reproductor. 34 Player Guía de inicio Para configurar los módulos: 1. Haga clic en el panel Módulos para configurar los módulos de serie y opcionales. Las opciones de los distintos módulos aparecen en la columna izquierda. Los módulos opcionales figuran a la derecha. 2. Un módulo clave que merece la pena ver con detenimiento es Timing o Sincronización. Sirve para definir el formato de la hora, la fecha y las variables de los días de la semana en pantalla. 3. El módulo Launch o Inicio determina si permitir o no los guiones que utilizan Launch EX (que puede ejecutar programas externos desde un guión de Scala). 4. El módulo Scheduling o Programación le permite definir cuál es el primer día de la semana en la programación semanal. 35 Player Guía de inicio Para habilitar y configurar los módulos opcionales: 1. Haga clic en el botón del módulo en la columna de la derecha. 2. Las opciones de ese módulo aparecerán en la izquierda. Nota: Si tiene pensado usar un módulo opcional, debe adquirir su licencia (si es necesario) y habilitarlo también para Designer. Guardar la configuración Cuando haya terminado de configurar este reproductor, haga clic en Aceptar para guardar los cambios y salir de la utilidad. Nota: Los cambios realizados no surtirán efecto hasta la próxima vez que reinicie el motor de transmisión de Player. Puede restaurar la configuración a su estado predeterminado haciendo clic en Restablecer ajustes. 36 Player Guía de inicio Ejecutar Player El software Player es en realidad dos programas que funcionan juntos: Transmission Client, que se comunica con Content Manager y gestiona los archivos descargados; y Player, que reproduce el contenido real siguiendo la programación. En un PC reproductor típico, estos programas deberían abrirse al iniciarse. También puede ejecutar Player y Transmission Client desde el menú Inicio de Windows. Si Player se está ejecutando pero Transmission Client no, el primero seguirá reproduciendo el contenido programado hasta terminarlo o hasta que transcurran 30 días desde la última vez que el reproductor se comunicó con Content Manager. Si en cambio se ejecuta Transmission Client y Player no, seguirán descargándose las nuevas programaciones y contenidos, y estarán listos para la próxima vez que se inicie Player. Para salir de Player, pulse la tecla ESC . Para salir de Transmission Client, haga clic derecho en su icono de la barra de tareas de Windows y seleccione Salir. Reproductor-FTP directo Esta opción se utiliza para las redes que hacen que Content Manager entregue el archivo del plan directamente al reproductor utilizando el servidor FTP integrado de este último. Si elige Reproductor-FTP directo, no es necesario que introduzca el nombre del sitio ni el nombre de usuario, ya que se establecen automáticamente. Solo necesita escribir la contraseñay confirmarla. Introduzca una contraseña con ocho caracteres como mínimo (solo aparecerán asteriscos). Debe ser idéntica a la utilizada en el Reproductor-FTP directo de la ficha Propiedades de Scala Player de Content Manager Distribución por difusión En una red típica, la comunicación entre los reproductores y el servidor de Content Manager es 42 Player Guía de inicio “punto a punto”, que significa que cada reproductor descarga individualmente los planes y los elementos multimedia del servidor. Este método utiliza una tecnología de internet estándar HTTP(S) de fácil instalación y que dispone de herramientas para garantizar la correcta escalada de la red. No obstante, existe otro método de distribución de datos: la difusión. En la difusión, las señales salen y llegan simultáneamente a un grupo de reproductores, que escuchan los datos difundidos al mismo tiempo y en paralelo. Acceso telefónico Gracias al acceso telefónico a redes del sistema operativo Windows, es posible usar módems en lugar de tarjetas Ethernet para establecer comunicaciones de red. Para configurar el acceso telefónico hay que crear conexiones en el acceso telefónico a redes de Windows y utilizar esa entrada en la configuración de Player. 43 Player Guía de inicio Resolución de problemas Si el reproductor no recibe planes nuevos o no reproduce el contenido correspondiente, compruebe los ajustes que figuran a continuación. Si cree que los problemas son de toda la red, compruebe en primer lugar Content Manger. Si se dan exclusivamente en uno o varios reproductores, compruébelos primero (más adelante se explican los pasos). Content Manager Compruebe Content Manager -> Configuración -> Estado de la licencia para ver si el archivo de licencia se ha descargado y está vigente. Compruebe que Content Manager y Player utilicen la versión actual. En Content Manager, navegue hasta Configuración -> Configuración de servidor y seleccione la ficha Información de sistema. En la configuración de Player 5, seleccione la ficha Info. En el servidor de Content Manager, vaya a Inicio -> Configuración -> Panel de control. BY OPENING THE SCALA SOFTWARE PRODUCT PACKAGING AND/OR USING THE SCALA SOFTWARE, LICENSEE AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. If Licensee does not agree to the terms of this Agreement, and has acquired the Scala Softw are as part of a pre-configured computer system on w hich the Scala Softw are has been installed, Licensee must either promptly cease using the Scala Softw are, uninstall and/or permanently delete the Scala Softw are and Documentation (and any copies thereof) from the computer system(s) on w hich the Scala Softw are has been preloaded, or return the pre-configured system pursuant to the system vendor’s return policy. 1. DEFINITIONS. 1.1. “Commencement Date” means the ship date of the Scala Softw are from Scala or a Scala Partner to the Licensee. 1.2. “Documentation” means the user guides, tutorials, printed instructions, reference manuals, and other explanatory materials developed by Scala that accompany or are stored on or in the Scala Softw are for use in connection w ith the Scala Softw are. 1.3. “End User” means, as applicable, Licensee or any person or entity (including, for the avoidance of doubt, any employee or agent of Licensee) that uses the Scala Softw are. 1.4. “Object Code” means the form of Scala Softw are w herein computer programs are assembled or compiled in magnetic or 47 Player Guía de inicio electronic binary form on softw are media, w hich are readable and usable by machines, but not generally readable by humans w ithout reverse-assembly, reverse-compiling, or reverseengineering. 1.5. “Softw are Maintenance” means the provision of Softw are Updates. 1.6. “Scala Partner” means any Scala Certified Partner, reseller or distributor of Scala that sold or licensed the Scala Softw are to Licensee. 1.7. “Scala Softw are” means, as applicable, the Object Code form of Scala Starter Kit, Scala Designer, Scala Player, Scala Content Manager, Scala Broadcast Server, Scala Ad Manager, EX Modules, softw are add-ons or such other Scala softw are products or access licenses as may be identified in a purchase order provided to Scala or a Scala Partner, and shall be deemed to include the Documentation for such Scala Softw are, the license keys, clip art, fonts and multimedia files included in such Scala Softw are, their related softw are options, softw are extensions, software upgrades and Software Updates, and Third Party Softw are integrated into such identified products. 1.8. “Softw are Updates” means bug fixes, documentation improvements and feature additions, including all major (i.e., numbered) and minor (i.e., point) releases, w hen and if made available by Scala. 1.9. “Third Party Softw are” means softw are, referred to as redistributable code that is licensed to Scala by third party licensors for redistribution w ith the Scala Softw are. The redistributable code is the property of Scala’s licensors, and protected under United States and international copyright, trade secret or other proprietary rights law s, and international treaties. 48 Player 2. Subject to the terms, restrictions and limitations set forth herein, Scala hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensable license to use (and to permit its End Users to use) the Object Code version of the Scala Softw are, including any Third Party Softw are included therein or therew ith, along w ith any graphical, textual, pictorial, audio or visual w orks or materials incorporated into or delivered w ith the Scala Softw are, including the Documentation. 2.2 Term . This Agreement is effective as of the date at w hich Licensee accepts the license terms as set forth above, and w ill continue unless terminated as provided in Sections 7.3 or 8. 2.3. Scope of License and Use A. Internal Use. Licensee may use the Scala Softw are and Documentation only for its ow n internal use and only on one, single-user computer. Licensee may internally transfer the Scala Softw are to a different, single-user computer (a “Transferred Installation”), provided that the Scala Softw are and any copies thereof are permanently uninstalled and/or deleted from the computer from w hich the Scala Software is transferred. B. Lim itations. In connection w ith the creation, development or management of content files, and/or the planning or scheduling of information using Scala Softw are (including, but not limited to, media creation and/or management, template message creation, metadata, schedules, layouts, timetables, playlists, or triggers), Licensee may publish or transmit files for playback (i) to one or more properly licensed individual Scala Players; (ii) to an audio visual netw ork of screens show ing identical content controlled by a properly licensed individual Scala Player, and (iii) for preview and approval purposes over the w eb or other means. Notw ithstanding the above, Licensee shall not directly or indirectly, use or cause to be used for playback content files, plans, schedules or other information created, developed or managed w ith Scala Softw are w ithout also having properly licensed Scala Softw are for the playback devices involved. C. Copies. Licensee may make one (1) copy of the Scala Softw are and one (1) copy of the related Documentation for archival or back-up purposes, only. D. Third Party Softw are. The license granted hereunder includes the right of Licensee to use the Third Party Softw are in Object Code form, solely in connection w ith the 49 Player Guía de inicio authorized operation and use of the Scala Softw are in conformance w ith the terms and conditions of this Agreement. For the avoidance of doubt, Licensee may not decouple, disassemble or otherw ise separate the Third Party Softw are from the Scala Softw are or use the Third Party Softw are except in connection w ith the use and operation of the Scala Softw are as permitted hereunder. E. 3. Restrictions. The Scala Softw are is licensed, not sold. This Agreement only gives you some rights to use the Scala Software. Scala reserves all other rights. Unless and solely to the extent otherw ise permitted under applicable law , you may use the Scala Softw are only as expressly permitted in this Agreement. Except as expressly permitted under applicable law , or as otherw ise agreed to in w riting by Scala, Licensee shall not, and shall not permit any End User to: (i) w ork around any technical limitations in the Scala Software; (ii) publish the Scala Software for others to copy; (iii) make more copies of the Scala Softw are than authorized under this Agreement ; (iv) sell, lease, rent, redistribute, assign, sublicense, or transfer the Scala Softw are and/or Third Party Softw are; (v) reproduce, decompile, reverse engineer or disassemble the Scala Softw are and/or Third Party Softw are; (vi) offer the use of the Scala Softw are to third parties as an application service provider, service bureau or remote-hosted service; or (vii) deliver, export, transfer or otherw ise distribute the Scala Softw are acquired hereunder to, or use the Scala Softw are acquired hereunder in, a country other than the country in w hich the Scala Software was purchased (including, for the avoidance of doubt, in connection w ith a Transferred Installation). LICENSE AND OTHER FEES. Licensee agrees to be bound by and pay the license fee(s) set forth in the Scala Software price list in effect as of the date of purchase. License fees for Scala Softw are and maintenance fees for Softw are Maintenance may be updated and changed at any time. 3.1 Softw are Maintenance Coverage. Where Softw are Maintenance is offered upon separate purchase terms from the Scala Softw are, the Scala Softw are products are sold w ith an initial period of Softw are Maintenance coverage included in the price of the product. Such Initial Maintenance Term is defined as follow s: With the exception of Player and EX Module Products, the initial maintenance term of softw are supplied under this Agreement commences upon delivery of the product and remains in force for one year. The initial maintenance term for Player and Player EX Module Products w ill commence upon delivery of the product and shall remain in force until the 50 Player Guía de inicio anniversary of the Content Manager renew al date that such softw are products are associated w ith, regardless of the purchase date of the Player or Player EX Module Products. The initial maintenance term for other EX Module Products w ill commence upon delivery of the product and shall remain in force until the anniversary of the renewal date of the product that such softw are products are associated w ith, regardless of the purchase date of the EX Module Product. During the Initial Maintenance Term, Licensee shall be entitled to Softw are Updates if and w hen made available by Scala. All use of Scala Softw are provided pursuant to Softw are Maintenance coverage shall be subject to the terms of this Agreement. Licensee may elect to continue Softw are Maintenance beyond the Initial Maintenance Term, subject to availability, upon payment to Scala (or, as applicable, a Scala Partner) of the Scala annual maintenance fee in effect at the time of renew al. 4. 3.2 Taxes and Duties. Prices to Licensee do not include taxes, duties, tariffs, handling fees, or other such assessments of any nature. Whenever imposed, such assessments are payable by Licensee. Income or other taxes that are required to be paid or w ithheld by Licensee or Scala under the law s of jurisdictions other than the United States, in connection w ith the license and other fees paid by Licensee hereunder, are the sole obligation of Licensee and shall be exclusive of the license and other fees paid by Licensee. 3.3 Other Services. Licensee acknow ledges that any additional services offered by Scala, such as installation, customization or professional services, are not provided under this Agreement, and any such services to be provided by Scala (or, as applicable, a Scala Partner) shall be subject to the mutual agreement of the parties, the terms and conditions for w hich shall be set forth in a separate agreement. CONFIDENTIAL INFORMATION, TITLE AND COPYRIGHTS. 4.1 Licensee acknow ledges that the Scala Software, Documentation, Softw are Updates, enhancements, modifications, additions, new releases of or to the Scala Softw are contain confidential information of, are trade secrets of, and are proprietary to Scala and its licensors and that title to such materials is and shall remain in Scala and its licensors, as the case may be. Licensee shall maintain in strict confidence the Scala confidential information, but, at a minimum, to take those precautions that it utilizes to protect its ow n confidential information. Licensee shall have no obligation of confidentiality w ith respect to information that (i) at the time of disclosure is in or becomes available to the 51 Player Guía de inicio public through no breach of this Agreement on the part of the Licensee; (ii) w as law fully in Licensee’s possession prior to receipt from Scala; (iii) is received independently from a third party free to law fully disclose such confidential information to Licensee and w ho does not ow e an obligation to Scala w ith respect to confidential information; (iv) Licensee independently develops w ithout the benefit of any confidential information disclosed hereunder or (v) is required to be disclosed by a government agency; provided that the Licensee w ill use best efforts to minimize such disclosure and w ill notify Scala promptly of any such demand, order or judgment in order to permit Scala to seek an appropriate protective order. 4.2 All applicable rights to patents, copyrights, trademarks and trade secrets in the Scala Softw are and other proprietary materials are and shall remain in Scala and its licensors. Licensee shall not assert any right, title or interest in the Scala Softw are or other materials provided to Licensee under this Agreement, except for the limited license rights expressly granted to Licensee hereunder. 4.3 Licensee shall not obscure or remove any copyright or other proprietary notice or legend contained on or included in the Scala Softw are and shall reproduce all such information on all copies made hereunder. Licensee shall not, directly or indirectly, disclose or distribute any technical information of Scala provided w ith or in the Scala Softw are without the prior w ritten consent of Scala, w hich consent may be w ithheld at Scala’s sole discretion. 52 Player 5. Guía de inicio LIMITED WARRANTIES. 5.1 Media and Documentation. Scala warrants that if the media or Documentation is in a damaged or physically defective condition at the time the Scala Softw are is delivered to Licensee, and if such media or Documentation is returned to Scala w ithin thirty (30) days of the effective date of this Agreement, Scala w ill provide Licensee w ith a replacement at no charge. 5.2 Softw are Lim ited Warranty and Rem edy. A. Provided that Licensee is not in breach of any of its obligations under this Agreement, and in addition to the w arranty set forth in Section 5.1, Scala w arrants for a period of thirty (30) days from the Commencement Date (“Warranty Period”), that the softw are w ill substantially conform to the Documentation provided by Scala w ith the Scala Softw are. Licensee’s sole remedy and Scala’s and Scala Partner’s sole obligation under this Agreement for breach of this w arranty is, at Scala’s sole option, (i) the remedy of the nonconformity or (ii) the authorization of a refund for the price paid for the media and or Scala Softw are by Scala or the Scala Partner from w hich the Scala Software was originally obtained. Any request for the above remedies must be made w ithin the Warranty Period and proof of purchase (i.e., copy of the invoice or receipt) is required to be presented to Scala. In the event of a refund, this Agreement w ill immediately terminate w ithout further notice, and Licensee w ill have no further rights or license to use Scala Softw are or Documentation. B. Any replacement softw are or media w ill be w arranted for the remainder of the original Warranty Period or for an additional thirty (30) days w hichever is longer. C. This limited w arranty is void if nonconformance of the Scala Softw are results from or is related to the (i) improper installation or operation of the Scala Softw are by or on behalf of the Licensee, (ii) failure of Licensee’s hardw are or non-Scala softw are, (iii) incompatibility of such hardw are and non-Scala software systems w ith Scala Softw are, (iv) alteration, modification or unauthorized integration of Scala Softw are by or on behalf of Licensee, or (v) accident, abuse or misapplication of Scala Softw are. D. If the Scala Softw are is provided as a trial or evaluation version, the grant of the license to use the Softw are shall be 53 Player Guía de inicio on an “AS IS” basis and subject to the express limitations of the trial. Unless Licensee shall have entered into a separate w ritten license agreement prior to the expiration or termination of the trial period, Licensee agrees to cease all use of the Scala Softw are provided on a trial or evaluation basis and to return such Scala Softw are, or to return any license keys and destroy or permanently delete any and all copies of such Scala Softw are. 5.3 6. Disclaim er of Warranties. SCALA AND ITS LICENSORS MAKE NO WARRANTY, REPRESENTATION OR PROMISE EXCEPT AS SPECIFICALLY SET FORTH IN THIS AGREEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, SCALA AND ITS LICENSORS DISCLAIM AND EXCLUDE ANY AND ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR RESULTS. SCALA AND ITS LICENSORS DO NOT WARRANT THAT THE SCALA SOFTWARE OR DOCUMENTATION WILL SATISFY LICENSEE’S REQUIREMENTS; THAT THE SCALA SOFTWARE AND DOCUMENTATION ARE WITHOUT DEFECT OR ERROR; OR THAT THE OPERATION OF THE SCALA SOFTWARE WILL BE UNINTERRUPTED. TO THE MAXIMUM EXTENT PERMITTED UNDER THE LAW, THE UN CONVENTION FOR THE SALE OF GOODS AND THE UNIFORM COMMERCIAL CODE DO NOT APPLY TO THIS LICENSE AGREEMENT. LIMITATION OF LIABILITY. 6.1 IN NO EVENT SHALL SCALA OR ITS LICENSORS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS). REGARDLESS OF WHETHER SCALA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALA’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS LICENSE OR THE SCALA SOFTWARE AND DOCUMENTATION IS LIMITED TO THE AMOUNT ACTUALLY PAID FOR THE LICENSE. Guía de inicio INDEMNIFICATION. 7.1 Scala’s Obligation. Subject to the Licensee indemnification set forth at Section 7.2 and the restrictions and limitations set forth herein, Scala shall indemnify and hold harmless Licensee, its officers, directors and employees from and against any costs or demands aw arded against Licensee by a court of competent jurisdiction pursuant to a final judgment as a result of a claim or action by a third party against Licensee that the Scala Softw are or Documentation infringes a registered copyright, trademark, valid patent or other intellectual property right of a third party in North America, European Economic Area or Japan. The foregoing indemnity is conditioned on Licensee (i) promptly notifying Scala of such claim; (ii) permitting Scala to control the response thereto and the defense thereof, including any agreement relating to the settlement thereof, and (iii) assisting and cooperating w ith Scala, at Scala’s expense, in the defense or settlement thereof. Licensee may participate, at its ow n expense, in such defense directly or through counsel of its choice on a monitoring, non-controlling basis. Scala shall obtain Licensee’s prior w ritten consent to any compromise or settlement of any claim w hich w ould require an admission of liability on the part of Licensee or w hich w ould subject Licensee to any injunction or other equitable relief. Notw ithstanding the foregoing, in no event shall Scala or its licensors be liable to indemnify, defend, settle or hold Licensee harmless from and against any or all claims w hich allege infringement of intellectual property that reads upon or is infringed by a generally recognized audio, video, technology or patent standard, including w ithout limitation MPEG-1, MPEG-2, MPEG-4, JPEG, DV, Flash, VC-1, AAC, AC-3, DVCPRO or AVS (each including all profiles, options, parts or levels); 7.2 Scala shall have no obligation under Section 7.1, and otherw ise w ill have no liability for, any claim of infringement caused or alleged to be caused by: (i) the use or combination of the Scala Softw are w ith non-Scala softw are, hardw are, data, or content, including but not limited to softw are, hardw are, data, or content of Licensee; (ii) infringement that w ould have been avoided w ithout the use or combination of the Scala Softw are w ith other non-Scala software, hardware, content, or data; (iii) the presence of any alteration or modification of the Scala Softw are by Licensee or any third party acting on Licensee's behalf; or (iv) the Licensee's continuing the allegedly infringing activity after 55 Player Guía de inicio being notified thereof or after being informed and provided w ith modifications that w ould have avoided the alleged infringement. 8. 7.3 In the event that a claim of infringement of a valid North American, European Economic Area or Japanese softw are patent or copyright is made against Scala or Licensee or if Scala reasonably believes that such a claim w ill be made, Scala, at its option and in lieu of indemnification, may (a) procure for Licensee the right to use the Scala Softw are w ithout patent or copyright infringement; (b) modify the Scala Softw are to make it non-infringing; (c) replace the Scala Softw are w ith substantially equivalent software that is non-infringing; or (d) direct Licensee to cease use of the Scala Softw are, and refund to Licensee a percentage of the aggregate fees received for such Scala Softw are that are the subject of such a claim, based on a five (5) year straight line depreciation 7.4 The foregoing Sections 7.1-7.3 set forth the exclusive remedy and entire liability and obligation of Scala w ith respect to third party claims against Licensee alleging intellectual property infringement or misappropriation. 7.5 Licensee Obligation. Except for the infringement claims set forth in Section 7.1, Licensee shall indemnify, defend and hold Scala, its directors, officers, agents and employees harmless from any claims, demands, or causes of action w hatsoever by a third party against Scala arising as a result of Licensee’s use or operation of the Scala Software. For the avoidance of doubt, and w ithout limiting the scope of the immediately preceding sentence, Licensee shall indemnify, defend and hold Scala, its directors, officers, agents and employees harmless from any third party claims, demands, or causes of action w hatsoever arising from or related to the display, broadcast, reproduction, performance or other use or distribution of audio, visual, graphical and textual information developed by or on behalf of Licensee and not included in the Scala Softw are. TERMINATION. 8.1 By Licensee. Licensee may terminate this Agreement at any time w ithout notice to Scala. The license fee is not refundable and Scala w ill have no obligation to refund any amounts paid by Licensee under this Agreement upon its termination (except for any right of refund as set forth in Sections 5 and 7.3). 56 Player 9. Scala may terminate this Agreement and all licenses granted hereunder upon thirty (30) days prior w ritten notice if Licensee fails to comply w ith any of the terms and conditions of this Agreement or any Schedule to this Agreement, and such noncompliance is not cured w ithin such thirty (30) day period. 8.3 Return of Softw are. Upon any termination of this Agreement, Licensee must cease all use of the Scala Softw are, and return to Scala all copies of the Scala Softw are, including license keys, together w ith the Documentation, or shall return all license keys and certify to Scala’s reasonable satisfaction the destruction or permanent deletion of all copies of the Scala Softw are and Documentation from its computer systems. GENERAL. 9.1 Audit Rights. Scala shall have the right reasonably to audit the deployment and use of the Scala Softw are by Licensee, including w ithout limitation Licensee’s conformance w ith the provisions of Section 3 herein. Licensee agrees to cooperate w ith Scala’s reasonable request for access to Licensee’s computer systems to ensure Licensee’s adherence w ith the license terms hereunder. 9.2 Purchase in Canada. United States Sales. If you acquired the Scala Softw are in the United States, Pennsylvania state law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of law s principles. B. Sales Outside the United States. If you acquired the Scala Softw are in any other country outside the United States, the laws of the country of the majority-ow ned Scala subsidiary that sold the Scala Softw are to you applies, regardless of such country’s conflicts of law provisions. 9.5 Legal Effect. This Agreement describes certain legal rights. You may have other rights under the law s of your state or country. You may also have rights w ith respect to the party from w hom you acquired the Scala Softw are. This Agreement does not change your rights under the law s of your state or country if the law s of your state or country do not permit it to do so. 9.6 U.S. Governm ent Restricted Rights Legend. Neither party may assign any rights, duties, obligations or privileges under this Agreement w ithout the prior w ritten consent of the other party. A change of control or ow nership shall not be deemed to be an assignment under this Section so long as the new ow ner has expressly assumed in w riting all of the duties and obligations of the assignor and further provided, that Licensee shall remain liable and responsible to Scala (and its licensors) for the performance and observance of all such duties and obligations. 59 Player Guía de inicio 9.8 Severability. Should any part or provision of this Agreement be held unenforceable or in conflict w ith the law of any jurisdiction, the validity of the remaining parts or provisions shall not be affected by such holding. 9.9 Lim itation on Effect of Waiver. Failure on the part of Scala to exercise, or Scala’s delay in exercising, any of Scala’s rights hereunder shall not be construed as a w aiver or w aiver of other breaches of this Agreement. Any single or partial exercise by a party of any right shall not preclude any other or future exercise thereof or the exercise of any other right in the Agreement. 9.10 Entire Agreem ent. This Agreement contains the entire understanding of the parties w ith respect to the transactions contemplated and supersedes any prior agreements or understandings among the parties w ith respect to the subject matter hereof. This Agreement may be amended only by a w riting that refers to this Agreement and is signed by both parties. 9.11 Export Law Assurances. Licensee acknow ledges that the Scala Softw are included herew ith is subject to restrictions and controls imposed under the U.S. Export Administration Act and Canadian Exportation Law s. Licensee must comply w ith all domestic and international export law s and regulations that apply to the software. These law s include restrictions on destinations, end users and end use. Licensee hereby expressly agrees to defend, hold harmless and indemnify Scala, its directors, officers, and employees, from any claim, suit or dispute alleging that Licensee has exported the Scala Software in violation of any domestic or international export law s. 9.12 Construction. The headings in this Agreement are for convenience of the parties only. They do not constitute a portion of this Agreement and shall not be used in interpreting the construction of this Agreement. 9.13 Third Party Beneficiary. Licensee hereby agrees that the licensors of Third Party Softw are shall be considered third party beneficiaries of this Agreement and shall be entitled to bring a direct action against Licensee in the event of breach of any applicable provisions of this Agreement, pursuant to the terms and conditions of this Agreement. 60 Player Guía de inicio 9.14 Force Majeure. Neither party shall be in default if failure to perform any obligation hereunder is caused solely by unforeseen supervening conditions beyond that party’s reasonable control, w hich could not have been prevented by the non-performing party’s reasonable precautions, commercially accepted processes or substitute services, including acts of God, civil disturbances, strikes and labor disputes. 9.15 Negation of Agency and Sim ilar Relationships. Nothing contained in this Agreement shall be deemed to create an agency, joint venture or partnership relationship. 61
