In consideration for the opening of a Totten Trust Account with BANCO DE BOGOTA S.A. MIAMI AGENCY (the "Bank") and the undersigned (Depositor(s)) hereby covenant as follows:
En consideración para la apertura de una Cuenta Fiduciaria con el BANCO DE BOGOTA S.A. - MIAMI AGENCY (el “Banco”) y el(los) abajo rmante(s) (“Depositante(s)”) pactan
lo siguiente:
1. The Account is subject to all rules and regulations of the Bank pertinent to the Account.
La Cuenta esta sujeta a todas las normas y regulaciones del Banco pertinentes a la Cuenta.
2. In case of more than one depositor these direct the Bank that all funds deposited in the Account during the lives of the Depositors shall
constitute the joint property of the Depositors, payable to any of the Depositors, in whole or in part. Depositors confirm that during their
lifetime withdrawals are to be made from the Account only upon a draft or order signed by any one of the Depositors. Upon the death of
any one of the Depositors all funds on deposit in the Account shall vest in, and shall be payable to, the survivor of the Depositors.
En caso que haya más de un depositante, éstos ordenan al Banco que todos los fondos depositados en la Cuenta durante sus vidas deben constituir la propiedad conjunta
de los Depositantes y deben ser pagables a cualquiera de los Depositantes en su totalidad o por partes. Los Depositantes confirman que durante sus vidas se podrán realizar
retiros únicamente cuando se presente una orden firmada por cualquiera de los Depositantes. Si llegase a fallecer alguno de los Depositantes de la Cuenta todos los fondos
almacenados en la misma se conferirían y deberán ser pagados a el(los) Depositante(s) sobrevivientes.
3. Upon the death of the Depositor(s), the balance, if any, of funds on deposit in the Account shall vest in, and shall be payable to, the
Beneficiary(ies) named hereinabove, in equal shares. If none of the Beneficiary(ies) survive the Depositor(s), the balance, if any, of funds
on deposit in the Account shall vest in and be payable to the estate of the last survivor of the Depositor(s). If any of the Beneficiary(ies)
survive the Depositor(s) but dies before payment is made by the Bank, the amount owing to such Beneficiary shall be payable to such
Beneficiary state. If a Beneficiary who would be entitled to payment under this Agreement is a minor, the Bank, at its sole discretion, may
withhold payment to such Beneficiary until he/she reaches the age of twenty-one (21) years or the Bank may make payment to a court
appointed guardian of the minor Beneficiary.
Si llegase(n) a fallecer el(los) Depositante(s), el balance, de existir, de los fondos depositados en la Cuenta se conferirían y deberán ser pagados a el(los) Beneficiario(s)
nombrados anteriormente por partes iguales. Si ningún Beneficiario sobrevive a el(los) Depositante(s), el balance, si existe alguno, de los fondos depositados en la Cuenta se
conferirían y deberán ser pagados a la masa sucesoral del último sobreviviente de los Depositantes. Si algún beneficiario sobrevive a el(los) Depositante(s) pero fallece antes
que el Banco realice el pago, el monto adeudado a dicho Beneficiario deberá ser pagado a la masa sucesoral de dicho Beneficiario. En caso que algún Beneficiario llegara a
ser un menor de edad y según este Contrato tuviera derecho a recibir un pago, el Banco puede retenérselo a su propia discreción, hasta que este cumpla veintiún (21) años
ó el Banco podrá realizar el pago a la persona designada por la corte al Beneficiario.
4. The Bank may require, at its sole discretion, the delivery of certified death Certificates, IRS Transfer Certificates and such other documents as it deems appropriate, as a precondition of its payments to the Beneficiary(ies). The receipt or acquaintance of the Depositor(s),
or upon the death of the same, of any of the aforesaid Beneficiary(ies), to any payment made from the Account shall be a valid release
to the Bank and will discharge the Bank of any responsibility to the Depositor(s) and Beneficiary(ies) relevant to such payment.
El Banco podrá requerir, a su propia discreción, el envío de Certificados de Defunción, Certificados de Transferencia del Departamento de Tesorería de Estados Unidos (IRS:
Internal Revenue Service) y otros documentos parecidos mientras lo considere necesario como una condición previa para realizar los pagos a el(los) Beneficiario(s). El
conocimiento o recepción por parte de el(los) Depositante(s) o de la(s) persona(s) designada(s) como Beneficiaria(s) deberá ser entendida como un pago o desembolso válido
y liberará al Banco de cualquier responsabilidad frente a el (los) Depositante(s) y el (los) Beneficiario(s) legitimado(s) para recibir tal pago.
5. Depositor(s) authorize the Bank to charge against any funds on deposit in the Account any indebtedness owing to the Bank at any
time by the Depositor(s).
El(Los) Depositante(s) autoriza(n) al Banco a debitar de los fondos depositados en la Cuenta, cualquier obligación que el(los) Depositante(s) tenga(n) con el Banco que se
genere en cualquier ocasión.
6. In consideration for the opening of the Account the Depositor(s) for his/her(them)self(ves), his/her(their) heirs, executors, administrators, assigns and successors in interest, including the aforementioned Beneficiary(ies), do hereby indemnify and hold harmless the Bank
from and against any and all liability and loss which the Bank may incur by reason of or in connection with any action taken by the Bank
in the management of the Account or in its performance of this Agreement. Furthermore, the Depositor(s) for his/her/(them)self(ves),
his/her(their) heirs, executors, administrators, assigns, and successors in interest, including the aforementioned Beneficiary(ies), hereby
agree to reimburse the Bank for all costs and expenses, including attorney's fees, incurred by the Bank in the management of the
Account or in its performance of this Agreement, regardless of whether or not any suit is pending.
En consideración con la apertura de la Cuenta el(los) Depositante(s) por su propia cuenta, su(s) heredero(s), apoderado(s), administrador(es), cesionario(s) y sucesor(es)
interesado(s), incluyendo el(los) Beneficiario(s) mencionado(s) anteriormente, a través de la presente indemniza(n) y libera(n) de y contra cualquier y toda responsabilidad y
pérdidas en las que el Banco pueda incurrir por razón de o que se encuentren conectadas a cualquier acción tomada por el Banco en el manejo de la Cuenta o en su desempeño de este Contrato. Además, el(los) Depositante(s), por su propia cuenta, su(s) heredero(s), apoderado(s), administrador(es), cesionario(s) y sucesor(es) interesados,
incluyendo el(los) Beneficiario(s) mencionado(s) anteriormente, a través de la presente acuerda(n) rembolsar al Banco todos los costos y gastos, incluyendo honorarios de
abogados, en los que el Banco tenga que incurrir por administrar la Cuenta o en su desempeño de este Contrato sin importar si hay algún pleito pendiente.

7. This Agreement and the performance hereunder shall be construed and governed by the laws of the State of Florida and applicable
federal law.
El presente Contrato y su ejecución deben ser interpretados y gobernados bajo las leyes del estado de Florida y las leyes Federales aplicables.
8. The provisions of this Agreement may not be waived, modified or supplemented, except by a written instrument signed by the Depositor(s) and the Bank.
Los términos del presente Contrato no podrán ser renunciados, modificados o adicionados salvo por documento escrito suscrito por el(los) Depositante(s) y el Banco.
9. The inapplicability or unenforceability of any provisions of this Agreement shall not limit or impair the operation or enforcement of any
other provision herein.
La inaplicabilidad o inexigibilidad de cualquiera de los términos del presente Contrato no deberán limitar o afectar la exigibilidad de cualquiera otro de los términos acá contenidos.
10. This Agreement contains a complete understanding between the parties hereto on the matters set forth herein and it supersedes all
prior or contemporaneous agreements or understandings on such matters.
El presente Contrato instrumenta el acuerdo completo sobre los temas aquí contenidos y reemplaza cualquier otro acuerdo anterior o concomitante.
11. This Agreement shall be binding upon the heirs, executors, administrators, assigns and successors in interest (including the Beneficiary(ies)) of the parties hereto.
El presente Contrato deberá ser vinculante para todos los herederos, apoderados, administradores, cesionarios y sucesores interesados (incluyendo el(los) Beneficiario(s)) de
las partes aquí representadas.
12. In witness whereof, the parties have executed this Agreement on the date first above noted.
En testimonio de lo anterior, las partes han suscrito este Contrato en la fecha arriba señalada.
