STEPS FOR THE SUBMISSION OF A
PRIVATE INITIATIVE
I. PRESENTACIÓN DEL PROYECTO
I. ADMISSION TO PROCEDURE
Las iniciativas deberán presentarse, de acuerdo a los requisitos establecidos, por los Organismos Promotores de la Inversión Privada
- OPIP para su respectiva evaluación y admisión a trámite:
Private initiative must be submitted, according to established requirements, to the Private Investment Promoting Bodies for evaluation and admission to procedure.
En el caso del Gobierno Nacional, la iniciativa deberá presentarse
ante la Agencia de Promoción de la Inversión Privada - ProInversión.
En el caso de los Gobiernos Regionales o Locales, la iniciativa deberá
presentarse en el Órgano Regional o Local designado para tales efectos.
In the case of the National Government, the initiative shall be submitted to the Private Investment Promotion Agency (ProInversión).
Las Iniciativas Privadas pueden ser presentadas bajo la modalidad
de concesión, operación, gerencia, joint venture u otras. Desde el
punto de vista del financiamiento, las Iniciativas Privadas pueden
ser auto sostenibles o cofinanciadas.
Las Iniciativas Privadas tienen el carácter de peticiones de gracia1 lo
cual implica que el derecho del proponente se agota con la presentación de la Iniciativa Privada ante el OPIP.
Private Initiatives shall be submitted under modalities of concession, operation, management, joint venture or others. Regarding
financing, they can be self-sustaining or co-financed.
Private Initiatives constitute petition for grace1, which means that the
right of the proponent ends with the private initiative submission to
the Private Investment Promoting Bodies.
Los requisitos que debe cumplir una Iniciativa Privada auto sostenible para ser admitida a trámite son:

In the case of Regional or Local Governments, the initiative must be
presented at the Regional or Local Agencies designated for this purpose.
The requirements for the submission of a self-sustaining Private Initiative are:

Nombre o razón social del proponente.
Propuesta de modalidad de participación de la Inversión Privada.
Descripción del proyecto.
Ámbito de influencia del proyecto.
Evaluación económica y financiera del proyecto.
Propuesta de plazo o vigencia estimada del contrato de participación de la inversión privada.
Capacidad financiera del proponente y experiencia para la ejecución de proyectos de similar envergadura.
Declaración jurada expresando que la Iniciativa Privada no solicitará cofinanciamiento público.
Las iniciativas no deberán contener proyectos de inversión que coincidan total o parcialmente con aquellos que los Organismos Promotores de la Inversión Privada - OPIP hubieran aprobado en el
respectivo Plan de Promoción de la Inversión Privada.
II. EVALUACIÓN DE LA INICIATIVA PRIVADA
Entre los principales criterios que el Organismo Promotor de la Inversión Privada tomará en cuenta para la evaluación figuran:
La capacidad financiera y solvencia técnica del proponente para
desarrollar proyectos de magnitud similar al propuesto.
La rentabilidad económica y social del proyecto.
El impacto medioambiental del proyecto.
III. DECLARACIÓN DE INTERÉS
En el caso de proyectos que correspondan al Gobierno Nacional,
previamente a la declaratoria de interés por parte de ProInversión,
la Iniciativa Privada deberá contar con la opinión favorable del/
los Ministerio(s) del/los sector(es) competente(s). Asimismo, el Ministerio de Economía y Finanzas (MEF) deberá emitir opinión en
el caso de Iniciativas Privadas que demanden el otorgamiento de
garantías no financieras; y el organismo regulador en el caso de
que la iniciativa se financie con tarifas.
La declaración de interés ofrecerá la siguiente información del proyecto:
Resumen del proyecto.
Indicadores de calidad del servicio a prestarse de ser el caso.
Elementos esenciales del proyecto de contrato.
Garantías de fiel cumplimiento de las obligaciones contractuales.
Requisitos de precalificación.
El factor de competencia.
Un modelo de carta de expresión de interés y un modelo de carta de presentación de proyecto alternativo, así como un modelo de
carta fianza a ser presentadas por terceros interesados en la realización del mismo proyecto o de un proyecto alternativo.

Proposal of estimated term of the Private Investment participation contract.
Proponent’s financial capacity and experience for the execution
of similar-scale projects.
Affidavit stating that the Private Initiative will not demand public co-financing.
Private Initiatives must not include investment projects that totally
or partially match those which already have a Private Investment
Promotion Plan approved by Private Investment Promoting Bodies.
II. PRIVATE INITIATIVE ASSESSMENT
For the assessment of Private Initiatives, the Private Investment Promoting Bodies will take into account the following criteria, among others.
Proponent’s financial and technical capacity to develop similarscale projects
Project’s economic and social return.
Project’s environmental impact.
III. DECLARATION OF INTEREST
In case of National Government, for the Private Initiatives to be
declared of interest, ProInversión must have the favorable opinion
of the Ministry or Ministries of the relevant sectors. Likewise, the
Ministry of Economy and Finance (MEF) shall issue an opinion for
Private Initiatives requiring granting of non-financial and financial
guarantees. The opinion of the regulatory body shall be required
when Private Initiatives are financed through fees.
The declaration of interest must contain the following information:
Al comunicar que la Iniciativa Privada ha sido declarada de interés, ProInversión o el Organismo Promotor de la Inversión Privada
- OPIP del Gobierno Regional o Local correspondiente, solicitará al
proponente la presentación de una carta fianza (en un plazo de 10
días), a fin de asegurar la suscripción del respectivo contrato, en
caso que el proyecto le sea adjudicado directamente.
IV. PUBLICIDAD DE LA INICIATIVA PRIVADA
Una vez efectuada la declaratoria de interés, ésta se hace pública,
para que terceros presenten sus expresiones de interés (en un
plazo de 90 días) respecto a la ejecución del mismo proyecto u
otro alternativo.
Si durante ese plazo se presentan terceros interesados, se procede
a un concurso cerrado, en el cual el proponente tiene derecho a
igualar la oferta que hubiera quedado en primer lugar y se procederá a un desempate. Si no se presentan interesados, se procede a la adjudicación o concesión directa al proponente.
BENEFICIOS PARA EL AUTOR DE LA INICIATIVA
Reserva: Los Organismos Promotores de la Inversión Privada –
OPIP deberán mantener el carácter confidencial de las Iniciativas
Privadas hasta la declaratoria de interés.
Derecho de preferencia: El proponente tendrá la posibilidad de
mejorar su propuesta, en el caso que la iniciativa sea sometida a
concurso y no sea favorecida, o en el caso que las propuestas sean
equivalentes.
Reembolso de gastos: Se reconocerá a favor del proponente los
gastos efectivamente realizados (razonables y sustentados) en la
elaboración de la Iniciativa Privada presentada. Dichos gastos2
serán pagados al titular de la Iniciativa Privada por el adjudicatario de la buena pro en el concurso convocado entre quienes
hayan expresado su interés en la realización del proyecto.

When announcing that a private initiative has been declared of
interest, ProInversión or the Private Investment Promoting Bodies
from Regional or Local Governments shall request to the proponent
the submission of a letter of guarantee (within a term of 10 days) to
ensure the signing of the respective contract if the project is directly
awarded to the proponent.
IV. PUBLICATION OF A PRIVATE INITIATIVE
Declarations of interest are published with the purpose of allowing interested third parties to submit their expressions of interest (within
a term of 90 days) to execute the same project or to present an alternative one.
In the event that other third parties submit their proposals, a closed
bidding process will be carried out; the proponent will have the
right to match the top ranked proposal and tiebreak will take place.
If there are no interested third parties, the contract will be directly
awarded to the proponent.
BENEFITS TO THE AUTHOR OF THE PRIVATE
INITIATIVE
Confidentiality: Private Investment Promoting Bodies shall
maintain the confidentiality of Private Initiatives until the declaration of interest.
Preferential right: The proponent will be able to improve its
proposal, if the initiative is subject to bidding process and is not
favored, or if the proposals are equivalent.
Reimbursement of expenses: The expenses incurred (reasonable
and supported) for the development of the Private Initiative submitted will be refunded to the proponent. Said expenses2 shall be
paid by the awardee to proponent of the Private Initiative.
